Shareholders

Shareholders of CARDONE INDUSTRIES, INC.

Cardone Industries, Inc. is a private corporation. Pennsylvania and New York do not publish shareholder registers for business corporations, so this ownership history comes from securities and bankruptcy filings.

Brookfield period (2019–2023). Brookfield Business Partners L.P. reported that in April 2019, together with institutional partners, it recapitalized Cardone Industries for $195 million. The partnership acquired an 85% controlling interest, of which its own share was 35%, for approximately $80 million (including a prior investment valued at $33 million). The partnership’s Form 20-F for 2021 lists Cardone Industries Inc. (United States) among its non-wholly owned subsidiaries. It shows a 98% voting interest and a 52% economic interest at 31 December 2021 and 2020. On 3 July 2023 the partnership completed the sale of a majority of its automotive aftermarket parts remanufacturing operations. It recorded a $41 million gain and did not name the buyer in the filings reviewed. Its 2025 results record a $35 million write-down of an earn-out from that sale.

First Brands period (from 2023). In the September 2025 Chapter 11 filings, a debtor named Cardone Industries, Inc. (Case No. 25-90493) is one of the First Brands debtors. The consolidated corporate ownership statement says First Brands Group Holdings, LLC owns, directly or indirectly, 100% of the remaining debtors other than the Viceroy debtors. The same petition lists Cardone Holdco LP, c/o Brookfield, as an unsecured creditor holding a $7,000,000 “revenue payout liability”. The bankruptcy filings record the debtor’s employer identification number and state of formation differently from the Pennsylvania corporation’s records (see the company description). As a result, this chain is stated for the debtor as filed.

Ultimate beneficial ownership

The first-day declaration (29 September 2025) says that each of the 112 debtor entities is 100% indirectly owned by the company’s founder and sole equity holder. A stipulation filed on 2 October 2025 names the equity holders of First Brands Group Holdings, LLC as Patrick James, Mayfair Enterprises, LLC, Aztec Corporation and Brake Parts Holdings, Inc. It states that Patrick James directly owns all of the equity interests in the other equity holders. The petition gives the holdings in First Brands Group Holdings, LLC as 66% Viceroy Private Capital, LLC (wholly owned by Mayfair Enterprises, LLC), 33% Brake Parts Holdings, Inc. and 1% Aztec Corporation. Since 1 September 2026 the debtor’s estate has been administered in Chapter 7. These ownership statements describe the position at the petition date.

Data availability

Partial. The Brookfield-era percentages come from the partnership’s own filings. The First Brands-era percentages come from the debtors’ court filings, and no later ownership statement was found. U.S. state registers do not publish shareholders of private corporations.
