Overture Networks, Inc.
Overture Networks, Inc. was a Delaware corporation based in Morrisville, North Carolina, that developed and manufactured Carrier Ethernet equipment and service-orchestration software for telecommunications operators. Its SEC filings record it as a Delaware corporation (SEC EDGAR CIK 0001127819), with its principal place of business at 637 Davis Drive, Morrisville, NC 27560 in 2013 and, before that, at 507 Airport Boulevard, Suite 111, Morrisville. The company no longer exists as a separate legal entity: after it changed hands in January 2016 it was merged into another US company with effect from 1 July 2016 (see the shareholders and group sections).
The company’s archived website shows how its products changed. In 2003 it sold the ISG family, a packet-based multi-service provisioning platform installed at the customer edge that carried Ethernet and TDM services over almost any underlying network infrastructure. By 2013 it described itself as a provider of Carrier Ethernet solutions for the metro edge, making edge and aggregation equipment for Ethernet services over fiber, copper and TDM at speeds from 1 Mbps to 10 Gbps. It also sold Ensemble Open Service Architecture (Ensemble OSA), software for software-defined networking and network functions virtualisation (NFV) at the network edge. Its customers were service providers and network operators, and the acquirer’s 2016 annual report says it sold its Carrier Ethernet access products mainly in North America.
Overture Networks, Inc. was privately held. It never registered securities with the SEC. Its EDGAR filings are notices of exempt private offerings only: paper Regulation D notices from 2002 to 2009, then electronic Form D filings under Rule 506. They report $17.16 million sold in an offering first sold in April 2010 and $43.95 million in one first sold in March 2011. For a 2013 offering of $11.75 million, $8.37 million had been sold by August 2013. Each notice declined to disclose revenue.
When it was acquired on 13 January 2016, the Overture Networks group (the company and three subsidiaries) had 180 employees. From that date to the end of 2016 the group added EUR 36.46 million of revenue and a net loss of EUR 1.20 million to the acquirer’s consolidated accounts. These are consolidated figures, and the acquirer says they were partly extrapolated because the business could not be tracked separately after the July 2016 merger. The acquirer reports that the Overture product line was fully integrated into its FSP 150 Carrier Ethernet family within six months, and that its Ensemble NFV software framework grew out of Overture’s software.
The North Carolina and Delaware registers could not be checked (both block automated access), so the company’s state charter number, incorporation date and final state-register status are not confirmed here.

Shareholders
Shareholders of Overture Networks, Inc.
From 13 January 2016 until the company was merged out of existence, Overture Networks, Inc. had one shareholder: ADVA NA Holdings Inc. of Atlanta, Georgia, which bought 100% of its shares on that date. The buyer’s parent, then named ADVA Optical Networking SE, describes ADVA NA Holdings Inc. in its 2016 annual report as a newly established, wholly owned subsidiary. The report gives a cash price of USD 39.516 million paid at completion. It also describes a USD 5 million earn-out tied to sales targets in the first 12 months. The report says those targets were not met and the provision set aside for the earn-out was released.
With effect from 1 July 2016, Overture Networks, Inc. was merged into ADVA Optical Networking North America, Inc., the group’s US subsidiary in Norcross, Georgia. Since that merger the company has had no shareholders of its own. Its business and assets belong to the surviving company, now named Adtran Networks North America, Inc. (see the group section).
| Shareholder | Holding | Period | Source |
|---|---|---|---|
| ADVA NA Holdings Inc. (Georgia, USA) | 100% of the shares | 13 Jan 2016 to the merger effective 1 Jul 2016 | ADVA Optical Networking SE Annual Report 2016, note on changes in the scope of consolidation |
Before 2016 the company was privately held and funded through private placements. Its Form D notices to the SEC (2010, 2011 and 2013) report the amounts raised but do not name investors or give any holdings, so no pre-2016 shareholder is named here.
Ultimate beneficial ownership
No natural person is identified as an ultimate beneficial owner. While the company existed as a subsidiary in 2016, its ownership chain ended at ADVA Optical Networking SE, a company listed in the Prime Standard segment of the Frankfurt Stock Exchange. ADVA’s 2016 annual report says 84.9% of its shares were free float at the end of 2016 and 15.1% were held by its one major shareholder, the EGORA Group. The successor company’s chain now ends at ADTRAN Holdings, Inc., which is listed on Nasdaq (ADTN).
Data availability
The company never registered securities with the SEC, so it filed no proxy statements and no shareholder disclosures. The North Carolina and Delaware business registers could not be checked because both block automated access. The holding above comes from the acquirer’s 2016 annual report.

- 1 July 2016: the company was merged out of existence, which ended all appointments.
Between Form D filings, the dates of these changes are not recorded.
Data availability
No officer data after August 2013 was found in any primary source. The company filed nothing further with the SEC. The North Carolina Secretary of State business search serves a bot challenge, and the Delaware register is closed to automated access, so neither could be checked. The public sources checked do not say which group company holds Adtran Networks North America today. In 2021 ADVA reported it as 100% owned indirectly by ADVA Optical Networking SE.
When it was acquired, Overture Networks, Inc. had three wholly owned subsidiaries. What became of each is shown below.
