The KRS current extract, Dział 1, records a single shareholder (jedyny akcjonariusz): Skarb Państwa, the State Treasury of the Republic of Poland, flagged in the register as holding the entirety of the shares. The entry was made with the company’s first KRS entry on 10 July 2003 and is unchanged in the extract current to 19 June 2026. The holding is therefore 100% of the share capital — PLN 634,100 divided into 6,341 registered shares (akcje imienne) of PLN 100 each, fully paid, of which PLN 490,600 was covered by contribution in kind. The shares sit in one series, recorded as carrying no preference, and the register states no separate voting-rights figure; on the face of the extract the share-capital and voting percentages coincide.

The statutory basis is art. 26 ust. 1 of the ustawa o radiofonii i telewizji, under which public radio and television bodies operate exclusively in the form of a jednoosobowa spółka akcyjna Skarbu Państwa (a sole-shareholder State Treasury joint-stock company), with art. 26 ust. 3 pkt 2 constituting the regional radio companies (spółki radiofonii regionalnej). Art. 31 ust. 3 provides that shareholders of these companies have no right to a share of profit. The company’s own Biuletyn Informacji Publicznej states that the State Treasury is its founder, that all shares were subscribed by the State Treasury, and that the company arose from part of the assets of the state unit “Polskie Radio i Telewizja” operating as “Regionalna Rozgłośnia Radiowa w Koszalinie”.

The rights attaching to the State Treasury’s shares are exercised by the minister responsible for culture and the protection of national heritage. Radio Koszalin S.A. w likwidacji appears as item 131 of the schedule to the Rozporządzenie Rady Ministrów of 17 July 2026, identified by KRS 0000167073, with that minister named and art. 8 ust. 1 pkt 1-2 of the ustawa z dnia 16 grudnia 2016 r. o zasadach zarządzania mieniem państwowym given as the basis.

Ultimate beneficial ownership

The ownership chain terminates in the State Treasury at the first step. No natural person holds shares in the company, directly or indirectly, so no natural-person beneficial owner exists. The public body to name is the Skarb Państwa, with the rights from the shares exercised by the minister responsible for culture and the protection of national heritage.

Poland’s Centralny Rejestr Beneficjentów Rzeczywistych (CRBR), which is a public beneficial-ownership register, records something different, and the difference matters. A search on 7 October 2026 by NIP and by KRS number returned one entry in force, from 6 February 2024: Zdzisław Piotr Derebecki, nationality recorded as Polish and country of residence recorded as Poland, listed not as an owner but under inne uprawnienia (other entitlements) in the register’s category “inna osoba fizyczna” (another natural person), with the entitlement described in the register’s own words as “LIKWIDATOR”. The register’s history for this company shows the same pattern throughout: Piotr Jakub Ostrowski, described as “PREZES ZARZĄDU”, for 9 July 2020 to 28 December 2023, and Paweł Robert Kusak, described as “LIKWIDATOR”, for 29 December 2023 to 5 February 2024. No shareholding, percentage, quantity or unit of measure is recorded against any of the three entries, and the Skarb Państwa does not appear in CRBR for this company at all. These are senior managing officials entered in place of an owner, not owners: none of the three is recorded anywhere as holding shares in the company, and reading the CRBR field as an ownership statement would publish a false claim about a named person.

The KRS full extract shows the zarząd (management board) struck out in its entirety at entry 62 of 22 January 2024, including the last recorded prezes zarządu (president of the management board), who had been entered on 18 August 2010. Dział 6 records that during liquidation the company is represented by one likwidator (liquidator) acting alone, in the general meeting’s wording “spółkę w okresie likwidacji reprezentuje likwidator samodzielnie”. Tense here is taken from the entry and strike-out numbers on the filing, not from any status label.

Officers recorded as current in the extract, state as at 19 June 2026:

• Likwidator (liquidator) — one person, entered at entry 63 of 9 April 2024 and not struck out. The company’s own Biuletyn Informacji Publicznej names the holder as Zdzisław Derebecki, “Likwidator Spółki”; CRBR records the same individual as the company’s notifier in the capacity “zgłaszający – likwidator”. This is a role, not an occupation, and he is a natural person, not a legal entity.
• Rada nadzorcza (supervisory board) — three members, all entered at entry 77 of 26 May 2026, which struck out the three members entered on 2 August 2022. The company’s Biuletyn Informacji Publicznej names them as Aleksander Bolko, przewodniczący rady nadzorczej (chair of the supervisory board); Anna Drobek, wiceprzewodnicząca rady (deputy chair); and Mateusz Ślesicki, sekretarz rady (secretary). The KRS lists the three as members of the rada nadzorcza without assigning functions to them, so the functions above rest on the company’s own publication.

The appointment process for these offices is set by statute. Under art. 27 ust. 3 of the ustawa o radiofonii i telewizji the members of the zarząd, including the prezes zarządu, are appointed and removed by the Rada Mediów Narodowych (National Media Council). Art. 28 ust. 1 fixes the rada nadzorcza of such a company at three members, art. 28 ust. 1e has the Rada Mediów Narodowych appoint and remove them, art. 28 ust. 1f requires candidates to meet the conditions laid down for supervisory-board candidates in companies where the State Treasury is the sole shareholder, and art. 28 ust. 3 has the board elect its chair from among its own members. The consolidated text of the Act carries editorial annotations recording that art. 27 ust. 3 and art. 28 ust. 1 were held unconstitutional by the judgment of the Trybunał Konstytucyjny of 13 December 2016 (K 13/16, Dz. U. poz. 2210) in so far as they exclude the Krajowa Rada Radiofonii i Telewizji from the appointment and removal procedure. The extract does not state which body appointed the current liquidator; Dział 6 records only the general meeting’s resolution on the manner of representation during liquidation.

The KRS extract records no parent undertaking, no subsidiary and no branch for this company, and Dział 1 states that it does not conduct business jointly with other entities. The only ownership relationship on the register is its single shareholder.

On the shared name: the “Polskie Radio” brand is used by the national broadcaster and by all seventeen regional radio companies, and a shared name or shared branding is not evidence of a group link. The Broadcasting Act constitutes Polskie Radio – Spółka Akcyjna under art. 26 ust. 3 pkt 1 and the regional radio companies separately under art. 26 ust. 3 pkt 2; each is its own sole-shareholder State Treasury joint-stock company with its own KRS number, share capital and governing bodies. No filing establishes Radio Koszalin S.A. w likwidacji as a subsidiary, division, branch or local office of Polskie Radio – Spółka Akcyjna, and it is none of those.
