Berkshire Hathaway Inc.
Berkshire Hathaway Inc. is a business corporation incorporated in the State of Delaware, United States. It is registered with the U.S. Securities and Exchange Commission under Central Index Key 0001067983 and Commission file number 001-14905, carries IRS Employer Identification Number 47-0813844, appears on the Delaware register under file number 2908471 and holds Legal Entity Identifier 5493000C01ZX7D35SD85. Its principal executive office is at 3555 Farnam Street, Omaha, Nebraska 68131, and its Delaware registered office is the Wilmington address of its registered agent. It remains a current SEC reporting company and filed its annual report on Form 10-K for the year ended 31 December 2025 on 2 March 2026.
Two fields on the company record above do not describe this entity. The stored legal form, Public Limited Company, is a United Kingdom and Commonwealth form; Berkshire Hathaway Inc. is a stock corporation formed under the Delaware General Corporation Law. The stored incorporation date of 1 January 1889 is a 1 January placeholder pointing at nineteenth-century Massachusetts textile predecessors, and it does not describe the filing entity. The registrant that files today was formed in Delaware in 1998 under the name NBH, Inc. and took the name Berkshire Hathaway Inc. at 11:59 p.m. Eastern Time on 21 December 1998, when the combination with General Re Corporation completed and the earlier Berkshire Hathaway Inc. was renamed OBH Inc. The nineteenth-century textile history therefore belongs to predecessor companies, not to this registrant. The source named on the record, the Nebraska Secretary of State, reflects the Omaha principal executive office rather than the place of incorporation: Nebraska is not the state of incorporation, and any Nebraska filing would be a foreign-corporation qualification.
Berkshire Hathaway Inc. is a holding company. Its reported activities are concentrated in primary insurance and reinsurance of property and casualty risks and of life and health risks; freight rail transportation; rate-regulated electricity generation, transmission and distribution in the United States, Great Britain and Alberta, Canada; interstate natural gas pipelines and liquefied natural gas export, import and storage; and a broad spread of manufacturing, service and retailing activities that includes industrial and building products, consumer products, aerospace and metal components, electronic component distribution, grocery and foodservice distribution, aviation training and fractional aircraft ownership, and residential real estate brokerage. Its SEC standard industrial classification is 6331, fire, marine and casualty insurance.
Class A common stock (BRK.A) and Class B common stock (BRK.B) are listed on the New York Stock Exchange, together with ten series of senior notes. For the year ended 31 December 2025 Berkshire Hathaway Inc. reported consolidated revenues of USD 371.444 billion, consolidated net earnings attributable to Berkshire Hathaway shareholders of USD 66.968 billion, consolidated total assets of USD 1,222.176 billion and consolidated shareholders equity of USD 717.419 billion. It reported approximately 387,800 employees worldwide at the end of 2025, about 80 per cent of them in the United States. On 31 July 2025 it acquired Bell Laboratories, a Wisconsin-based producer of rodenticides and rodent-control products, and on 2 January 2026 it completed the purchase of the chemicals business of Occidental Petroleum Corporation, known as OxyChem, for consideration of approximately USD 9.5 billion, subject to adjustment under the agreement dated 1 October 2025.

Shareholders of Berkshire Hathaway Inc.
Berkshire Hathaway Inc. is a New York Stock Exchange listed company with two classes of common stock, so the ownership information available is limited to major and reportable holders and is not a complete share register. Class A common stock has a par value of USD 5.00 and Class B common stock a par value of USD 0.0033, and each Class A share is convertible into 1,500 Class B shares. At 31 January 2026 there were 511,820 Class A shares and 1,389,605,139 Class B shares outstanding; at 29 July 2026 the counts were 488,450 Class A shares and 1,408,035,161 Class B shares.
The proxy statement filed on 13 March 2026 reports beneficial ownership at 4 March 2026. Warren E. Buffett held 196,317 Class A shares, being 38.4 per cent of that class, and 1,114 Class B shares, which together gave him 30.2 per cent of the aggregate voting power of the two classes and 13.7 per cent of the aggregate economic interest. Directors and executive officers as a group held 197,224 Class A shares, 38.6 per cent of that class, and 3,318,752 Class B shares, 0.2 per cent of that class, being 30.4 per cent of aggregate voting power and 13.9 per cent of aggregate economic interest. The voting-power and economic-interest columns differ sharply because Class A carries substantially greater voting weight per share than Class B.
The most recent filed position is later than the proxy. In an amendment to Schedule 13D filed on 15 July 2026, Mr Buffett reported that on 14 July 2026 he converted 8,000 Class A shares into 12,000,000 Class B shares and donated 9,000,000 Class B shares to the Susan Thompson Buffett Foundation and 1,000,000 Class B shares to each of the Sherwood Foundation, the Howard G. Buffett Foundation and the NoVo Foundation. Following those transactions he held 188,290 Class A shares, 38.2 per cent of that class, and 1,162 Class B shares, less than 0.01 per cent of that class, representing 29.7 per cent of the aggregate voting power of the outstanding shares of both classes and 13.2 per cent of the aggregate economic interest. No later filing on Berkshire Hathaway Inc. stock by him had been made as at 30 September 2026.
The 2026 proxy statement names Mr Buffett as the only beneficial owner of more than 5 per cent of the Class A stock. For Class B it reports positions taken from Form 13F filings for the quarter ended 31 December 2025: The Vanguard Group with 157,103,196 shares, about 11.4 per cent of Class B; BlackRock Inc. with 121,286,101 shares, about 8.8 per cent of Class B; and State Street Corporation with 73,925,068 shares, about 5.3 per cent of Class B. Those percentages are of the Class B class alone. Because Class B carries far less voting weight per share, none of those positions corresponds to a comparable share of voting power, and none of the three is reported as holding voting control of the company.
Ultimate beneficial ownership
No single person holds a controlling interest in Berkshire Hathaway Inc. Warren E. Buffett is the only natural person identified in the filings as a beneficial owner of more than 5 per cent of either class. On the most recent filed figures, dated 14 July 2026, his interest is direct and amounts to 29.7 per cent of aggregate voting power and 13.2 per cent of aggregate economic interest. The distinction matters for a beneficial-ownership assessment: measured on voting rights he is above a 25 per cent threshold, and measured on economic interest he is below it. He is also party to a voting agreement with the company under which, should the combined voting power of shares over which he has or shares voting and investment power exceed 49.9 per cent of the total voting power of the company, he will vote the excess proportionately with the votes of the other shareholders. No other ultimate beneficial owner can be identified from the filed record.
Data availability
Major shareholders only. United States federal law requires disclosure of holdings above reporting thresholds and of beneficial ownership by directors and executive officers; there is no public register of every shareholder, and holdings held through nominees and brokers are not attributed to end investors. The five shareholder rows stored on this record are not a share register and should not be read as ownership: they are part of a truncated 20-row third-party extract of fund positions dated 4 September 2026, carrying percentages between 0.0002 and 0.013 per cent computed against a denominator that reconciles to neither share class, share counts valued at a Class A share price, and at least one pooled fund position typed as a natural person.

Recent officer changes
Chief executive succession. The Board voted on 4 May 2025 to appoint Gregory E. Abel as President and Chief Executive Officer with effect from 1 January 2026, succeeding Warren E. Buffett, who continues as Chairman. The by-laws were amended and restated on 30 September 2025 for the principal purpose of separating the roles of Chairman of the Board and Chief Executive Officer, as reported in the Form 8-K filed on 3 October 2025. Data availability
Current only, and partial. United States securities filings identify directors and executive officers and the dates on which appointments take effect, but they do not publish nationality or country of residence; nationality for every person named here is therefore recorded as Not disclosed, and it must not be inferred from a name or from the Omaha correspondence address. Dates of birth are not published; the Form 10-K discloses ages for named executive officers only. The five officer rows stored on this record are an incomplete and partly outdated extract of eleven rows, all flagged active and none carrying an appointment or resignation date. Warren E. Buffett is shown there as Chairman, Chief Executive Officer and President, which has not been accurate since 1 January 2026; Marc D. Hamburg is shown as Chief Financial Officer, which has not been accurate since 1 June 2026; Charles C. Chang, Daniel J. Jaksich and the ten non-executive directors are absent; and Adam M. Johnson, shown there as President of Consumer Products, Service and Retailing, is named in the Form 10-K as the head of that operating group reporting to the Chief Executive Officer but is not among the executive officers of the registrant listed in that report.

Group Structure
Group structure of Berkshire Hathaway Inc.
Berkshire Hathaway Inc. has no parent company and is the ultimate parent of its own group. The authoritative list of its subsidiaries is Exhibit 21 to the annual report on Form 10-K for the year ended 31 December 2025, which names 275 subsidiaries. Delaware is the largest domicile with 114 entities, followed by Nebraska with 27, and the remaining 134 entities are spread across a further 50 domiciles, including the United Kingdom (9), Canada (7), Iowa, Georgia and Texas (7 each), Germany (5), China (4), and single entities in jurisdictions such as Austria, Switzerland, Luxembourg, the Netherlands, Ireland, Israel, Slovakia, Singapore, Mexico, Brazil and South Africa. Exhibit 21 records that further unnamed subsidiaries exist which, considered in the aggregate as a single subsidiary, would not constitute a significant subsidiary. It gives no hierarchy, no registration numbers and no ownership percentages, so ownership percentage is not disclosed for any named entity.
Many members of the group are separately regulated, and their authorisations and statutory figures belong to them and not to Berkshire Hathaway Inc. Each licensed insurer, such as Government Employees Insurance Company, General Reinsurance Corporation or Berkshire Hathaway Specialty Insurance Company, is a distinct legal entity with its own domiciliary insurance regulator and its own statutory accounts. The same separation applies to BNSF Railway Company as a rail carrier and to the rate-regulated utilities PacifiCorp, MidAmerican Energy Company and NV Energy. Equity stakes in other listed companies are investments rather than group members and are excluded here unless Exhibit 21 names the entity.
Recent structural changes
On 2 January 2026 Berkshire completed the acquisition of the chemicals business of Occidental Petroleum Corporation, known as OxyChem, under a definitive agreement dated 1 October 2025, for consideration of approximately USD 9.5 billion subject to adjustment, with Occidental retaining the legacy environmental liabilities. On 31 July 2025 Berkshire acquired Bell Laboratories, a producer of rodenticides and rodent-control products headquartered in Windsor, Wisconsin. Both are confirmed as completed in the Form 10-K for 2025.
Data availability
Subsidiaries only, and partial. The filed record identifies subsidiaries by name and domicile but not by hierarchy, registration number or ownership percentage, and there is no parent to report. The corporate-linkage tree stored on this record holds 1,641 nodes across 65 country codes and is far too large and too defective to reproduce; it was audited against Exhibit 21 rather than repeated. The measured defects are as follows. 331 nodes, about 20 per cent, carry a hash-prefixed pseudo-identifier in place of a registration number. At least 83 nodes carry a tax identifier rather than a company registration number, including European VAT numbers, Mexican RFC codes, Indian GSTIN numbers, Argentine CUIT numbers, Philippine TIN numbers, a Brazilian CNPJ and Swiss UID numbers. States of organisation contradict Exhibit 21 on a large scale: of the 160 United States nodes whose name matches an Exhibit 21 entity and which carry a state code, 89, or 56 per cent, disagree with the exhibit, with BNSF Railway Company shown as Texas rather than Delaware, GEICO Corporation as Maryland rather than Delaware and HomeServices of America, Inc. as Minnesota rather than Delaware; only three nodes in the entire tree are coded Delaware, against 114 Delaware entities in Exhibit 21. 87 name groups are duplicated, producing 129 surplus rows under different identifiers, with General Reinsurance AG appearing seven times, Berkshire Hathaway Specialty Insurance Company five times and TTI, Inc. four times. 23 nodes are branches or representative offices of another legal entity rather than companies, and one of them, the French branch of Berkshire Hathaway European Insurance Designated Activity Company, is coded to Spain. Brands, divisions, plants and misspelt trading names appear as companies, among them Berkshire Hathaway Group, Berkshire Hathaway Group Reinsurance Division, Berkshire Hathaway Homestates, Fechheimer-Martin Plant, IBP Glass Block Grid System, Transre and Berkshire Hathaway Home Servies. At least four estate agencies trading under the Berkshire Hathaway HomeServices franchise brand are placed as direct subsidiaries of the parent, although the Form 10-K describes that operation as a residential real estate brokerage franchise business, so a franchisee is not a group member. Disposed businesses remain shown as live, notably The Buffalo News Inc. as a direct subsidiary, although the newspaper operations conducted through The Buffalo News and BH Media Group, Inc. were sold in March 2020. The hierarchy is heavily flattened, with 268 entities presented as direct subsidiaries of the parent against a maximum depth of nine elsewhere in the tree. Coverage is also incomplete: 21 of the 275 subsidiaries named in Exhibit 21 could not be matched to any node, including GEICO Indemnity Company, TaeguTec Ltd. and Nederlandse Reassurantie Groep N.V. Finally, Occidental Chemical Corporation appears directly beneath the parent; that entity did join the group on 2 January 2026 with the OxyChem acquisition, but it is not in the 31 December 2025 Exhibit 21, and the separate holding in Occidental Petroleum Corporation itself remains an investment rather than a group relationship.

Berkshire Hathaway Inc. is a holding company incorporated in Delaware, United States, with its principal executive office at 3555 Farnam Street, Omaha, Nebraska 68131. Its activities cover primary insurance and reinsurance of property, casualty, life and health risks; freight rail transportation; rate-regulated electricity generation, transmission and distribution in the United States, Great Britain and Alberta, Canada; interstate natural gas pipelines and liquefied natural gas facilities; and manufacturing, service and retailing businesses. The company record shows an incorporation date of 1 January 1889 and a legal form of Public Limited Company: neither describes this entity. The registrant was formed in Delaware in 1998 as NBH, Inc. and took the Berkshire Hathaway Inc. name on 21 December 1998; it is a Delaware stock corporation, not a UK-style public limited company. Its identifiers are Delaware file number 2908471, IRS Employer Identification Number 47-0813844, SEC Commission file number 001-14905 and LEI 5493000C01ZX7D35SD85.
Who owns Berkshire Hathaway Inc.?
Berkshire Hathaway Inc. is listed, so only major and reportable holders are disclosed. At 29 July 2026 there were 488,450 Class A shares and 1,408,035,161 Class B shares outstanding. The proxy statement filed on 13 March 2026 names Warren E. Buffett as the only beneficial owner of more than 5 per cent of Class A stock. For Class B it reports, from Form 13F filings for the quarter ended 31 December 2025, The Vanguard Group with 157,103,196 shares (11.4 per cent of Class B), BlackRock Inc. with 121,286,101 shares (8.8 per cent) and State Street Corporation with 73,925,068 shares (5.3 per cent); those percentages are of Class B alone and do not correspond to comparable voting power. Who is Berkshire Hathaway Inc.'s UBO (Ultimate Beneficial Owner)?

Voting power and economic interest therefore differ materially: he is above a 25 per cent threshold on votes and below it on economics. The earlier proxy figures at 4 March 2026 were 196,317 Class A shares, 30.2 per cent of voting power and 13.7 per cent of economic interest, the reduction reflecting his conversion of 8,000 Class A shares into Class B shares and donation of 12,000,000 Class B shares to four foundations on 14 July 2026. He is also bound by a voting agreement to vote proportionately with other shareholders any voting power above 49.9 per cent of the company total.

Recent completed changes are the acquisition of the OxyChem chemicals business from Occidental Petroleum Corporation on 2 January 2026 for approximately USD 9.5 billion and the acquisition of Bell Laboratories on 31 July 2025. Equity stakes in other listed companies are investments rather than group members. The 1,641-node corporate-linkage tree stored on this record was audited rather than reproduced and is materially defective: 331 nodes carry pseudo-identifiers, at least 83 carry tax identifiers instead of registration numbers, 89 of 160 matchable United States nodes contradict Exhibit 21 on the state of organisation, 129 rows are duplicates, 23 are branches rather than companies, several are brands or divisions, at least four are franchisees rather than subsidiaries, and one disposed business is still shown as live.
