Binah Capital Group, Inc. is a Delaware corporation, Delaware file number 6879505, formed on 27 June 2022. Its common stock trades on the Nasdaq Stock Market under the ticker BCG and its warrants under BCGWW (SEC CIK 0001953984). The company is a wealth-management platform: through its operating firms it provides securities brokerage, investment advisory and insurance services, together with compliance, supervision and back-office support, to independent financial advisors in the United States. The Delaware register is captcha-gated and was not read; the file number and formation date come from the 2025 Form 10-K and from GLEIF, which marks them as fully corroborated against the Delaware Division of Corporations.
What does Binah Capital Group do? Its 2025 Form 10-K describes ten operating entities: four broker-dealers, three SEC-registered investment advisers and three insurance entities, with more than 1,600 registered individuals. Advisors can work under three models. In the hybrid model they keep their own registered investment adviser and place commission business through the group’s broker-dealer. In the independent model they affiliate as independent contractors. In the W2 model they are employees in an established branch. Products include equities, bonds, ETFs, mutual funds, insurance, annuities and fee-based managed accounts. The brokerage firms are regulated by the SEC and FINRA, and the advisers under the Investment Advisers Act.
Binah Capital Group reported consolidated total revenue of $187.1 million for 2025, up from $168.9 million in 2024. It made net income of $2.3 million in 2025, after a net loss of $4.6 million in 2024. Advisory and brokerage assets served were $29.9 billion at 31 December 2025, and the workforce was about 150 employees. For the six months to 30 June 2026 the company reported total revenue of $95.2 million (2025: $90.4 million) and net income of $2.2 million. There were 17,060,131 common shares in issue on 13 August 2026. All of these figures are consolidated.
The company became listed through a business combination completed on 15 March 2024 with Kingswood Acquisition Corp., a special-purpose acquisition company, and Wentworth Management Services LLC, a wealth-management business founded in March 2016. On 23 December 2024 it entered into a credit agreement with Byline Bank. The 10-K gives its principal executive offices as 80 State Street, Albany, New York. The registered office is c/o The Corporation Trust Company, Wilmington, Delaware (GLEIF).
Record notes: the incorporation date of 6 March 2024 shown on this page conflicts with the 27 June 2022 formation date in the 10-K and GLEIF. The stored website, wentworthms.com (registered 15 March 2016), served a hosting provider’s “Unknown Domain” page on 15 October 2026; the 10-K names the company’s website as www.binahcap.com.

Shareholders of Binah Capital Group, Inc.
Who owns Binah Capital Group, Inc.? The company has a majority shareholder. Its proxy statement, filed on 30 April 2026, reports beneficial ownership on 24 April 2026, calculated on 16,602,460 shares of common stock in issue. The holders above 5% were:
- MHC Securities, LLC: 9,011,653 shares, 54.28%. MHC’s Form 3 reports that it received these shares on 15 March 2024, when the business combination closed. Its EDGAR filer record gives Delaware as its state of organisation.
- PPD Group, LLC: 1,384,323 shares, 8.34%.
- Kingswood Global Sponsor LLC: 1,100,000 shares, 6.63%. These shares were placed in escrow with UMB Bank at closing.
- Alta Partners LLC: 970,519 shares, 5.85%. The proxy takes this from Alta’s Schedule 13G filed on 21 November 2025, which reported 5.52%.
- Craig Gould: 916,906 shares, 5.39%. This is 516,906 shares held directly plus 400,000 options exercisable within 60 days.
A sixth holder files Schedule 13G but does not appear in the proxy table. Wentworth Funding LLC, a Delaware LLC, reported 9.4%, including warrant shares, in its first Schedule 13G (event date 15 March 2024, filed 18 June 2024). Its later amendments reported 8.8% at 31 December 2024 and 7.2% at 30 September 2025. Its most recent amendment, filed on 20 July 2026, reports 894,977 shares (5.3%) at 30 June 2026. These are the company’s and the holder’s own filings, and they are stated here side by side.
The company also has two classes of preferred stock. In a private placement on 15 March 2024 it issued 1,500,000 shares of Series A Redeemable Convertible Preferred Stock for $14.4 million. From the second anniversary these can convert at an initial 1.5 common shares per preferred share. In September 2024 it sold 150,000 shares of Series B Junior Convertible Preferred Stock for $1.5 million. The filings do not name the buyers. At 31 March 2026 there were 17 holders of record of the common stock.
Ultimate beneficial ownership
The proxy states that Alexander C. Markowitz is the Manager of MHC Securities, LLC and may therefore be deemed to share voting and investment power over MHC’s 54.28%. This is a statement of control under the SEC’s definition of beneficial ownership. It is not an economic ownership percentage. MHC’s own members and their interests are not disclosed, so no effective ownership percentage can be calculated for any natural person. A full-text search of EDGAR found no Schedule 13D filed on the company under either the old (SC 13D) or the new (SCHEDULE 13D) form name. The same search returned the three Schedule 13G/A amendments on file, which shows the search works. Under FinCEN’s rule effective 14 August 2026, US domestic companies are exempt from beneficial-ownership reporting, so no BOI filing exists to consult.
Data availability
Major shareholders only: US filings disclose holders above 5% and insiders, not the full register. The provider shareholder table on this page lists The Vanguard Group (23.16%), two Vanguard index funds (15.44% and 7.72%), UBS Group AG (9.72%) and Grimes & Co Wealth Management (6.18%). These percentages do not reconcile with the shares in issue. For example, the 125,542 shares stored for The Vanguard Group are about 0.76% of 16,602,460 shares. None of these five holders appears in the proxy’s 5% table, and no Schedule 13G from any of them appears in EDGAR’s filing index for the company. The two index-fund rows are also funds of the same Vanguard complex, not separate holders. The stored row quantities could not be verified.

Who are the directors of Binah Capital Group, Inc.? The proxy statement filed on 30 April 2026 names a board of five, all directors since 2024, on a classified board:
- Craig Gould: Chief Executive Officer and Chairman. His term runs to the 2027 annual meeting.
- David Shane: Chief Financial Officer and director. His term runs to the 2027 annual meeting.

Investor presentations furnished with the company’s 8-K reports give Ryan Marcus the title of Chief Business Development and Engagement Officer. He is not among the named executive officers in the proxy. None of these filings records a resignation or removal of any of these people.
Recent officer changes
- 12 June 2026: Daniel Hynes re-elected as a Class II director at the annual meeting, with 11,537,532 votes for and 53,827 withheld (8-K filed 15 June 2026).
- 26 February 2026: David Shane’s employment agreement as Chief Financial Officer amended from a three-year to a five-year initial term (8-K filed 27 February 2026).
Data availability
Officer information is complete for the board and executive officers, from SEC filings. Delaware does not publish officers in a readable register. SEC filings do not record nationality, which is therefore not disclosed. The provider officer list on this page stores 5 of the 6 rows it reports and includes none of the three independent directors. Two rows carry subsidiary job titles. One is Roger Leibowitz, named in the company’s 2023 Form 10-K as Chief Financial Officer of Cabot Lodge Securities, LLC, a subsidiary; he is not named in the 2025 or 2026 filings reviewed, so he is not a disclosed officer of Binah Capital Group, Inc. The other is Katherine Flouton, whose first name the provider spells as in the 2023 10-K (“Kathrine”). Every birth month stored is January, which is a placeholder and is not published.

Group Structure
Group structure of Binah Capital Group, Inc.
Binah Capital Group, Inc. is the listed holding company at the top of its operating group. Its 10-K describes it as a holding company for wholly-owned subsidiaries in retail wealth management. Above it is a majority shareholder, MHC Securities, LLC, which held 54.28% of the common stock on 24 April 2026 according to the 2026 proxy. That is a shareholding. No filing describes MHC as consolidating the company. Binah Capital Group’s GLEIF record reports no direct or ultimate accounting parent and gives the reason “NON_CONSOLIDATING” for both.
Below the company, the business combination of 15 March 2024 produced the following chain. Kingswood Acquisition Corp. became a wholly-owned subsidiary and was later renamed Binah Capital Corp. Wentworth Management Services LLC (dba Binah Management Services) became wholly owned by Binah Capital Corp. The operating firms sit under Wentworth: four FINRA-member broker-dealers, three SEC-registered investment advisers (one of them a broker-dealer that is also a registered adviser), insurance agencies, and a captive professional-liability insurer in the British Virgin Islands. All are US entities except the insurer. The table lists the entities named in the filings, with regulator identifiers where FINRA BrokerCheck or the SEC’s adviser database confirmed them.

Recent structural changes
- 15 March 2024: business combination completed. Kingswood Acquisition Corp. and Wentworth Management Services LLC became wholly-owned subsidiaries, and Kingswood Acquisition Corp. was later renamed Binah Capital Corp. (10-K for 2025, Item 1).
- After 31 December 2025: Michigan Securities, Inc. changed its name to PKS Securities, Inc. (10-K for 2025, note 1). FINRA BrokerCheck lists the firm as PKS SECURITIES, INC. with its former names.
- First half of 2026: a unit purchase agreement gave the company a 60% controlling interest in World Fund Manager, LLC, the manager of the pre-IPO investment fund Midway Venture Partners, LLC (10-Q for the quarter to 30 June 2026, note 1).
Data availability
Partial. The company has filed no Exhibit 21 subsidiary list with any of its 10-Ks for 2023, 2024 or 2025: none of the three filing indexes contains one, and the 2025 exhibit index goes from 19.1 to 31.1. The table therefore comes from the organisation notes in the 10-K and 10-Q, which give individual percentages only for World Fund Manager. The provider group tree on this page shows MHC Securities as the parent, which is a real majority shareholding. But it shows none of the subsidiaries and labels this company “US NY 6879505”, although 6879505 is its Delaware number. The New York active-corporations dataset has no entity with that DOS number and no entry for Binah Capital Group, Inc.; the same query found Purshe Kaplan Sterling Investments, Inc. (1780491), which shows the query works. The tree gives MHC the number “US NJ 5791274”, while MHC’s EDGAR record says Delaware. That number could not be verified.
