CERIDIAN CORPORATION
CERIDIAN CORPORATION was a Delaware corporation formed on 8 August 2000, first under the name New Ceridian Corporation, to take over the human resource services and Comdata payment businesses in a spin-off. It became an independent public company on 30 March 2001. It no longer exists in that form: effective 1 October 2013 it converted into a limited liability company named Ceridian LLC, and after 30 April 2018 it was merged into Ceridian HCM Holding Inc., the Delaware company now named Dayforce, Inc. Its IRS employer identification number was 41-1981625 and its SEC CIK is 0001124887.
The company worked in two areas. Its Human Resource Solutions business ran payroll processing and payroll-tax filing, benefits administration including COBRA and HIPAA compliance, HR outsourcing, and the LifeWorks employee-assistance and work-life programmes. Its Comdata business issued and processed fuel, fleet, payroll and stored-value cards, mainly for the US transportation industry.
For the year ended 31 December 2008 Ceridian Corporation reported consolidated revenue of $1,565.3 million: $1,255.5 million from the United States, $216.9 million from Canada and $92.9 million from the United Kingdom. It employed about 8,500 people at 27 February 2009. These are consolidated figures from its last annual report on Form 10-K, filed on 31 March 2009. Its shares traded on the New York Stock Exchange from 2001 until a cash merger completed on 9 November 2007.
Two states hold records of the company’s registrations to do business outside Delaware. Neither is its incorporation. Florida lists document F01000001819 as a foreign profit corporation, filed on 3 April 2001 with a Minneapolis address and the same employer number, and records a withdrawal on 24 April 2015. Minnesota lists file 106327, filed on 8 November 2000 as New Ceridian Corporation, and records a withdrawal on 31 May 2018.
A different company used the same name. The former Control Data Corporation called itself Ceridian Corporation from 1992 until 2001, when it became Arbitron Inc. Since 2014 it has been Nielsen Audio, Inc. (Minnesota file 13507). Records for the two companies should not be merged. The ceridian.com address now redirects to dayforce.com, the website of Dayforce, Inc.
The card above does not match these records. The stored number 1266235 is not a Florida document number. The stored date of 8 August 2002 matches no filing. Jacksonville does not appear in the Florida record. “Active” and “Public Limited Company” do not describe this entity.

Shareholders
Shareholders of CERIDIAN CORPORATION
CERIDIAN CORPORATION has had no shareholders since 2018, when the entity, by then named Ceridian LLC, was merged into Ceridian HCM Holding Inc.
Its common stock traded on the New York Stock Exchange from 2001 until 9 November 2007, when a merger converted each share into the right to receive $36.00 in cash. The company then became a wholly owned subsidiary of Foundation Holdings, Inc., which was indirectly owned by Fidelity National Financial, Inc., affiliates of Thomas H. Lee Partners, L.P. and co-investors. The 10-K for 2008 records 50,000 shares of common stock in issue at 30 June 2008, with no public market. Above Foundation Holdings sat Ceridian Intermediate Corp. and then Ceridian Holding Corp.
After its conversion into Ceridian LLC on 1 October 2013, the company was 100% owned by Foundation Holding LLC. That company was in turn 100% owned by Ceridian Holding LLC (formerly Ceridian Holding Corp.). Comdata’s 2013 financial statements say affiliates of Thomas H. Lee Partners and Fidelity National Financial owned about 96% of Ceridian Holding LLC, and co-investors including members of management owned about 4%. The 2018 filings of Ceridian HCM Holding Inc. describe the same roughly 96% / 4% split, naming Thomas H. Lee Partners and Cannae Holdings as the sponsors.

Group Structure
Group structure of CERIDIAN CORPORATION
CERIDIAN CORPORATION is no longer part of any corporate group because it no longer exists as a separate entity. It was formed in 2000 to receive the human resource and Comdata businesses that its predecessor spun off on 30 March 2001. That predecessor was the earlier Ceridian Corporation, which then renamed itself Arbitron Inc. From 9 November 2007 the company was wholly owned by Foundation Holdings, Inc. On 1 October 2013 it converted into Ceridian LLC, which was 100% owned by Foundation Holding LLC, in turn 100% owned by the ultimate parent, Ceridian Holding LLC. It owned Comdata Inc. until 2014, and together with Ceridian Holding II LLC it held most of Ceridian HCM Holding Inc. (position at 31 March 2018). After the IPO of Ceridian HCM Holding Inc. on 30 April 2018, that company absorbed it by merger. The survivor was renamed Dayforce, Inc. on 31 January 2024. Since 4 February 2026 Dayforce, Inc. has been a wholly owned subsidiary of Dayforce Bidco, LLC, an affiliate of Thoma Bravo funds.
