Cognizant Technology Solutions Corporation
Cognizant Technology Solutions Corporation is a stock corporation organised under the General Corporation Law of the State of Delaware, United States. Its Class A common stock has traded on the Nasdaq Stock Market under the ticker CTSH since its initial public offering in June 1998, and it reports to the U.S. Securities and Exchange Commission under Commission File Number 0-24429 and Central Index Key 0001058290. Its IRS Employer Identification Number is 13-3728359 and its Legal Entity Identifier is 5493006IEVQEFQO40L83. GLEIF records the legal jurisdiction as US-DE and the registration as file number 2156937 issued by the Delaware Division of Corporations (registration authority RA000602). The company’s 1998 offering prospectus states that it is a Delaware corporation originally organized in 1988 whose software development and maintenance services business began operations in 1994; the exact day of incorporation is not published in a freely accessible Delaware record, so only the year is stated here. The register status shown above is active, which records that the registration has not been ended and is not by itself evidence about current trading.
Two fields on the information card above need qualifying. The card carries no registration number and no incorporation date, and it names the New Jersey Division of Revenue & Enterprise Services as its source. New Jersey is where the principal executive offices are located, at 300 Frank W. Burr Blvd., Suite 36, 6th Floor, Teaneck, New Jersey 07666, and a New Jersey filing for this company is an authorisation to transact business in that state rather than the incorporation, which is in Delaware on the evidence of the Form 10-K cover page and the GLEIF record. The card also gives the legal form as Public Limited Company, which is a British and Commonwealth form with no equivalent in Delaware law. Cognizant Technology Solutions Corporation is a Delaware business corporation whose Class A common stock carries a par value of $0.01 per share.
The company provides professional and technology services. Its offering covers consulting, application development, systems integration, quality engineering and assurance, application maintenance, infrastructure and security, and business process services and automation, and it develops, licenses, implements and supports proprietary and third-party software products and platforms. Work is organised into four reportable segments: Health Sciences; Financial Services; Products and Resources, which serves manufacturers, automakers, retailers, consumer goods companies, aerospace and defence, travel and hospitality, logistics, energy and utilities; and Communications, Media and Technology. Services are delivered from client sites, in-country and regional delivery centres and offshore delivery centres.

Shareholders of Cognizant Technology Solutions Corporation
Cognizant Technology Solutions Corporation is a Nasdaq-listed Delaware corporation with a single publicly traded class of stock: Class A common stock of $0.01 par value, ticker CTSH, CUSIP 192446102. It has no shareholder register of the kind a private company files. What is published is the set of holders who cross the five per cent reporting threshold under Section 13(d) of the Securities Exchange Act of 1934, together with the holdings of directors and executive officers disclosed in the annual proxy statement. Ownership disclosure for this company should therefore be read as major shareholders only, never as a complete shareholder base.
The definitive proxy statement filed on 17 April 2026 reports, on information as of 6 April 2026, two beneficial owners of more than five per cent of the common stock. BlackRock, Inc. holds 42,418,452 shares, 9.0 per cent of the shares outstanding, with sole voting power over 38,287,105 shares and sole dispositive power over 42,418,452. State Street Corporation holds 24,989,996 shares, 5.3 per cent, with shared voting power over 15,614,515 shares and shared dispositive power over 24,985,816. The proxy states that these figures rest on a Schedule 13G/A filed by BlackRock on 24 April 2025 and a Schedule 13G filed by State Street on 17 October 2024. That State Street schedule reports the same 24,989,996 shares as 5.0 per cent of the class at its event date of 30 September 2024, filed under Rule 13d-1(b) as a parent holding company. Both holders are institutional asset managers reporting positions held for funds and client accounts.
The same proxy records that The Vanguard Group reported on 26 March 2026 that, following an internal realignment, it no longer has and is not deemed to have beneficial ownership over Company securities beneficially owned by various subsidiaries and business divisions, and that certain of those subsidiaries or divisions will report beneficial ownership separately on a disaggregated basis. The Vanguard Group is consequently not among the reportable holders shown in the 2026 proxy statement.
Directors and executive officers as a group, twenty people at the date of the 2026 proxy statement, are reported as holding 2,026,731 shares on a combined basis including unvested awards and deferred units, and the proxy states that each of them individually and the group as a whole owns less than one per cent of the shares outstanding. The share counts against which these percentages run are 473,867,780 Class A shares on the record date of 6 April 2026 and 478,246,920 Class A shares on 6 February 2026 per the Form 10-K cover page.
Why the shareholder table above should not be read as ownership
The shareholder table rendered on this page is a truncated extract, five of twelve rows, from a third-party data feed dated 4 September 2026, and its percentage column is not an ownership percentage. The percentages are calculated against the sum of the rows in the sample rather than against shares outstanding. The largest row shows The Vanguard Group with 60,348,442 shares at 24.0 per cent; measured against the 478,246,920 Class A shares outstanding reported on the Form 10-K cover page that holding would be about 12.6 per cent, and Vanguard is in any case no longer a reportable holder on the company’s own 2026 disclosure. The row for BlackRock, Inc. shows 50,659,801 shares at 20.1 per cent where the company reports 42,418,452 shares at 9.0 per cent. Because the extract is truncated, nothing should be inferred from which holders are absent from it, including the absence of State Street Corporation.
Ultimate beneficial ownership
No ultimate beneficial owner is identified for Cognizant Technology Solutions Corporation in any authoritative filing reviewed. The company is widely held. The two holders reported above the five per cent threshold are institutional asset managers whose reported beneficial ownership arises from voting and dispositive power exercised on behalf of funds and client accounts under SEC reporting rules rather than from an economic interest held for their own account, and neither reaches a level that would constitute control. No natural person is reported as holding a qualifying interest. No Schedule 13D or Schedule 13D/A, the filing a holder acquiring shares with a control purpose is required to make, appears on the EDGAR filing index for this issuer as at 30 September 2026; every currently reported position above the threshold is a passive Schedule 13G filing.
Data availability
Major shareholders only. United States securities law publishes holdings above the five per cent reporting threshold and the holdings of directors and officers; it does not publish a complete shareholder base, and most of the register is held in street name through nominees. The information here is current to the 2026 proxy statement’s information date of 6 April 2026 and to the underlying Schedule 13G filings of 24 April 2025 and 17 October 2024. No central beneficial-ownership register of the kind maintained in some other jurisdictions applies to a company of this type, so the absence of a named beneficial owner is a feature of the disclosure regime and not evidence that none exists.

Directors and officers of Cognizant Technology Solutions Corporation
The Form 10-K for the year ended 31 December 2025, filed on 12 February 2026, identifies eight current executive officers of Cognizant Technology Solutions Corporation: Ravi Kumar S, also recorded as Ravi Kumar Singisetti, Chief Executive Officer since January 2023; Jatin Dalal, Chief Financial Officer since December 2023; Balu Ganesh Ayyar; Kathryn Diaz, Chief People Officer since March 2025; Surya Gummadi, President – Americas since March 2025; Alina Kerdman, Senior Vice President, Controller and Chief Accounting Officer since July 2025; John Kim, Chief Legal Officer, Chief Administrative Officer and Corporate Secretary since March 2025; and Rajesh Varrier, President – Operations and Managing Director, Cognizant India since March 2025. Executive officers are appointed annually by the board and serve until their successors are duly appointed and qualified.
Thirteen directors were elected at the annual meeting of shareholders held on 2 June 2026: Zein Abdalla, Vinita Bali, Eric Branderiz, Archana Deskus, John M. Dineen, Ravi Kumar S, Leo S. Mackay, Jr., Michael Patsalos-Fox, Stephen J. Rohleder, Abraham Schot, Karima Silvent, Joseph M. Velli and Sandra S. Wijnberg. The board has determined that every director other than Mr Kumar, the chief executive, is independent, and Mr Rohleder has served as independent Chair of the board since January 2023. Directors are elected annually, and the same thirteen were the nominees in the proxy statement filed on 17 April 2026.
Why the officer table above should not be read as current
The officer table rendered on this page is a truncated extract, five of fourteen rows, from a third-party data feed. The five rows do belong to this company: each names a person the company’s own filings identify. But no row carries an appointment date or a resignation date, and every row is flagged ACTIVE, so the feed cannot distinguish a current appointment from one that has ended. The snapshot dates to between March and June 2025. It records Rajesh Varrier under the title he took on in March 2025, and it still shows Robert Telesmanic as Senior Vice President, Corporate Controller and Chief Accounting Officer, a role that ended on 1 July 2025; Mr Telesmanic is not a current officer of the company. A further row titled Executive VP & Chief Marketing Officer names a person who is not among the executive officers the company identifies in its FY2025 Form 10-K, and carries no dates, so it is not evidence of a current appointment either way. Because the extract stops at five of fourteen rows, nothing should be inferred from who is absent from it.
Recent officer changes
On 23 May 2025 Robert Telesmanic notified the company of his plan to retire from the role of Senior Vice President, Controller and Chief Accounting Officer effective 1 July 2025, and on 28 May 2025 the board approved the appointment of Alina Kerdman to that role effective 1 July 2025. Source: Form 8-K, Item 5.02, filed 28 May 2025.
On 23 February 2026 Balu Ganesh Ayyar transitioned from the role of President – Intuitive Operations and Automation and Industry Solutions and was appointed President – Asia Pacific & Japan and Industry Solutions Group. His title as printed in the FY2025 Form 10-K predates this change. Source: Form 8-K, Item 5.02, filed 26 February 2026.
At the annual meeting held on 2 June 2026 all thirteen director nominees were re-elected. There were 473,867,780 Class A shares outstanding on the record date of 6 April 2026 and 440,240,915 shares, approximately 92.90 per cent, were present or represented by proxy. Source: Form 8-K, Item 5.07, filed 3 June 2026.
Data availability
Full for executive officers and directors through SEC filings, and partial and historical in the data feed rendered above. United States securities filings do not disclose the nationality or the country of residence of directors and executive officers, and the underlying feed carries no nationality field, so nationality is not disclosed for any person named here and must not be inferred from a name or from a correspondence address. Dates of birth are not published either; the Form 10-K discloses ages only. The feed is dated to a synchronisation of 29 September 2026, but its content predates July 2025, so it should be treated as historical rather than current.

Group Structure
Group structure of Cognizant Technology Solutions Corporation
Cognizant Technology Solutions Corporation is the top entity of its group. It is a Nasdaq-listed Delaware corporation with no parent and no controlling shareholder, so it has neither an immediate parent nor an ultimate parent above it. Exhibit 21.1 to the Form 10-K for the year ended 31 December 2025, filed on 12 February 2026, lists 197 subsidiaries across 51 countries. The largest concentrations are the United States with 44 entities, the United Kingdom with 33, Australia with 13, India with 10, Ireland with 7, Germany with 6, and 5 each in Canada, China and the Philippines. Exhibit 21 records entity name and country of organisation only. It does not state ownership percentages, the state of organisation of US entities, registration numbers or each entity’s position in the chain, so ownership percentage is not disclosed for the great majority of the group and it should not be assumed that every subsidiary is wholly owned.
Relationships confirmed from filings
Cognizant Domestic Holdings Corporation, a wholly owned subsidiary, entered an Agreement and Plan of Merger on 5 June 2024 with Propulsion Holdings, LLC, Propulsion Intermediate, LP and Eagle Acquisition Sub, LLC, and through that agreement acquired 100 per cent of the Belcan engineering business; the Form 10-K records completion on 26 August 2024. Propulsion Holdings, LLC and Belcan, LLC both appear in Exhibit 21.1 as at 31 December 2025.
Cognizant Technology Solutions India Private Limited, which the Form 10-K names as the group’s principal operating subsidiary in India, is described in the same filing as a subsidiary of the group’s wholly owned Mauritius entity; Cognizant (Mauritius) Ltd. appears in Exhibit 21.1. Cognizant Worldwide Limited, a United Kingdom company, is a named party alongside the parent to the group’s credit agreement dated 6 October 2022 as amended on 18 April 2024, and was also the borrower entity named in the notice given on 15 May 2026 to draw $1 billion under the revolving facility.
India: detail that belongs to the Indian subsidiary, not to the Delaware parent
The group’s Indian operations sit under Cognizant Technology Solutions India Private Limited, referred to in the filings as CTS India, and the Indian regulatory exposure attaches to that company rather than to the Delaware parent. The Form 10-K discloses two continuing disputes with the Indian Income Tax Department over share repurchases CTS India made from non-Indian group entities in 2013 and 2016, valued at $523 million and $2.8 billion respectively. The 2016 transaction was carried out under a plan approved by the High Court in Chennai and resulted in $135 million of Indian income tax being paid; in March 2018 the department asserted that a further 33 billion Indian rupees was owed, equivalent to $367 million at the 31 December 2025 exchange rate. The appeal was decided against the company by the Commissioner of Income Tax (Appeals) in March 2022 and by the Income Tax Appellate Tribunal in September 2023. On 8 January 2024 the Supreme Court of India required a deposit of 30 billion Indian rupees for the appeal to proceed, the deposit was made in January 2024, and the case has been before the Madras High Court since April 2024. The deposit held with the department stood at $384 million at 31 December 2025. The company also states that the protocol signed in March 2024 amending the India–Mauritius income tax treaty could raise its effective tax rate because CTS India sits beneath the Mauritius entity. India’s Labor Code reforms, including the Code on Social Security, 2020, took effect on 21 November 2025 and bear on the group’s Indian statutory defined contribution obligations. India accounted for 256,900 of the group’s approximately 351,600 employees at 31 December 2025.
Recent structural changes
On 22 January 2024 the group acquired 100 per cent of Thirdera, a ServiceNow implementation practice, under a share purchase agreement. On 26 August 2024 it acquired 100 per cent of Belcan under a merger agreement for $1,195 million in cash net of cash acquired plus 1,470,589 Class A shares valued at $113 million. On 1 January 2026 it acquired 100 per cent of 3Cloud, a Microsoft Azure services provider, under a purchase agreement, with $733 million of cash placed in escrow on 31 December 2025. No acquisitions were completed during the year ended 31 December 2025.
Reliability of the corporate tree shown on this page
The corporate tree rendered on this page holds 261 nodes. It was audited against Exhibit 21.1 and, where an identifier allowed it, against the relevant register. It should not be relied on as filed, and the defects found fall into recurring classes.
Wrong jurisdiction on the identifier. The root node carries US NJ 2156937. GLEIF records 2156937 as the file number issued by the Delaware Division of Corporations, registration authority RA000602, and the legal jurisdiction as US-DE, and the Form 10-K cover page states Delaware, so the New Jersey label is wrong. The same defect appears on the node for Cognizant Technology Solutions U.S. Corporation, tagged US TX 2701808, where GLEIF records 2701808 as a Delaware file number issued by the same authority. Two further US nodes carry a state code that contradicts the format of their own number: a node tagged Illinois carries M22000004522 and a node tagged New Jersey carries L16000215262, both Florida limited liability company formats.
Pseudo-identifiers. 53 of the 261 nodes, about one in five, carry a value beginning with a hash character that is not a registration number in any register.
Tax identifiers in the registration-number field. About 30 nodes carry a tax registration instead of a company registration, and the Indian and Philippine operations are the heaviest cases. Every one of the eight Indian nodes carries a tax identifier: five carry a fifteen-character GSTIN and three a ten-character PAN, and not one carries a Corporate Identity Number, which is the identifier the Indian Registrar of Companies issues. Both Philippine nodes carry a Bureau of Internal Revenue taxpayer identification number rather than a Securities and Exchange Commission registration number. All five French nodes carry a fourteen-digit SIRET, which identifies an establishment rather than a company; checked against the French national business register, SIRET 79467913400039 resolves to SIREN 794679134, Cognizant France SAS, and the four other French SIRETs likewise resolve to active companies registered at Puteaux. Four Polish nodes carry a NIP tax number rather than a KRS number, three Mexican nodes carry an RFC, two Argentine nodes a CUIT, and single nodes carry a Brazilian CNPJ, a Colombian NIT, Belgian and Italian VAT numbers, a Hungarian tax number and a Croatian OIB. At least five US nodes carry what is an Employer Identification Number in the registration-number field.
Branches and foreign registrations presented as subsidiaries. Twenty-four nodes are Norwegian, where Exhibit 21.1 lists four Norwegian subsidiaries. The other twenty are Brønnøysund registrations of non-Norwegian group companies, the foreign entity’s own Norwegian registration together with its NUF, and each is nested underneath the very company whose name it repeats. Other establishments presented as separate companies include Cognizant Worldwide Limited QFC Branch in Qatar, the Latvian branch of Cognizant Technology Solutions (GB) Limited, the Polish oddział of Mobica Limited, the Abu Dhabi registration of Cognizant Technology Solutions Overseas Corporation, and an Israeli registration carried under the name of the British company Cognizant Technology Solutions (GB) Limited.
Duplicates. Fourteen names occur more than once, accounting for 22 duplicate nodes under different identifiers, with further near-duplicates under spelling and casing variants such as Softvision, LLC, Softvision LLC and Softvision Partner LLC. Cognizant Mortgage Services Corporation appears four times: once as the US entity and once for each of three Indian state GSTINs registered to the same taxpayer number.
Entities no longer in the filed subsidiary list. About 70 of the 260 subsidiary nodes, roughly one in four, have no counterpart in Exhibit 21.1 as at 31 December 2025. Most are acquisition vehicles and pre-merger entities from earlier transactions that are no longer separately reported, among them The TriZetto Group Inc, Utegration, LLC, KBACE Technologies, Inc., MarketRx, Inc., 10th Magnitude, LLC, Arrow Digital, LLC, Option Services Group, Inc., Intercom Communications Corporation, Telesis Corporation and Endeavor Systems, Inc. Their presence in the tree is not evidence that they remain live entities.
No node was found to belong to an unrelated company, and the two closest name collisions were checked in both directions and cleared. The node Avista, Incorporated carries a Wisconsin identifier, I 017265; Avista Corporation, the listed utility, is a Washington corporation with SEC Central Index Key 0000104918 and Employer Identification Number 91-0462470, and neither identifier matches the other in either direction, so the utility is not in this tree. The node named simply COGNIZANT, placed beneath Belcan, LLC, resolves in the French national business register to SIREN 912069598, an active French company of that name at Puteaux created in 2019; it is a genuine Cognizant-named entity, but it is not among the four French entities listed in Exhibit 21.1 and its placement beneath Belcan, LLC is not supported by any filing reviewed.
Data availability
Partial. The subsidiary list is published once a year as Exhibit 21 to the Form 10-K and gives name and country only; ownership percentages, registration numbers and intermediate holding chains are not disclosed for the group as a whole, and an individual link can be established only where a specific filing names both entities. The information date is 31 December 2025 for the subsidiary list, with transactions confirmed to 1 January 2026 and financing and governance events to 3 June 2026. The absence of a link here is not evidence that no such link exists.

The only holders reported above the five per cent threshold, BlackRock, Inc. at 9.0 per cent and State Street Corporation at 5.3 per cent as of 6 April 2026, are institutional asset managers whose reported beneficial ownership arises from voting and dispositive power exercised for funds and client accounts under SEC rules rather than from an interest held for their own account. No natural person is reported as holding a qualifying interest, and no Schedule 13D or Schedule 13D/A appears on the EDGAR filing index for this issuer; every reported position above the threshold is a passive Schedule 13G filing.
