Costco Wholesale Corporation is a profit corporation incorporated in the State of Washington, United States, and is the listed reporting entity of the Costco membership warehouse-club business. Its common stock (par value USD 0.005) trades on the Nasdaq Global Select Market under the symbol COST, CUSIP 22160K105. It files with the US Securities and Exchange Commission under Central Index Key 0000909832 and commission file number 0-20355, and its IRS Employer Identification Number is 91-1223280. The Global Legal Entity Identifier Foundation holds the company under LEI 29DX7H14B9S6O3FD6V18, jurisdiction US-WA, registered with the Corporations Division of the Office of the Secretary of State of Washington under register identifier 601 024 674; that LEI record is flagged fully corroborated against the Washington register, carries entity status Active and legal form “Profit Corporation”, and was last updated on 24 November 2025. The principal executive offices are at 999 Lake Drive, Issaquah, Washington 98027 (telephone +1 425 313 8100), and the company’s own US website is www.costco.com.

Three points in the information card above need correcting. First, the register named in the stored record, the Maryland Department of Assessments and Taxation, maintains a state business-qualification register; the company’s register of incorporation is the Washington Secretary of State, as stated on the cover page of every Form 10-K and Form 8-K, most recently on 24 September 2026. Second, the stored status “Inactive” is not supported by any source reviewed here: Costco Wholesale Corporation filed a Form 10-Q for the quarter ended 10 May 2026 on 3 June 2026, an automatic shelf registration statement on Form S-3ASR on 3 June 2026, and a Form 8-K reporting full-year results on 24 September 2026, and its LEI registration remains in “Issued” status with a renewal date of 21 December 2026. No dissolution or forfeiture record was located. Third, the stored incorporation date of 22 September 1994 matches none of the company’s documented corporate milestones: operations began in 1983 in Seattle; The Price Company and the then Costco Wholesale Corporation combined under Price/Costco, Inc., a Delaware corporation, on shareholder approval of 21 October 1993; that Delaware parent was later renamed Costco Companies, Inc.; and on 30 August 1999 Costco Companies, Inc. merged into Costco Wholesale Corporation, a Washington corporation, which survived the merger and is the entity described here, moving the domicile from Delaware to Washington. The Legal Entity Identifier record gives an entity creation date of 11 May 1987, so the stored 1994 date is not drawn from that field either.

Costco Wholesale Corporation operates membership warehouses and e-commerce sites. The business model combines a deliberately narrow assortment, fewer than 4,000 active stock keeping units per warehouse in the core business, with high volumes, rapid inventory turnover and gross margins below those of most retailers, supported by annual membership fees. Merchandise is reported in three core categories, foods and sundries, non-foods and fresh foods, alongside warehouse ancillary operations (gasoline, pharmacy, optical, food court, hearing aids and tyre installation) and other businesses covering e-commerce, business centres, Costco Travel and manufacturing. The standard annual membership fee in the United States is USD 65, with an Executive upgrade for a further USD 65. Gasoline represented approximately 10 per cent of total net sales in fiscal 2025 and e-commerce approximately 7 per cent.

The company reports on a 52/53-week fiscal year ending on the Sunday nearest the end of August, so its financial periods do not end in December. For the 52-week fiscal year 2026 ended 30 August 2026, Costco reported consolidated total revenue of USD 303.154 billion (net sales USD 297.247 billion plus membership fees USD 5.907 billion) and consolidated net income of USD 9.226 billion, USD 20.76 per diluted share, in unaudited results released on 24 September 2026. For the audited 52-week fiscal year 2025 ended 31 August 2025, consolidated total revenue was USD 275.235 billion, net sales USD 269.912 billion, membership fees USD 5.323 billion and consolidated net income USD 8.099 billion. These are consolidated group figures, not separate figures for the Washington entity alone. Employment was 341,000 people worldwide at the end of fiscal 2025. At 24 September 2026 the group operated 939 warehouses: 647 in the United States and Puerto Rico, 115 in Canada, 43 in Mexico, 37 in Japan, 29 in the United Kingdom, 20 in Korea, 15 in Australia, 14 in Taiwan, seven in China, five in Spain, three in France, two in Sweden and one each in Iceland and New Zealand, with e-commerce sites in nine countries. Paid memberships stood at 81.0 million and total cardholders at 145.2 million at the end of fiscal 2025; these are operating metrics and not a count of shareholders.

Shareholders of Costco Wholesale Corporation

Costco Wholesale Corporation is a widely held Nasdaq-listed company with no controlling shareholder, so public ownership data covers reportable holdings only and not the full shareholder base. The definitive proxy statement filed on 4 December 2025 sets out every person or group known to the company to own more than 5 per cent of the common stock as at 7 November 2025, calculated on 443,957,682 shares outstanding: Vanguard Group, Inc. (100 Vanguard Blvd., Malvern, Pennsylvania) with 43,455,368 shares, 9.79 per cent, taken from its Form 13F-HR filed 7 November 2025; and BlackRock, Inc. (50 Hudson Yards, New York) with 34,781,929 shares, 7.83 per cent, taken from its Form 13F-HR filed 12 November 2025. No other holder above 5 per cent was disclosed. Both are asset managers holding shares on behalf of funds and managed accounts; neither is a strategic or family shareholder.

The position reported since then has changed as a matter of reporting entity rather than of holding. On 26 March 2026 The Vanguard Group, Inc. filed amendment number 10 to its Schedule 13G on Costco (event date 13 March 2026) reporting nil shares and 0 per cent. The filing states on its face that this follows an internal realignment of The Vanguard Group, Inc. on 12 January 2026, after which certain subsidiaries and business divisions report beneficial ownership separately on a disaggregated basis and The Vanguard Group, Inc. is no longer deemed to have beneficial ownership over their securities. This is a change of reporting entity, not a disposal. On 29 April 2026 Vanguard Capital Management LLC filed a new Schedule 13G (event date 31 March 2026) reporting 33,256,639 shares, 7.49 per cent of the class, with sole voting power over 4,409,191 shares and sole dispositive power over 33,256,639 shares, on behalf of itself and named Vanguard affiliates. That filing also states that it excludes securities beneficially owned by other Vanguard subsidiaries whose ownership is disaggregated, so it is not a complete picture of the Vanguard complex’s aggregate position.

Shares outstanding were 443,179,176 at 30 September 2025 per the Form 10-K cover page, and 443,957,682 shares were entitled to vote at the annual meeting held on 15 January 2026. Directors and executive officers hold only nominal personal stakes, each below 1 per cent of the class.

The shareholder rows stored against this record should not be read as ownership. They report Vanguard Group Inc at 20.61 per cent on 43,620,717 shares; that share count is in the right region, but the percentage implies a denominator of roughly 212 million shares, under half of the 443.96 million shares actually outstanding. BlackRock, Inc., the second-largest reported holder, is absent from the stored set entirely. Four of the five stored rows are individual index-fund vehicles (iShares Core S&P 500 ETF, Invesco QQQ Trust Series 1, Fidelity 500 Index Fund and iShares Russell 1000 Growth ETF) at between 0.88 and 4.70 per cent, which are below any US beneficial-ownership reporting threshold and are not disclosed holders of Costco. The stored set is also truncated, returning five of six rows.

Ultimate beneficial ownership

No ultimate beneficial owner who is a natural person has been identified for Costco Wholesale Corporation, and none is disclosed in the sources reviewed. No person or group is reported as holding 25 per cent or more of the common stock; the two holders disclosed above 5 per cent are institutional asset managers exercising voting and dispositive power for underlying funds and clients, and each states that no other person’s interest in the reported securities exceeds 5 per cent. On the evidence available the company has no ultimate beneficial owner in the sense of a controlling natural person, and none should be recorded for it.

Data availability

Availability is “major shareholders only”. The United States publishes ownership of a listed issuer through SEC filings at a 5 per cent reporting threshold (Schedules 13D and 13G), through the issuer’s own annual proxy statement and, indirectly, through quarterly Form 13F-HR position reports by institutional managers; there is no public register of the complete share register, and Washington State does not publish shareholder lists. The percentages above are as reported at the dates stated and change continuously: the 5 per cent table reflects 7 November 2025 and the most recent Schedule 13G reflects 31 March 2026.

Officers

Directors and officers of Costco Wholesale Corporation

Costco Wholesale Corporation has a single, annually elected board. At the annual meeting of shareholders held on 15 January 2026 ten directors were elected to hold office until the 2027 annual meeting, each by a majority of votes cast: Susan L. Decker, Kenneth D. Denman, Helena B. Foulkes, Hamilton E. James, Sally Jewell, Jeffrey S. Raikes, Gina M. Raimondo, John W. Stanton, Ron M. Vachris and Mary Agnes (Maggie) Wilderotter. Hamilton E. James is non-executive Chairman of the Board, a role he has held since August 2017 after serving as Lead Independent Director from 2005; he has been a director since August 1988. Ron M. Vachris is the only executive director, serving as President and Chief Executive Officer and as a director since February 2022. Gina M. Raimondo was a director candidate rather than a sitting director at the date of the 2025 proxy statement and joined the board on election. The board met four times in the last fiscal year and every director attended all board and committee meetings.

Separately from the board, the Form 10-K for the fiscal year ended 31 August 2025 names thirteen executive officers, which is a legally distinct category from directors: the President and Chief Executive Officer; Gary Millerchip as Executive Vice President and Chief Financial Officer (an executive officer since 2024); John Sullivan as Executive Vice President, General Counsel and Corporate Secretary (General Counsel since 2016 and Corporate Secretary since 2010); Russ Miller as Senior Executive Vice President, US Operations; and Executive Vice Presidents responsible for merchandising, administration, global depots and traffic, information and digital, and the Northern, Eastern, Southwest and International divisions. These are corporate officer positions under Washington law; where a source gives a person’s prior employment, that is occupation history and is kept separate from the legal role.

The five officer rows stored against this record are Costco people rather than another company’s, but they are a partial management roster rather than a register extract. They are five of fourteen rows, all flagged active with no appointment or resignation date and no stated information date, and they mix executive officers named in the Form 10-K (the President and Chief Executive Officer; the Executive Vice President, General Counsel and Corporate Secretary; the Executive Vice President and Chief Operating Officer of the International Division; and the Executive Vice President of Administration) with at least one senior manager who is not an executive officer of the company at all: the Senior Vice President of Membership, Marketing and Member Service Centers does not appear in the Form 10-K executive-officer list. No non-executive director appears in the stored set. The vintage is consistent with the fiscal 2025 Form 10-K list, which is in part already superseded by the February 2026 changes below. Two stored rows carry a year of birth with the month recorded as January, which is a placeholder pattern rather than a disclosed date; dates of birth are not published here.

Recent officer changes

Ten directors were elected at the annual meeting of shareholders on 15 January 2026, with results reported in a Form 8-K filed on 21 January 2026. Two board vacancies created by the retirements of Richard Galanti and Craig Jelinek at the 2025 annual meeting were left unfilled, as disclosed in the proxy statement of 4 December 2025.

Russ Miller, Senior Executive Vice President, US Operations, was disclosed in the Form 10-K filed 8 October 2025 as retiring from the company effective February 2026.

Caton Frates, Executive Vice President and Chief Operating Officer, Southwest Division, was disclosed in the same Form 10-K as being appointed Senior Executive Vice President, Warehouse Operations – US and Mexico, effective February 2026.

Data availability

Availability is “partial”. The Washington Secretary of State does not publish a full register of directors and officers with appointment and resignation dates in the way that many European registers do; for this company the reliable public record is the SEC filing set, which names directors and executive officers but not every officer of the corporation. Nationality is not disclosed in any of the sources reviewed and is therefore recorded as “Not disclosed” for every person named; country of residence and correspondence address are likewise not disclosed, and nothing should be inferred from a person’s name or from the company’s US address. Dates of birth are not published. Appointment dates are available only where the filings state them.

Group Structure

Group structure of Costco Wholesale Corporation

Costco Wholesale Corporation sits at the top of its own group. It has no immediate parent and no ultimate parent: it is a Nasdaq-listed Washington corporation with no controlling shareholder, and no filing reviewed records a parent undertaking. It became the top entity on 30 August 1999, when Costco Companies, Inc., a Delaware corporation, merged into Costco Wholesale Corporation, then a Washington subsidiary of that Delaware parent, with the Washington corporation surviving the merger.

The authoritative list of group companies is Exhibit 21.1 to the Form 10-K, which as at 31 August 2025 names eleven significant subsidiaries and expressly omits subsidiaries that in aggregate would not be significant: Costco Wholesale Membership, Inc. (California); Costco Wholesale Canada Ltd. (Canadian federal); NW Re Limited (Arizona); Costco Insurance Agency, Inc. (Washington); Price Costco International, Inc. (Nevada); Costco Wholesale Korea, Ltd. (Korea); Costco Wholesale Japan, Ltd. (Japan); Costco de Mexico, S.A. de C.V. (Mexico); Costco Wholesale UK Limited (United Kingdom); Costco Wholesale Taiwan, Inc. (Taiwan); and Costco Wholesale Australia, Pty. Ltd. (Australia). The Form 10-K states that the membership warehouse operations in the United States, Canada, Mexico, Japan, the United Kingdom, Korea, Australia, Taiwan, China, Spain, France, Sweden, Iceland and New Zealand are conducted through wholly owned subsidiaries. Exhibit 21.1 discloses neither ownership percentages nor registration numbers nor the internal chain of ownership, so ownership percentage is not disclosed for any entity named here.

Verified corporate relationships

The United Kingdom sub-group was verified entity by entity at Companies House, matching name to registration number in both directions, and the relationships were taken from each company’s register of persons with significant control. Costco UK Holdings Limited, England and Wales, company number 03934833, incorporated 28 February 2000, status Active, records Costco Wholesale Corporation of 999 Lake Drive, Issaquah, Washington as its registrable relevant legal entity, with ownership of shares and of voting rights of 75 per cent or more and the right to appoint or remove directors, notified 30 June 2016. Costco Wholesale UK Limited, company number 02635489, incorporated 6 August 1991, status Active, records Costco UK Holdings Limited (registration number 3934833) on the same terms, notified 6 April 2016. Costco Online UK Limited, company number 08055444, incorporated 2 May 2012, status Active, likewise records Costco UK Holdings Limited. Costco Limited, company number 02776034, incorporated 23 December 1992; Alcalay Limited, company number 03829309, incorporated 20 August 1999; and Crick Management Company Limited, company number 09312098, incorporated 14 November 2014, all status Active, each record Costco Wholesale UK Limited (registration number 02635489) as their controlling entity. Costco Travel UK Limited, company number 09961545, incorporated 20 January 2016, status Active, records Costco Wholesale Corporation directly as a person with significant influence or control. The figures above 75 per cent are the bands published by Companies House and are not exact percentages.

In France, Costco France is registered under SIREN 513637918, a societe par actions simplifiee created on 2 July 2009, administratively active, with its head office at Villebon-sur-Yvette and four open establishments, per the French government business directory.

The only acquisition of a whole company traced in the filings is Innovel Solutions, acquired on 17 March 2020 for USD 998 million; Innovel provides final-mile delivery, installation and white-glove services for large and bulky products across the United States and Puerto Rico. No completed disposal, merger or reorganisation has been disclosed in the filings reviewed since that date.

The corporate-linkage tree stored against this record contains material defects and should not be relied on as it stands. Three nodes are individual retail locations presented as companies: a warehouse in Antioch, a warehouse numbered 370 and a warehouse pharmacy numbered 144. Two nodes are the names of natural persons rather than legal entities. One node duplicates Costco Wholesale Membership, Inc. under a truncated spelling. Seven nodes carry a hash-prefixed pseudo-identifier in place of a registration number. Costco Wholesale Membership, Inc. is tagged to Washington against Exhibit 21.1, which states California, and NW Re Limited appears without a jurisdiction where Exhibit 21.1 states Arizona. A Nevada node is named Costco Wholesale International, Inc. where Exhibit 21.1 names Price Costco International, Inc.; the Nevada register could not be reached to establish whether these are one entity under a former name or two entities, so that node’s name should not be used. The Innovel Solutions node carries a nine-digit value in United States Employer Identification Number format rather than an Illinois Secretary of State file number. The Costco France node carries 51363791800071, which is the fourteen-digit SIRET of the head-office establishment, not the nine-digit SIREN that identifies the company. Two of the eleven significant subsidiaries in Exhibit 21.1, Costco Wholesale Taiwan, Inc. and Costco Wholesale Australia, Pty. Ltd., are missing from the tree altogether, although the group operated 14 warehouses in Taiwan and 15 in Australia at 31 August 2025. The tree also carries the Washington register identifier 601024674 on its root node while the record’s own registration-number field carries the Maryland identifier F03973468, so a single record cites two different registers. On the other side of the ledger, every one of the seven United Kingdom nodes resolved by registration number to exactly the name stored, all of them active, and no entity belonging to an unrelated company was found nested into the tree.

Data availability

Availability is “partial”. The United States does not publish a consolidated corporate-group register; for a listed issuer the group is disclosed through Exhibit 21 to the Form 10-K, which by rule lists only significant subsidiaries and gives neither registration numbers nor ownership percentages, so the full subsidiary population and the internal ownership chain are not public. Individual subsidiaries can be verified only in their own registers, and several of those registers (Washington, Nevada and the Maryland Department of Assessments and Taxation) did not respond to automated requests when this profile was prepared, so nothing is asserted from them here. The United Kingdom and French entities above are confirmed from their own official registers.
