Shareholders of Datalogic S.p.A.

Datalogic S.p.A. was a listed issuer until 9 September 2026, so published shareholder data covered reportable holdings rather than the full register. At 31 December 2025 the Annual Report 2025 split the capital between Hydra S.p.A. with 64.85 per cent, treasury shares of 10.07 per cent and a market free float of 25.08 per cent. The Article 102 notice of 29 May 2026 states that Hydra S.p.A. held 37,900,000 shares, being 64.85 per cent of share capital and approximately 78.65 per cent of the votes exercisable on the appointment and removal of directors, because 37,787,323 shares carried increased voting rights under Article 127-quinquies of the TUF and Article 6 of the by-laws, amounting to 78.53 per cent of 96,233,814 total votes. The same notice records that, on the Article 120 TUF disclosures published by CONSOB, no shareholder other than Hydra S.p.A. held more than 5 per cent.

That structure then closed. Hydra Investimenti S.p.A., wholly owned by Hydra S.p.A., made a voluntary tender offer at 5.82 euro per share, reduced to 5.70 euro after the 0.12 euro dividend paid on 15 July 2026. By the close of the acceptance period on 17 July 2026, 3,519,493 shares (6.02 per cent) had been tendered. CONSOB set the same 5.70 euro for the joint squeeze-out and sell-out by resolution No. 24117 of 1 September 2026, and on 9 September 2026 the offeror acquired the remaining 2,279,442 shares (3.90 per cent) under Article 111 of the TUF. The capital of Datalogic S.p.A. is therefore held by Hydra S.p.A. (37,900,000 shares, 64.85 per cent), Hydra Investimenti S.p.A. (14,658,433 shares, a calculated 25.08 per cent, being every share not held by Hydra S.p.A. or by Datalogic itself) and Datalogic S.p.A. as treasury shares (5,888,058, 10.07 per cent).

Ultimate beneficial ownership

Beneficial ownership runs to the Volta family indirectly, through Hydra S.p.A. (registered office Via Massimo D Azeglio 57, Bologna; Companies Register of Bologna and tax code 00445970379). Hydra share capital of 1,200,000 euro, in 1,200,000 shares of 1.00 euro, was divided as follows at 29 May 2026: 914,000 shares (76.17 per cent) held jointly by Gabriele Volta (2/8), Valentina Volta (3/8) and Filippo Maria Volta (3/8) under a co-ownership agreement signed on 13 February 2019; 120,000 shares (10.00 per cent) held by Romano Volta; 130,000 shares (10.83 per cent) held by a further individual shareholder whom the notice does not identify as a controlling person; and 12,000 shares (1.00 per cent) held individually by each of Gabriele, Valentina and Filippo Maria Volta.

Calculated effective interests in Datalogic S.p.A. at 29 May 2026, the one date on which both legs of the chain are stated (Hydra S.p.A. held 64.85 per cent and Hydra Investimenti S.p.A. held no shares): Valentina Volta 19.17 per cent (29.56 per cent of Hydra multiplied by 64.85 per cent); Filippo Maria Volta 19.17 per cent; Gabriele Volta 13.00 per cent (20.04 per cent multiplied by 64.85 per cent); Romano Volta 6.49 per cent (10.00 per cent multiplied by 64.85 per cent). All four are indirect interests. The notice names Romano Volta (chairman of the Hydra board and sole director of the offeror), Valentina Volta, Filippo Maria Volta and Gabriele Volta, all directors of Hydra, as persons acting in concert, and states expressly that no person directly or indirectly controls Hydra S.p.A. within the meaning of Article 2359, paragraph 1, No. 1 of the Civil Code or Article 93 of the TUF. No single natural person is therefore identified in a filing as the controlling person of Datalogic S.p.A., and none of the calculated effective interests above reaches the 25 per cent threshold in Article 20 of Legislative Decree 231/2007; control at the Hydra level is exercised jointly under the co-ownership agreement. After the squeeze-out the Hydra chain holds 89.93 per cent of Datalogic capital, so the effective interests have risen. Applying the May 2026 Hydra register to the September 2026 Datalogic position would place Valentina Volta and Filippo Maria Volta at roughly 26.6 per cent each, above that threshold, but this combines two dates and is indicative only. No Hydra shareholder register dated after 29 May 2026 was located.

Data availability

Major shareholders only, and now historical. While listed, Datalogic disclosed holdings above the Article 120 TUF thresholds through CONSOB, which is a reportable-holdings regime and not a complete register. An Italian S.p.A. keeps a shareholders book (libro soci) under Article 2421 of the Civil Code, and that book is not a public document; the 2009 reform that abolished the member book applies to the S.r.l., not to the S.p.A. Since the delisting on 9 September 2026 Datalogic S.p.A. has no longer been subject to the continuous disclosure regime of the TUF, so no further market disclosures of shareholdings are expected and the figures above will not be refreshed from a public market source.

Directors and officers of Datalogic S.p.A.

Datalogic S.p.A. discloses four directors on its own corporate governance pages, retrieved 8 October 2026: Romano Volta as Executive Chairman, Valentina Volta as Chief Executive Officer, Angelo Manaresi as Lead Independent Director and Filippo Maria Volta as Director. The page states that the board will remain in charge until approval of the financial statements as at 31 December 2028. This is a reduced board. The seven-member board elected at the shareholders meeting of 30 April 2024, and listed in the Annual Report 2025, also included Chiara Giovannucci Orlandi, Vera Negri Zamagni and Valentina Beatrice Manfredi as independent directors, and was due to serve only until approval of the 2026 financial statements. The date of the shareholders meeting that appointed the current four-member board was not established, and no press release announcing it was found; the change is consistent with the delisting of 9 September 2026, after which the company publishes no market announcements.

Under the Annual Report 2025, Romano Volta and Valentina Volta are the legal representatives of the company before third parties. The board of statutory auditors (collegio sindacale) recorded in that report comprised Diana Rizzo as Chair, with Anna Maria Bortolotti and Giancarlo Strada as standing auditors and Giulia De Martino, Eugenio Burani and Patrizia Cornale as alternate auditors, in office until approval of the 2027 financial statements. The independent auditor is Deloitte and Touche S.p.A., appointed for the nine-year period 2019 to 2027 by the shareholders meeting of 30 April 2019. Whether the collegio sindacale changed alongside the board was not established: the company statutory auditors page returned no content. Datalogic S.p.A. is the parent company of the Datalogic group and is itself controlled by Hydra S.p.A. At 31 December 2025 the Annual Report 2025 consolidated 21 companies on a line-by-line basis, including the parent, and accounted for three further holdings by the equity method. The consolidated companies have registered offices in Italy, France, the United Kingdom, Germany, Spain, Hungary, Slovakia, Sweden, the United States, Brazil, Mexico, China, Japan, Singapore, Vietnam and Australia. The group also trades through branches of Datalogic S.r.l. and Datasensing S.r.l. in France, Germany, Spain, Benelux, the United Kingdom, Czechia, Poland, Slovakia, Romania and Turkiye, and through branches of the Chinese and Singaporean companies in Shanghai, Beijing and South Korea. No United Arab Emirates entity was found

This record is keyed to the United Arab Emirates, yet no UAE-incorporated company appears anywhere in the published structure of the group. The consolidation scope at 31 December 2025 states the registered office of all 21 consolidated companies and all three equity-accounted holdings, and none is in the Emirates; the group structure chart in the same report shows no UAE branch either. That negative has a control in the same source: the identical list does record 15 non-Italian incorporations, from Datalogic USA Inc. in Eugene, Oregon to Datalogic Vietnam LLC and Datalogic Australia Pty Ltd, so the report plainly does disclose foreign entities where they exist. A GLEIF search for Datalogic returns five records, all accounted for within this group and none in the Emirates, while a control query confirms GLEIF indexes 9,475 entities whose legal jurisdiction is AE, so the register is not blind to the country.

The group UAE presence is nevertheless real. The Annual Report 2025 lists the United Arab Emirates among the non-EEA countries in which the group has employees, in the collective-bargaining coverage disclosure. Taken together, the evidence points to a commercial and employment presence served from elsewhere in the group rather than a UAE-registered company. This finding is not absolute: the UAE has no single federal company register, and the emirate-level and free-zone authorities are not centrally searchable, so a small free-zone establishment or representative office could exist without appearing in either source checked. On the evidence available, treat the UAE attribution on this record as a mis-assignment of the country of operation to the field for the country of formation.

Registration numbers for the operating subsidiaries are not stated in those sources and the Italian Registro Imprese is not free to query, so entity-level identifiers would have to be obtained jurisdiction by jurisdiction.
