DELL TECHNOLOGIES INC.
Dell Technologies Inc. is a United States technology company with its principal executive offices at One Dell Way, Round Rock, Texas, and its Class C common stock listed on the New York Stock Exchange under the symbol DELL. It is a reporting company with the U.S. Securities and Exchange Commission, identified by Central Index Key 0001571996 and Commission File Number 001-37867, and classified under SIC 3571, electronic computers. This record carries no registration number. A Texas Secretary of State filing number appears in the provider’s linkage data, but Texas state registry hosts could not be reached while this profile was prepared, so no state filing number is asserted here.
The incorporation date of 26 June 2026 stored against this record is unsupported and is not an incorporation date. Dell Technologies Inc. was formed under the law of the State of Delaware, under the name Denali Holding Inc., by the filing of its original certificate of incorporation with the Secretary of State of the State of Delaware on 31 January 2013, a recital that appears in the company’s own certificate of incorporation. It later took the name Dell Technologies Inc. What happened on 26 June 2026 was a filing: on that date the company lodged a certificate of conversion and a Texas certificate of formation with the Secretary of State of the State of Texas, and a corresponding certificate of conversion in Delaware.
That redomestication from Delaware to Texas, approved at the company’s annual meeting on 25 June 2026, took effect on 1 July 2026 at 12:01 a.m. Central Time. Dell Technologies Inc. continued in existence as the same legal person, so its date of incorporation remains 31 January 2013 while its jurisdiction of incorporation changed on 1 July 2026. Its annual report for the year ended 30 January 2026, filed on 16 March 2026, still shows Delaware on the cover page. Earlier events in the wider Dell corporate history belong to predecessor entities and are history, not this company’s incorporation.
Dell Technologies designs, develops, manufactures, markets, sells and supports information-technology hardware, software and services through two reported segments. Infrastructure Solutions Group covers AI-optimised servers, traditional servers and networking, and storage, including all-flash, purpose-built, software-defined and hyper-converged platforms. Client Solutions Group covers commercial and consumer personal computers, notebooks, desktops and workstations, together with displays, docking stations and other peripherals, and services such as configuration, deployment, support and extended warranties. The company also offers subscription, as-a-Service, lease and loan acquisition models, and reports operating in more than 170 countries through a direct sales force and a channel-partner network.
The financial year does not end in December: it is a 52- or 53-week period ending on the Friday nearest 31 January. For fiscal 2026, the 52 weeks ended 30 January 2026, the company reported consolidated net revenue of USD 113,538 million, 19 per cent above fiscal 2025, consolidated operating income of USD 8,149 million and consolidated net income attributable to Dell Technologies Inc. of USD 5,936 million. Infrastructure Solutions Group contributed USD 60,826 million, of which AI-optimised servers accounted for USD 24,683 million against USD 9,286 million a year earlier, and Client Solutions Group USD 50,984 million. By customer location, USD 63,140 million arose in the United States. Research and development expense was USD 3,142 million, and headcount was approximately 97,000 as at 30 January 2026, after reductions during the year.
The company’s own website is www.dell.com, as stated in its annual report; the website field on this record is empty. Dell Technologies Inc. continues to file with the SEC, most recently a quarterly report for the period ended 31 July 2026 filed on 8 September 2026. A registry status could not be confirmed directly against the Texas register, and continued filing or listing is not evidence of financial condition or compliance.

Shareholders of DELL TECHNOLOGIES INC.
Dell Technologies Inc. is a listed company with a multi-class share structure, and the share classes matter more than the headline percentages. As of 27 April 2026, the record date for the 2026 annual meeting, there were 276,744,341 shares of Class A common stock, 47,789,758 shares of Class B common stock and 325,034,188 shares of Class C common stock outstanding, a total of 649,568,287 shares. Each Class A and each Class B share carries ten votes; each Class C share carries one vote. Only the Class C common stock is registered under the Securities Exchange Act and listed on the New York Stock Exchange. Class A and Class B shares are convertible into Class C shares on a one-for-one basis at the holder’s option.
Dell Technologies Inc. has a controlling shareholder who is a natural person: Michael S. Dell, its founder, Chairman and Chief Executive Officer. The beneficial ownership table in the proxy statement filed on 15 May 2026 reports that, as of 27 April 2026, he beneficially owned 246,834,081 shares of Class A common stock, being 89.2 per cent of that series, and 18,840,608 shares of Class C common stock, being 5.8 per cent of that series, together 40.9 per cent of all outstanding Dell Technologies common stock. His Class C figure includes 2,682,335 shares held by the Michael and Susan Dell Foundation. Because the Class A shares carry ten votes each, voting power and economic interest diverge sharply. The proxy statement states that, as of the record date, Michael S. Dell and the other MD stockholders together beneficially owned approximately 45.7 per cent of the outstanding shares, including approximately 99.9 per cent of the Class A common stock, representing approximately 77.5 per cent of the total voting power of all outstanding series. On that basis the company identifies itself as a controlled company under New York Stock Exchange standards and relies on the associated governance exemptions.
A related holding is reported separately. The Susan Lieberman Dell Separate Property Trust is the record holder of 29,890,896 shares of Class A common stock, 10.8 per cent of that series, and 1,380,000 shares of Class C common stock, together 4.8 per cent of all outstanding common stock, based on a Schedule 13G/A filed on 13 February 2024 reporting positions as of 31 December 2023. Those shares are excluded from the figures attributed to Michael S. Dell in the table, although the proxy statement notes he may be deemed their beneficial owner.
The second sponsor block is Silver Lake. As of 27 April 2026 the SLP stockholders held all 47,789,758 outstanding shares of Class B common stock plus 134,596 shares of Class C common stock, approximately 7.4 per cent of outstanding shares and approximately 13.4 per cent of total voting power, based on a Schedule 13D/A filed on 19 March 2026. That position has since changed: Amendment No. 15 to the same Schedule 13D, filed on 11 September 2026 for an event date of 9 September 2026, reports Silver Lake Group, L.L.C. as beneficial owner of 42,809,317 shares of Class C common stock, 11.9 per cent of that series, which is consistent with conversion of the Class B holding into Class C and subsequent sales. Anyone assessing the current capital structure should check the Class A and Class B counts again rather than rely on the April 2026 figures.
Among institutional holders of the listed Class C series, Vanguard Capital Management reported 22,512,097 Class C shares, 7.07 per cent of that series, as of 31 March 2026, in a Schedule 13G filed on 29 April 2026, with sole voting power over only 3,075,386 of them. BlackRock, Inc. reported 22,819,963 Class C shares, 7.0 per cent of that series, as of 30 September 2024, in a Schedule 13G filed on 8 November 2024. Each is roughly 3.5 per cent of all outstanding Dell Technologies common stock, and neither is close to a controlling position. The Vanguard Group, Inc. filed a Schedule 13G/A on 26 March 2026 reporting a nil position following an internal realignment, so Vanguard exposure is now reported by disaggregated units.
On ultimate beneficial ownership, the filed figures identify one: Michael S. Dell. He is a natural person, his interest in the Class A common stock is held directly and through entities and a foundation described in the proxy statement’s footnotes, and the filed percentages are 89.2 per cent of the Class A series and 40.9 per cent of all outstanding common stock as of 27 April 2026, with the MD stockholders as a group representing approximately 77.5 per cent of total voting power as of the same date. The voting figure, not the economic figure, is what gives control, and the two should not be used interchangeably.
The shareholder rows stored against this record are not an ownership record and should not be read as one. They hold five rows out of a stated total of eight, dated 4 September 2026, and every row is an index fund or fund trust: SPDR S&P 500 ETF Trust appears twice, alongside Vanguard Index Funds – Vanguard Value Index Fund, Vanguard Group Inc and Fidelity Concord Street Trust – Fidelity 500 Index Fund. The percentages are not percentages of Dell Technologies’ share capital. Vanguard Group Inc is shown at 19.9 per cent for 31,441,451 shares, which is about 9.7 per cent of the Class C series and about 4.8 per cent of all common stock outstanding at 27 April 2026. Neither Michael S. Dell nor any Silver Lake entity appears in the stored rows, and because the rows are truncated no inference should be drawn from who is missing.
Data availability
Major shareholders only, and complete for the class structure. For a United States SEC registrant there is no public share register: disclosure comes from the issuer’s proxy statement and from Schedules 13D and 13G filed by holders above the reporting thresholds, so holders below those thresholds are not identified at all. The class-by-class counts, the ten-to-one voting differential and the controlling position are fully disclosed and dated; the free float below 5 per cent is not. Schedule 13G positions carry their own as-of dates, which for BlackRock is 30 September 2024 and may be stale.

Officers
5
Directors and officers of DELL TECHNOLOGIES INC.
Dell Technologies Inc. discloses its board and its executive officers through securities filings rather than through a state company register, and those filings are precise about both roles and dates. Eight directors were elected at the annual meeting held on 25 June 2026 and are the current board. Seven were elected as Group I directors by the holders of all outstanding series voting together as a single class: Michael S. Dell, David W. Dorman, Egon Durban, David Grain, William D. Green, Ellen J. Kullman and Steven M. Mollenkopf. One was elected as the Group IV director by the holders of Class C common stock voting separately as a series: Lynn Vojvodich Radakovich. Each term began on the date of the meeting and runs until a successor is elected and qualified, or until death, resignation, disqualification or removal. The same eight individuals signed the annual report for the year ended 30 January 2026 as directors on 16 March 2026. Michael S. Dell is Chairman of the Board as well as Chief Executive Officer.
The executive officers, who are appointed by the board rather than elected by shareholders, were listed in that annual report as of 9 March 2026: Michael S. Dell as Chief Executive Officer and Chairman; Jeffrey W. Clarke as Vice Chairman and Chief Operating Officer; David Kennedy as Chief Financial Officer; Richard J. Rothberg as General Counsel, and in the same report as General Counsel and Secretary; Jennifer D. Saavedra, Ph.D. as Chief Human Resources Officer; William F. Scannell as President and Chief Customer Officer; Geraldine Tunnell as Chief Marketing Officer; and Peter Trizzino as President, Global Sales. Richard Troy Sharp signed the annual report as Senior Vice President, Corporate Finance and Chief Accounting Officer, and is the company’s principal accounting officer. David Kennedy signed as Executive Vice President and Chief Financial Officer, the principal financial officer. None of the reviewed filings reports an occupation separate from the office held, so none is stated here.
Recent officer changes
On 7 August 2025 Brunilda (Bruny) Rios notified the company of her decision to step down as Senior Vice President, Corporate Finance and Chief Accounting Officer, effective 8 August 2025, remaining a Senior Vice President of the company; Richard Troy Sharp, previously Vice President, Corporate Accounting and Reporting, was appointed to that role and became principal accounting officer with effect from 8 August 2025, reported in a current report filed on 12 August 2025.
On 5 September 2025 the company and Yvonne McGill agreed that she would resign as Chief Financial Officer effective 9 September 2025, remaining a full-time employee in an advisory capacity until 31 October 2025; David Kennedy, then Senior Vice President, Global Business Operations, Finance, was appointed interim Chief Financial Officer and principal financial officer with effect from 9 September 2025, reported in a current report filed on 8 September 2025, and is described without qualification as Chief Financial Officer in the annual report of 16 March 2026.
With effect from January 2026, as recorded in that annual report, William F. Scannell moved from President, Global Sales and Customer Operations, a role he had held since February 2020, to President and Chief Customer Officer, and Peter Trizzino moved from President of Global Sales Modernization and Go-To-Market to President, Global Sales.
The officer rows stored against this record should not be relied on. They hold five rows out of a stated total of fourteen, every row is flagged ACTIVE, and no row carries an appointment date or a resignation date. Four of the five correspond to people who do hold the stated office according to the annual report of 16 March 2026. The fifth records Brunilda Rios as the current Senior Vice President of Corporate Finance and Chief Accounting Officer; she stepped down from that role on 8 August 2025 and the incumbent is Richard Troy Sharp, so that row names a person in an office she no longer holds. Three of the five rows also carry a year and month of birth, which are not published on this page. No director appears among the stored rows at all, and because the rows are truncated no inference should be drawn from who is absent.
Data availability
Full as to current directors and executive officers, and current only in practice. Because the company is a United States SEC registrant, the reliable record is its proxy statement, its annual report and its current reports on Form 8-K, which give offices, effective dates of appointment and resignation, and ages. Nationality is not disclosed for any director or officer in any of the filings reviewed, and United States securities filings do not require it, so nationality is Not disclosed in every case. Country of residence is likewise not disclosed. Addresses appearing in the filings are corporate service addresses, not residential addresses. Full dates of birth are not published in these filings and are not reproduced here. A Texas Secretary of State record could not be retrieved, so no state-filed officer or registered-agent data has been checked.

Group Structure
Group structure of DELL TECHNOLOGIES INC.
Dell Technologies Inc. has no corporate parent. It is the top company of its own group and the entity whose shares are listed, so there is no immediate parent and no ultimate parent above it. The authoritative list of its group companies is Exhibit 21.1 to the annual report for the year ended 30 January 2026, filed on 16 March 2026, which names 249 entities across 78 countries. The largest concentrations are the United States with 65 entries, China with 26, Ireland and Brazil with 9 each, the Netherlands with 8, and the United Arab Emirates and the United Kingdom with 7 each. That exhibit gives only a name and a country for each entry. It states no ownership percentage, no state or province of organisation, and no parent-child relationship, and it mixes branches in with companies: 36 of its 249 rows are named as a branch, a sucursal or an equivalent, which are establishments of a single legal entity rather than separate companies. For every relationship in this group, therefore, the ownership percentage is not disclosed.
Some intermediate entities can be confirmed by name from other filings. Denali Intermediate Inc. and Dell Inc. both appear in Exhibit 21.1, and Dell International L.L.C. and EMC Corporation appear as issuer and guarantor in the supplemental indentures listed in the annual report’s exhibit index, which confirms all four as group entities without establishing where each sits in the chain.
Recent structural changes
On 3 February 2025 the sale of SecureWorks Corp. to Sophos Inc., an affiliate of Thoma Bravo, L.P., completed in an all-cash transaction valued at approximately USD 0.9 billion. Dell Technologies received approximately USD 0.6 billion of cash consideration for its equity interest and recognised a gain on sale of approximately USD 0.2 billion in fiscal 2026. SecureWorks Corp. is no longer part of the group.
On 1 July 2026 the redomestication of Dell Technologies Inc. from Delaware to Texas by conversion took effect. This changed the jurisdiction of incorporation of the top company only; the company’s own current report states that the conversion did not change the state of incorporation of any subsidiary, nor the group’s headquarters, business, properties, employee numbers, obligations, assets or liabilities.
The company has also stated that on 25 March 2024 it terminated its Commercial Framework Agreement with VMware, under which it had acted as a distributor of standalone VMware offerings. That was the end of a commercial arrangement, not of a corporate relationship; VMware had ceased to be part of the group before then.
The corporate tree stored against this record holds 268 nodes, being the company plus 267 others, and it is not a reliable representation of the group. Measured node by node against Exhibit 21.1, the following defects are present. First, 109 of the 267 subordinate nodes, about 41 per cent, have no counterpart in Exhibit 21.1 by name. Second, entities belonging to two entirely unrelated listed groups are nested inside the tree: Dell’Orto (Shanghai) Trading Co., Ltd. and Dell’Orto (Chongqing) Electric Power Technology Co., Ltd. are placed beneath the Italian Dell entity, and both are in fact subsidiaries of Dell’Orto S.p.A., an Italian maker of fuel-injection systems, throttle bodies and e-mobility components, according to Dell’Orto’s own corporate website; and Nagarro Software Solutions (Beijing) Inc., placed beneath an entry for Objectiva Software Solutions, Inc., is a wholly owned subsidiary of Nagarro SE according to the list of shareholdings in Nagarro’s Annual Report 2023. Third, 84 nodes, about 31 per cent, carry a hash-prefixed pseudo-identifier such as #0228371648 in the registration-number field instead of a registration number. Fourth, several registration-number fields hold tax identifiers rather than registry numbers, including United States employer identification numbers rendered as state filing numbers for EMC Corporation, Captiva Software Corporation, Data Domain LLC, Isilon Systems LLC and Geniant, LLC, a goods-and-services-tax identifier for Dell International Services India Private Limited, a permanent account number for Secureworks India Private Limited, and taxpayer identification numbers for several Philippine entities. Fifth, the hierarchy is flattened: 108 of the 267 nodes are shown as direct children of Dell Technologies Inc., including entities that other filings place several levels below it. Sixth, 11 names appear more than once under different node identifiers; several of those duplicates are one legal entity registered in a second country, with Dell Global B.V. appearing three times under the Netherlands, the Philippines and the United States, and Dell Bank International d.a.c. appearing under both Ireland and Norway. Seventh, branches are presented as subsidiaries, including Dell B.V., Taiwan Branch (Netherlands), Dell Taiwan B.V., Taiwan Branch (Netherlands) and Dell Bank International Designated Activity Company Sucursal en Espana. Eighth, disposed and wound-down entities are still shown as live: Secureworks, Inc. and three Secureworks subsidiaries remain in the tree although Secureworks left the group on 3 February 2025; an entry for Vmw Holdco LLC survives from the VMware holding structure; Virtustream Switzerland Sarl carries the words en liquidation in its own name; and ten Dell Equipment Finance Trusts dated between 2015 and 2022 remain although Exhibit 21.1 lists only the 2023, 2024 and 2025 series. Ninth, Pivotal Denver is an office rather than a company. Tenth, states of organisation cannot be relied on: the tree assigns US TX filing numbers to numerous entities, and Exhibit 21.1 records only USA for every United States entity, so none of those state attributions can be corroborated from the authoritative source.
Data availability
Partial, and unreliable in the stored tree. For a United States listed issuer, Exhibit 21 to the annual report is the primary disclosure of group companies, and it is a flat list of names and countries with no ownership percentages, no state of organisation and no hierarchy, so no percentage, no voting-control figure and no parent-child chain can be stated for any relationship here, and the group graph on this page should be treated as unverified until each node is checked against a filing or a register. A Texas Secretary of State record could not be retrieved while this profile was prepared.
