DXC Technology Company is an enterprise technology services company incorporated in the State of Nevada, United States. Its Annual Report on Form 10-K for the fiscal year ended 31 March 2026, filed with the U.S. Securities and Exchange Commission on 8 May 2026, names Nevada as the state of incorporation and 61-1800317 as the IRS Employer Identification Number. The Global LEI record for the company (LEI 549300DOVZ3EDJB7O259) records the jurisdiction as US-NV and was validated against the Nevada Secretary of State as business identification number NV20171211776; GLEIF recorded the entity status as ACTIVE when that record was last updated on 12 May 2026.

Company records for DXC Technology Company are sometimes attributed to the Virginia State Corporation Commission. Virginia is not the jurisdiction of incorporation. Item 2 of the Form 10-K states that the corporate headquarters is a leased facility in Ashburn, Virginia, and the principal executive offices are at 20408 Bashan Drive, Suite 231, Ashburn, Virginia 20147, so any Virginia record is a foreign-corporation qualification rather than the incorporation itself. Virginia issues F-prefixed entity identifiers to foreign corporations; no Virginia identifier for this company could be retrieved, because the Commission’s public search service was unreachable on 30 September 2026.

The entity now called DXC Technology Company was formed in the State of Delaware, under the name Everett SpinCo, Inc., on 19 May 2016. Effective at 3:00 a.m. Eastern time on 1 April 2017 it changed its jurisdiction of incorporation from Delaware to Nevada and changed its name to DXC Technology Company. The Nevada articles of conversion and articles of incorporation were filed with the Secretary of State of the State of Nevada on 31 March 2017, one day before the change took effect, and the Delaware certificate of conversion was filed with the Delaware Secretary of State. Everett SpinCo, Inc. is the only former name recorded for the entity.

DXC Technology Company is sometimes described as a “Public Limited Company”. That is a United Kingdom and Commonwealth legal form which does not exist in United States corporate law. The correct legal form is a Nevada profit corporation organised under Chapter 78 of the Nevada Revised Statutes, the chapter under which the 2017 articles of incorporation were filed. GLEIF codes the entity legal form as 8WM4, “Profit Corporation”, jurisdiction Nevada. Authorised share capital is 750 million shares of common stock of $0.01 par value and 1 million shares of preferred stock of $0.01 par value.

The common stock is listed on the New York Stock Exchange under the ticker DXC. The financial year ends on 31 March and not in December. For the fiscal year ended 31 March 2026 the company reported consolidated revenues of $12,644 million, against $12,871 million for the year ended 31 March 2025 and $13,667 million for the year ended 31 March 2024, and consolidated net income attributable to DXC common stockholders of $18 million, or $0.10 basic earnings per share. Consolidated revenue by reportable segment for the year ended 31 March 2026 was $6,342 million for Global Infrastructure Services, $5,023 million for Consulting & Engineering Services and $1,279 million for Insurance Software & Services.

The business supplies managed infrastructure services, application modernisation, software engineering and consulting, and industry-specific software, with stated industry focus on finance, automotive, manufacturing, healthcare, life sciences, travel and the public sector. The Form 10-K for the year ended 31 March 2026 reports approximately 115,000 employees in 60 countries and offices and data centres in approximately 320 locations worldwide. The same report states that a significant portion of application outsourcing and software development activity has been shifted to India and other lower-cost locations.

Shareholders of DXC Technology Company

DXC Technology Company is a publicly traded Nevada corporation whose common stock is listed on the New York Stock Exchange under the ticker DXC. Its shareholder base is therefore not published in full. United States federal securities law publishes only beneficial owners that cross the 5% reporting threshold under Sections 13(d) and 13(g) of the Securities Exchange Act, together with holdings by directors and executive officers. The proxy statement filed on 4 June 2026 states that 162,080,263 shares of common stock were issued and outstanding on 28 May 2026; the Form 10-K reports 163,479,858 shares outstanding as at 1 May 2026. There is a single class of common stock.

The 2026 proxy statement identifies six beneficial owners of more than 5% of the common stock as at 28 May 2026. BlackRock, Inc. holds 23,053,124 shares, or 14.22%, reported as a parent holding company or control person with sole voting power over 22,455,801 shares and sole dispositive power over 23,053,124 shares, per a Schedule 13G/A filed 30 April 2025. Vanguard Portfolio Management LLC holds 13,143,240 shares, or 8.11%, per a Schedule 13G filed 29 April 2026. Dimensional Fund Advisors LP holds 10,058,219 shares, or 6.21%, per a Schedule 13G filed 31 October 2024. American Century Investment Management, Inc. holds 9,074,619 shares, or 5.60%, per a Schedule 13G filed 1 May 2026. Glenview Capital Management, LLC holds 8,895,875 shares, or 5.49%, per a Schedule 13G filed 27 March 2026. Vanguard Capital Management LLC holds 8,883,306 shares, or 5.48%, per a Schedule 13G filed 29 April 2026. All six are institutional investment managers reporting beneficial ownership; none is a direct registered holder of a fixed share block disclosed in a share register.

The Vanguard Group, Inc. no longer reports a position in its own name. Following an internal realignment effective 12 January 2026, The Vanguard Group, Inc. filed a Schedule 13G/A on 26 March 2026 reporting 0% beneficial ownership and disclosing that certain subsidiaries would report beneficial ownership separately on a disaggregated basis. Vanguard Portfolio Management LLC and Vanguard Capital Management LLC are those disaggregated filers.

The shareholder rows held in the structured data on this page must not be read as ownership percentages. That set is truncated: 5 rows of 17 were retrieved, and it carries a verification date of 4 September 2026. Every stored percentage is calculated on an implied share count of 131,014,094, which is 80.8% of the 162,080,263 shares the company reports outstanding, so each stored percentage is overstated by roughly 24%. The stored set shows “Vanguard Group Inc” at 17.90%, an entity that has reported 0% in its own Schedule 13G/A; it shows BlackRock at 17.88% where the filed and proxy-restated figure is 14.22%; it omits four of the six reportable 5% holders, namely Vanguard Portfolio Management LLC, Dimensional Fund Advisors LP, American Century Investment Management, Inc. and Glenview Capital Management, LLC; and it includes positions that are not reportable holdings at all, being AQR Capital Management, LLC at 3.41% and two individual fund vehicles, a Vanguard small-cap index fund at 3.21% and a Dimensional U.S. Small Cap Value portfolio at 1.86%. The last of these is a constituent of the Dimensional Fund Advisors LP position rather than a separate holder, so the same manager is effectively counted twice while its reportable holding is absent.

Ultimate beneficial ownership

No ultimate beneficial owner of DXC Technology Company can be identified. No disclosed holder reaches the 25% threshold commonly applied in beneficial-ownership screening; the largest disclosed position is 14.22%. No natural person is reported as controlling the company, and the largest holder, BlackRock, Inc., is disclosed as a parent holding company or control person rather than as a natural person. The Schedule 13G filed on 27 March 2026 by Glenview Capital Management, LLC names Larry Robbins, its Chief Investment Officer, as a reporting person with shared voting and shared dispositive power over 8,895,875 shares, or 5.49%; that is a reportable investment-management position, not a controlling interest, and it is well below any UBO threshold.

Data availability

Major shareholders only. Nevada does not maintain a public share register and United States federal securities law publishes only holdings above the 5% threshold plus insider holdings, so the complete shareholder base of DXC Technology Company is not public and the absence of a UBO disclosure must not be read as evidence that none exists. The figures above are beneficial ownership as reported in Schedules 13G and 13G/A and restated in the company’s 2026 proxy statement as at 28 May 2026; each underlying filing carries a different date, the oldest being 31 October 2024.

Directors and officers of DXC Technology Company

Nine directors were elected to the board of DXC Technology Company at the 2026 Annual Meeting of Stockholders held on 21 July 2026, with certified results reported in a Current Report on Form 8-K filed 22 July 2026 under Item 5.07. They are David A. Barnes, Raul J. Fernandez, Anthony Gonzalez, David L. Herzog, Pinkie D. Mayfield, Dawn Rogers, Carrie W. Teffner, Akihiko Washington and Robert F. Woods, each serving until the 2027 annual meeting or until a successor is elected and qualified. David L. Herzog has been a director since 1 April 2017 and independent Chairman of the Board since 19 December 2023, having previously been Lead Independent Director from 26 July 2022. Raul J. Fernandez is the only executive on the board; he has been a director since 13 August 2020 and President and Chief Executive Officer since 1 February 2024, after serving as Interim President and Chief Executive Officer from 18 December 2023 to 31 January 2024.

The Form 10-K filed on 8 May 2026 names eight executive officers, each holding office for an indefinite term: Raul Fernandez, President and Chief Executive Officer; Rob Del Bene, Executive Vice President and Chief Financial Officer, in post since June 2023; Raymond A. August, President, Insurance Software & Services, in post since March 2022; Christopher R. Drumgoole, President, Global Infrastructure Services, in post since April 2023; Matthew K. Fawcett, Executive Vice President, General Counsel and Secretary, in post since April 2024; Jennifer Ragone, Executive Vice President and Chief People Officer, in post since February 2025; Ramanathan Venkataraman, President, Consulting & Engineering Services, in post since July 2025; and Christopher A. Voci, Senior Vice President, Corporate Controller and Principal Accounting Officer, in post since June 2021. Roles are reproduced as stated in the filing; occupation is a separate field and is not disclosed for any of these people.

Recent officer changes

Karl Racine notified the board on 1 June 2026 that he would not stand for re-election. His term ended at the conclusion of the annual meeting on 21 July 2026 and the board was reduced from ten directors to nine. The company states the decision was not the result of any disagreement over its operations, policies or practices.

Christopher Drumgoole notified the company on 25 July 2026 of his decision to resign as President, Global Infrastructure Services, effective 30 July 2026. The company states the resignation was not the result of any disagreement over its operations, policies or practices, and that no separation or compensatory arrangements were entered into.

Paul J. Taylor was appointed President, DXC, effective 10 August 2026, announced on 30 July 2026. He is recorded in the filing as aged 55 and as having most recently been Chief Executive Officer of HUB Platform Technology Partner Ltd. from June 2021 to May 2026.

Officer rows held against this record

The officer rows in the structured data on this page are truncated, 5 rows of 20 having been retrieved, and they are not a register or board filing. They read as a scrape of a senior-management page: only one of the five visible rows, Raul J. Fernandez, carries a directorship, none carries an appointment or resignation date, and all five are flagged “ACTIVE” with no status source. The set is of mixed vintage rather than a snapshot of a single date. It shows Mary E. Finch as “Executive VP, CHRO and Global Lead of Marketing & Communication”, although Jennifer Ragone has been Executive Vice President and Chief People Officer since February 2025, and it shows Kristie Grinnell as “Senior VP & CIO”; neither name appears on the company’s own leadership page, where Russell Jukes is Chief Digital Information Officer. Two rows, Raul J. Fernandez and Robert F. Del Bene, are current and correctly titled. A third, Anthony Pappas as Chief Marketing Officer, appears on the company’s leadership page but is not an executive officer named in the Form 10-K. The visible set therefore spans at least February 2024 to the present date and contains no director other than the Chief Executive Officer.

Data availability

Current only, and partial. Nevada does not publish a directors’ and officers’ register comparable to European company registers, so the information above is drawn from SEC filings and the company’s own website rather than from a registry extract; historical appointment and termination records for earlier officers are not available in a single register source. Nationality is not disclosed for any director or officer of DXC Technology Company: neither Nevada corporate filings nor SEC filings publish nationality or country of residence, and none is stated here or inferred. Dates of birth are not published; the Form 10-K discloses ages only. Absence of registry officer data must not be read as evidence that the company has no directors.

Group Structure

Group structure of DXC Technology Company

DXC Technology Company sits at the top of its own group. It is listed on the New York Stock Exchange, no shareholder holds a controlling stake, and no immediate or ultimate parent company is disclosed in any of its filings. Exhibit 21 to the Form 10-K for the year ended 31 March 2026 lists 328 entity rows, being the registrant and its subsidiaries as at 31 March 2026, across roughly 60 jurisdictions. The largest jurisdictional groupings are the United Kingdom with 31 entities, Delaware with 29, Australia with 17, the Netherlands with 16, China with 15, India and Italy with 10 each, Spain with 9, Canada and Germany with 8 each, Luxembourg and Nevada with 7 each, and France and Singapore with 6 each. Exhibit 21 states only entity name and jurisdiction of organisation, so ownership percentage is not disclosed for any of these relationships and no percentage should be assumed.

The group took its present shape on 1 April 2017, when the entity then named Everett SpinCo, Inc. was separated from Hewlett Packard Enterprise Company, renamed DXC Technology Company and combined with Computer Sciences Corporation. Computer Sciences Corporation, a Nevada corporation, remains a subsidiary and appears in the 31 March 2026 Exhibit 21. In June 2018 the company separated its former U.S. Public Sector business, which merged with Vencore Holding Corp. and KeyPoint Government Solutions to form Perspecta Inc.; those entities are no longer part of the group. On 1 October 2024 the Velocity and SAP small and mid-sized business practices of DXC United Pty Ltd, including its Fiji branch, and of DXC Technology New Zealand Ltd were sold to FUJIFILM MicroChannel Services Pty Ltd, a subsidiary of FUJIFILM Business Innovation Corp.; that was a purchase of business practices, and the acquiring entities are not part of the DXC group.

The group’s offshore delivery footprint is concentrated in India and the Philippines, and the relevant detail attaches to those subsidiaries rather than to the Nevada parent. Exhibit 21 lists ten Indian entities as at 31 March 2026: Computer Sciences Corporation India Private Limited, DerivIT Solutions Private Limited, DXC Technology India Private Limited, EIT Services India Private Limited, Luxoft India LLP, Nexplicit Infotech India Private Limited, UXC India IT Services Private Ltd, Xchanging Builders (India) Private Limited, Xchanging Solutions Limited and Xchanging Technology Services India Private Limited. In November 2025 the Government of India consolidated multiple labour statutes into a unified framework which revised the definition of wages used to determine employee benefit obligations; in the third quarter of the year ended 31 March 2026 the company recognised an increase of approximately $15 million in its projected benefit obligations in India and a non-cash charge of $15 million. Indian rupee denominated obligations and forecast transactions are hedged: the notional amount of foreign currency forward contracts designated as cash flow hedges was $197 million at 31 March 2026, against $668 million at 31 March 2025, with related forecast transactions extending through December 2026. Three Philippine registrations appear in Exhibit 21: DXC Technology (Philippines), Inc., EntServ Philippines, Inc. and Enterprise Services (AP) Limited, Philippines Regional Operating Headquarters, the last being a Philippine regional operating headquarters registration of a foreign company rather than a separately incorporated Philippine company.

The corporate tree held in the structured data on this page has been audited against Exhibit 21 and is not reliable as a group structure. It contains 380 nodes nested to a maximum depth of 13. Only 218 of the 380 nodes, or 57%, match an entity named in Exhibit 21; 162 do not, and 123 of the 328 entities named in Exhibit 21 are absent from the tree altogether. The hierarchy is substantially flattened: 141 of the 379 non-root nodes are placed as direct children of the parent, including entities that Exhibit 21 shows sitting several levels down. Identifiers are unreliable in several distinct ways. Eighty-one nodes, 21% of the tree, carry a hash-prefixed pseudo-identifier such as “#0228389319” that is not a registration number in any register. At least 33 further nodes carry a tax identifier in the registration-number field rather than a company number: 5 Indian GSTINs and 3 Indian PANs, 8 Italian VAT numbers, 7 Mexican RFCs, 5 French SIRETs, 2 Philippine TINs, 1 Brazilian CNPJ and 2 United States EINs, including “US VA 382606945”, which is the Employer Identification Number of Covansys.

States of organisation contradict Exhibit 21 systematically. Of 115 United States nodes, only 55 carry any state code at all, 30 of them the blanket value “US VA”, and just one carries Delaware against 29 Delaware entities in Exhibit 21. No node carries Nevada, although Exhibit 21 lists seven Nevada entities and the parent itself is a Nevada corporation. The parent node is labelled “US VA E0155692017-0”, a Nevada-format entity number presented as a Virginia registration, and Computer Sciences Corporation is labelled “US VA C489-1959”, again a Nevada-format legacy entity number presented as Virginia. Branches and foreign registrations are presented as subsidiaries: three United Kingdom overseas-establishment numbers of the FC-prefixed form, one node named “BRANCH OF ENTERPRISE SERVICES INTERNATIONAL TRADE BV”, and nine Norwegian registrations of the NUF form nested beneath their own foreign parent, so that, for example, DXC Technology Slovakia s.r.o., DXC Technology Polska sp. z o.o., DXC Technology Spain, DXC Bulgaria EOOD and DXC Technology India each appear two or three times in a chain of Norwegian registrations of themselves. Sixteen name groups are duplicated under different internal identifiers. Country labels are wrong in individual cases, for instance “HEWLETT-PACKARD AP (HONG KONG) LIMITED” carrying country code PK. Entities recorded as in liquidation, such as CSC Sanidad Peru S.A.C. en liquidacion, and the 2017 merger vehicle Everett Merger Sub Inc., which ceased to exist on completion of the combination, are still presented as live members of the group.

Seven nodes belong to companies outside the DXC group. Six of them are entities of CSRA, the government-services business separated from Computer Sciences Corporation in November 2015 and acquired by General Dynamics Corporation in 2018: CSRA Consular Services Inc., CSRA Canada Inc., CSRA Netherlands B.V., CSRA Italy S.r.l., CSRA BH d.o.o. and CSRA Information Technology Spain SL. All six appear in Exhibit 21 to General Dynamics Corporation’s Form 10-K for the year ended 31 December 2025 and none appears in DXC’s Exhibit 21, so the relationship is confirmed in both directions and they are not DXC subsidiaries. The seventh is FUJIFILM MicroChannel Solutions NZ Limited, nested beneath DXC Technology NZ Limited; it belongs to the FUJIFILM group following the October 2024 purchase of DXC’s Oceania small and mid-sized business practices and is absent from DXC’s Exhibit 21. By contrast, two Russian nodes that look anomalous were cleared: “GRUPPA BTO, OOO” and “INTEGRITI SOLYUSHNS, OOO” are transliterations of BTO Group LLC and Integrity Solutions LLC, both of which appear in DXC’s own Exhibit 21 under Russia, so they are genuine group members.

Data availability

Partial. Subsidiaries are disclosed annually in Exhibit 21 to the Form 10-K by name and jurisdiction of organisation only, with no registration numbers, no ownership percentages and no indication of which entity holds which, so the internal chain of ownership within the DXC group is not public. There is no parent to disclose. The corporate tree in the structured data above is an aggregated construction rather than a filed structure and should not be relied on without checking each entity against Exhibit 21 and the relevant local register.
