FedEx Corporation is a business corporation incorporated in the State of Delaware, United States, on 2 October 1997, and recorded by the Delaware Division of Corporations under file number 2803030. The Global LEI Index holds the entity under LEI 549300E707U7WNPZN687, with an issued and active registration last updated on 5 May 2026, and corroborates both the Delaware registration authority and that same file number. The company was incorporated as FDX Corporation and has filed with the United States Securities and Exchange Commission under the name FedEx Corporation since 10 February 2000. The Delaware registered office is c/o The Corporation Trust Company, 1209 Orange Street, Wilmington, Delaware 19801, and the principal executive offices stated on the cover of the Annual Report on Form 10-K are at 942 South Shady Grove Road, Memphis, Tennessee 38120. The United States has no legal form called a public limited company; the form here is a Delaware stock corporation. The Internal Revenue Service employer identification number 62-1721435, which appears on the cover of the annual report, is a tax identifier and not a company registration number.

The year 1971 that is commonly attached to FedEx describes the founding of the business, not the incorporation of this legal person. The Annual Report on Form 10-K for the fiscal year ended 31 May 2026 states that FedEx Corporation was incorporated in Delaware on 2 October 1997 to serve as the parent holding company and provide strategic direction to the FedEx portfolio of companies, and separately refers to the founding of the business in 1971. A 1 January 1971 date therefore does not describe the incorporation of FedEx Corporation, which post-dates the founding of the business by 26 years.

Common stock of FedEx Corporation is listed on the New York Stock Exchange under the symbol FDX. The SEC file number is 1-15829, the EDGAR central index key is 0001048911 and the CUSIP for the common stock is 31428X106. Eight series of notes issued by the company are also listed on the New York Stock Exchange. As of 16 July 2026 there were 236,581,188 shares of common stock outstanding and 10,211 holders of record, and the aggregate market value of common stock held by non-affiliates was approximately 64.6 billion US dollars as of 30 November 2025. The registrant is classified under standard industrial classification code 4513, air courier services.

The business carried on under the FedEx name is express air and ground parcel transportation, together with freight forwarding, customs brokerage, e-commerce enablement, and retail printing and shipping services. The annual report states that as of 31 May 2026 the express transportation network included approximately 84,000 drop-off locations, 700 aircraft and more than 180,000 motorised vehicles, and that more than 4,000 facilities were operated worldwide. FedEx Office, based in Plano, Texas, operated approximately 2,000 customer-facing stores with approximately 12,000 employees. Consolidated revenue for the fiscal year ended 31 May 2026 was 94,720 million US dollars, against 87,926 million US dollars for the year ended 31 May 2025 and 87,693 million US dollars for the year ended 31 May 2024; consolidated operating income for the 2026 year was 5,463 million US dollars. These are consolidated figures for the reporting group and not company-only figures. As of 31 May 2026 approximately 300,000 permanent full-time and approximately 230,000 permanent part-time employees were employed, alongside approximately 5,300 service providers engaged for certain linehaul and pickup-and-delivery work.

Two changes alter how FedEx Corporation reports from 1 June 2026. The less-than-truckload freight transportation business was separated by a distribution to stockholders that completed on 1 June 2026, and is no longer consolidated from that date. Effective the same day the financial year end was changed from 31 May to 31 December, so results for the seven-month transition period from 1 June 2026 to 31 December 2026 will be reported in a transition report on Form 10-K; any figure quoted for FedEx Corporation must therefore name the period it covers. Reporting is now organised in two segments, Express U.S. Domestic and Express International. Earlier developments include the one FedEx consolidation completed on 1 June 2024 and the acquisition in February 2025 of RouteSmart Technologies, Inc., a route planning and optimisation business.

Shareholders

Shareholders of FedEx Corporation

FedEx Corporation, Delaware file number 2803030, LEI 549300E707U7WNPZN687, is a widely held company whose common stock trades on the New York Stock Exchange, and no complete register of its holders is published anywhere. The data provider for this profile supplied no shareholder records at all for the entity: that is an absence of supplied data, which is not the same finding as ownership information being unpublished. Reportable ownership of FedEx Corporation is published, by the company in its annual proxy statement and by institutional holders in schedules filed with the United States Securities and Exchange Commission.

The definitive proxy statement of FedEx Corporation filed on 17 August 2026 lists four beneficial owners of more than five percent of the common stock. The percentages are computed by the company on the assumption that each holder still held the stated number of shares on 3 August 2026. The Estate of Frederick W. Smith is shown with 14,096,876 shares, 5.96 percent, made up of 13,617,663 shares held directly by the estate and 479,183 shares held through a grantor retained annuity trust; Stacey D. Smith has shared voting and shared dispositive power over the shares held by the estate, as co-executor. Vanguard Capital Management is shown with 16,106,255 shares, 6.81 percent, on the basis of a Schedule 13G filed on 29 April 2026; that schedule itself states 6.75 percent of the class and reports sole voting power over 2,205,265 shares and sole dispositive power over all 16,106,255 shares. BlackRock, Inc. is shown with 15,498,779 shares, 6.55 percent, on the basis of a Schedule 13G/A filed on 29 January 2024 that reported beneficial ownership as of 31 December 2023. PRIMECAP Management Company is shown with 11,931,800 shares, 5.04 percent, on the basis of a Schedule 13G/A filed on 13 May 2025 that reported beneficial ownership as of 31 March 2025. All four are beneficial ownership figures reported under sections 13(d) and 13(g) of the Securities Exchange Act of 1934, and three of the four holders are registered investment advisers reporting for the funds and accounts they manage rather than owners in their own right.

Two movements in the reported holdings have to be read precisely. The Vanguard Group, Inc. reported beneficial ownership of 10 percent of the class in a Schedule 13G/A filed on 3 December 2025. It then filed a Schedule 13G/A on 26 March 2026, with an event date of 13 March 2026, reporting nil shares and nil percent, and stating that on 12 January 2026 The Vanguard Group, Inc. went through an internal realignment and that, in reliance on SEC Release No. 34-39538, certain of its subsidiaries and business divisions now report beneficial ownership separately from it while pursuing the same investment strategies as before. That is a change in the identity of the reporting entity and not a statement that shares were sold; the Schedule 13G filed on 29 April 2026 by Vanguard Capital Management LLC is the successor report. Separately, Dodge and Cox filed a Schedule 13G/A on 14 May 2026 reporting 9,983,449 shares, 4.2 percent, which is below the five percent reporting threshold.

Ultimate beneficial ownership

No natural person is identified as an ultimate beneficial owner of FedEx Corporation in any of the sources listed below. Delaware publishes no shareholder or beneficial-ownership record, and the beneficial-ownership reporting that does exist for this company is the securities-law regime described above, which captures holdings above five percent of a class rather than control. Of the four reported holders, three are institutional investment managers holding for client funds and accounts, and each certifies in its schedule that the shares were acquired and are held in the ordinary course of business and not for the purpose or effect of changing or influencing control of the issuer. The fourth, the Estate of Frederick W. Smith, held 5.96 percent as computed for 3 August 2026; an estate is not a natural person, and the proxy statement identifies Stacey D. Smith only as a co-executor exercising shared voting and dispositive power over the shares of the estate, which is not a disclosure that she beneficially owns the company. No holder is reported at more than ten percent, and no Schedule 13D, the schedule used where a control intent is present, appears in the filing index for the common stock over the period from 2016 to date. On the published record, no ultimate beneficial owner of FedEx Corporation can be identified.

Data availability

Major shareholders only. The available information covers holders of more than five percent of a class who are obliged to report under United States securities law, together with the annual summary the company itself publishes; there is no public register of the full shareholder base of FedEx Corporation and no public beneficial-ownership register for a Delaware corporation. Two of the four figures in the 2026 table rest on schedules with older effective dates, 31 December 2023 for BlackRock, Inc. and 31 March 2025 for PRIMECAP Management Company, and may not reflect current positions.

Directors and officers of FedEx Corporation

FedEx Corporation, Delaware file number 2803030, is a Delaware corporation, and Delaware publishes no register of directors or officers. The directors and executive officers of FedEx Corporation are therefore disclosed through filings with the United States Securities and Exchange Commission rather than through any registry record. At the annual meeting of stockholders held on 28 September 2026, eleven directors were elected to hold office until the annual meeting to be held on 26 April 2027: Mark A. Edmunds, Marvin R. Ellison, Susan Patricia Griffith, R. Brad Martin, Nancy A. Norton, Frederick P. Perpall, Joshua Cooper Ramo, Susan C. Schwab, Richard W. Smith, Rajesh Subramaniam and Paul S. Walsh. Immediately before that meeting the board consisted of twelve members; Amy B. Lane was not nominated for re-election. Susan Patricia Griffith serves as lead independent director and R. Brad Martin as Executive Chairman and Chairman of the Board.

The Annual Report on Form 10-K reports the executive officers of FedEx Corporation as of 20 July 2026. They are R. Brad Martin, Executive Chairman and Chair of the Board, Executive Chairman since September 2025 and Chairman of the Board since June 2025; Rajesh Subramaniam, President and Chief Executive Officer, President since March 2019, Chief Executive Officer since June 2022 and a director since January 2020; Gina F. Adams, Executive Vice President, General Counsel and Secretary since September 2024; Tracy B. Brightman, Executive Vice President and Chief People Officer since June 2023; Brie A. Carere, Executive Vice President and Chief Customer Officer since June 2022; Kawal Preet, Executive Vice President, Planning, Engineering and Transformation since October 2025; Scott Ray, Chief Operating Officer for the United States and Canada since June 2026; Claude F. Russ, Enterprise Vice President, Finance since July 2023 and Interim Chief Financial Officer and Interim Chief Accounting Officer since June 2026; Richard W. Smith, Chief Operating Officer, International, since 1 June 2024; and Vishal Talwar, Executive Vice President and Chief Digital and Information Officer since August 2025. The Secretary of the company is Gina F. Adams. Executive officers are elected by, and serve at the discretion of, the board of directors. The role recorded for each person above is the legal or corporate office held; occupation is a separate matter and is not disclosed in these filings.

Recent officer changes

Frederick W. Smith, the founder of the FedEx business and Executive Chairman of FedEx Corporation, died on 21 June 2025. The company reported the death in a current report on Form 8-K filed on 23 June 2025, which also recorded that the board reduced its size to twelve members and elected R. Brad Martin as Chairman of the Board with effect from 23 June 2025. Founder is a descriptive term and not a corporate office; the office held by Mr Smith at the date of his death was Executive Chairman. He is not a current director or officer of FedEx Corporation, and no source records him as holding any office after 21 June 2025.

R. Brad Martin became Executive Chairman in September 2025, having served as Chairman of the Board from June 2025.

Claude F. Russ was appointed Interim Chief Financial Officer and Interim Chief Accounting Officer in June 2026, and Scott Ray became Chief Operating Officer for the United States and Canada in June 2026, having held that office in an elect capacity from February 2026.

Data availability

Current only, and drawn from regulatory filings rather than a register. Delaware does not publish director or officer records, so there is no registry statement of appointment, resignation or termination dates for FedEx Corporation; the offices and start dates above come from the annual report, the proxy statement and current reports of the company, which give the month or date from which each office is held but do not set out a complete history of past appointments. Nationality is not disclosed for any director or officer in these sources and is recorded here as Not disclosed; country of residence is likewise not disclosed. No residential or personal address and no date of birth is published in these sources, and none is reproduced here.

Group Structure

Group structure of FedEx Corporation

FedEx Corporation sits at the top of its group. It has no parent: the Global LEI Index record for LEI 549300E707U7WNPZN687 reports neither a direct nor an ultimate parent, and no control filing identifies any entity above it. The company describes itself in its Annual Report on Form 10-K as the parent holding company formed on 2 October 1997 to provide strategic direction to the FedEx portfolio of companies.

Exhibit 21 to the Annual Report on Form 10-K for the fiscal year ended 31 May 2026, filed on 20 July 2026, lists 80 subsidiaries of FedEx Corporation as at 31 May 2026, and states that FedEx Corporation owns, directly or indirectly, 100 percent of the voting securities of each of them. The exhibit is filed under Item 601(b)(21) of Regulation S-K and expressly omits subsidiaries that, considered in the aggregate as a single subsidiary, would not be a significant subsidiary under Rule 1-02(w) of Regulation S-X, so it is not a complete list of the group and a company absent from it is not thereby excluded from the group. The exhibit gives each subsidiary a name and a jurisdiction of incorporation or organisation and nothing else: no registration numbers, no individual ownership percentages beyond the blanket 100 percent voting statement, and no ownership chain. Direct subsidiaries therefore cannot be distinguished from indirect ones on this source.

By jurisdiction of organisation, the 80 named subsidiaries are concentrated in Delaware, with 14 entities including Federal Express Corporation, Federal Express Europe, Inc., Federal Express International, Inc., Federal Express Leasing Corporation, Federal Express Pacific, LLC, FedEx Dataworks, Inc., FedEx Express Netherlands Holding, Inc., FedEx Trade Networks Trade Services, LLC, GENCO Infrastructure Solutions, Inc. and FedEx Freight Holding Company, Inc.; the Netherlands, with 6; and Germany, with 5. The remainder are organised in Arkansas, Australia, Belgium, Brazil, Canada, Chile, China, the Czech Republic, Denmark, England and Wales, Finland, France, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Korea, Luxembourg, Malaysia, Mexico, Nevada, New York, New Zealand, Nova Scotia, Ohio, Pennsylvania, Poland, Portugal, Singapore, South Africa, Spain, Sweden, Switzerland, Tennessee, Texas, Turkey, the United Arab Emirates and the United Kingdom. Three Canadian subsidiaries, Federal Express Canada Corporation, FedEx Ground Package System Corporation and FedEx Freight Canada, Corp., are recorded in the exhibit as Nova Scotia companies.

Recent structural changes

On 1 June 2024, under the plan the company calls one FedEx, FedEx Ground Package System, Inc. and FedEx Corporate Services, Inc. were merged into Federal Express Corporation, which from that date operates the unified air and ground express network. Those two companies ceased to exist as separate legal persons on that date.

In February 2025 FedEx Corporation acquired RouteSmart Technologies, Inc., a route planning and optimisation business. Part of the consideration took the form of 359,052 unregistered shares of FedEx Corporation common stock valued at approximately 90 million US dollars at the acquisition date, with a further 296 unregistered shares issued in August 2025 on final post-closing adjustments.

On 13 May 2026 the board of FedEx Corporation declared a pro rata dividend of 80.1 percent of the outstanding common stock of FedEx Freight Holding Company, Inc. to stockholders of record on 15 May 2026. The distribution was made on 1 June 2026, one share of FedEx Freight Holding Company, Inc. for every two shares of FedEx Corporation common stock. FedEx Corporation retained 19.9 percent and has stated it will divest that interest within twenty-four months of the separation; it reported that holding as 29,751,545 shares in a Schedule 13G filed on 7 August 2026. From 1 June 2026 FedEx Corporation no longer consolidates the less-than-truckload freight business.

Data availability

Partial. Delaware publishes no ownership or corporate-linkage record, and the United States maintains no public register of group structures, so the only authoritative source for the subsidiaries of FedEx Corporation is the Exhibit 21 the company files with its annual report, which by its own terms omits subsidiaries that are not significant and which carries no registration numbers, no entity-level ownership percentages and no ownership chain. The position stated here is as at 31 May 2026, except for the interest in FedEx Freight Holding Company, Inc., which is as reported on 7 August 2026, and the RouteSmart Technologies, Inc. acquisition, which is as reported on 18 September 2025.

Who owns FEDEX CORP?

No complete shareholder register is published for FedEx Corporation. The definitive proxy statement filed on 17 August 2026 lists four holders of more than five percent of the common stock, with percentages computed for 3 August 2026: the Estate of Frederick W. Who is FEDEX CORP's UBO (Ultimate Beneficial Owner)?

No ultimate beneficial owner of FedEx Corporation is identified on the public record. Delaware publishes no shareholder or beneficial-ownership register, and the reporting that does exist captures holdings above five percent of a class rather than control. Three of the four reported holders are registered investment advisers holding for client funds and accounts. The fourth, the Estate of Frederick W. Smith, held 5.96 percent as computed for 3 August 2026; an estate is not a natural person, and the proxy statement identifies Stacey D. Smith only as a co-executor with shared voting and dispositive power over the shares of the estate. No holder is reported above ten percent and no Schedule 13D has been filed for the common stock over the period from 2016 to date.
