General Motors Company is a business corporation organised under the laws of the State of Delaware, United States, and recorded with the Delaware Division of Corporations of the Department of State under file number 4718317. Its Legal Entity Identifier is 54930070NSV60J38I987. It designs, builds and sells trucks, crossovers, cars and automobile parts, and provides software-enabled services and subscriptions. It is a registrant with the US Securities and Exchange Commission (central index key 0001467858, Commission file number 001-34960, employer identification number 27-0756180) and its common stock, par value $0.01, is admitted to trading on the New York Stock Exchange under the symbol GM. Its principal executive offices are at 1240 Woodward Avenue, Detroit, Michigan 48265; its registered office in Delaware is c/o Corporation Service Company, 251 Little Falls Drive, Wilmington.

The entity was incorporated in Delaware on 17 June 2009 under the name NGMCO, Inc. That date is stated on the face of its own Amended and Restated Certificate of Incorporation, filed with the SEC as Exhibit 3.1 to its Form 8-K of 7 August 2009, which also records the change of name to General Motors Company. Its Form 10-K for 2009 sets out the sequence: the company was formed earlier in 2009 by the United States Department of the Treasury as a Delaware limited liability company, Vehicle Acquisition Holdings LLC, was converted into the Delaware corporation NGMCO, Inc., and on 10 July 2009 acquired substantially all of the assets and assumed certain liabilities of General Motors Corporation in a sale under section 363 of the US Bankruptcy Code, taking its present name on the same date.

General Motors Corporation, the company whose history begins in 1908, is a different legal person and is not this registrant. It remains on SEC records under central index key 0000040730 with employer identification number 38-0572515, and was renamed Motors Liquidation Company on 13 July 2009. An incorporation date of 1908 therefore describes the predecessor’s corporate history and does not describe General Motors Company, whose own annual reports state without qualification that it “was incorporated as a Delaware corporation in 2009”. For the same reason the legal form is a Delaware business corporation; “public limited company” is a United Kingdom and Commonwealth form and is not a form available under Delaware law.

General Motors Company reports through three segments: GM North America, GM International and GM Financial, the last of which provides automotive financing. Vehicles are developed, manufactured and marketed under the Buick, Cadillac, Chevrolet and GMC brands, and, through equity interests in China, under the Baojun, Buick, Cadillac, Chevrolet and Wuling brands. Its products range from full-size pickup trucks and sport utility vehicles to crossovers, luxury vehicles and battery electric vehicles, supported by connected-vehicle and subscription services. Its customers are retail vehicle buyers, franchised dealers, fleet and commercial operators, and government and defence purchasers.

For the year ended 31 December 2025 the company reported consolidated total net sales and revenue of $185,019 million and consolidated net income attributable to stockholders of $2,697 million, against $187,442 million and $6,008 million for 2024. Consolidated EBIT-adjusted, a measure the company defines itself, was $12,747 million for 2025. At 31 December 2025 it employed approximately 155,000 people worldwide, of whom approximately 119,000 were in GM North America, 28,000 in GM International and 9,000 in GM Financial; approximately 88,000 were hourly and 68,000 salaried, and approximately 47,000 hourly employees in the United States were represented by unions, a majority by the International Union, United Automobile, Aerospace and Agricultural Implement Workers of America.

The 2025 result carried substantial charges the company excluded from EBIT-adjusted: $7,914 million for a strategic realignment of electric vehicle capacity and manufacturing footprint, $842 million for restructuring in China, $657 million for legal matters and $223 million for Cruise restructuring. In December 2024 the company announced it would no longer fund Cruise robotaxi development, and in February 2025 it completed the acquisition of the noncontrolling interests in Cruise, began winding down robotaxi operations and combined the autonomous technical effort into GM North America. The company also reports that import tariffs introduced by the United States and other governments during 2025 affected it and its suppliers. Its Form 10-K for 2025 was filed on 27 January 2026 and audited by Ernst & Young LLP.

Shareholders of General Motors Company

General Motors Company is a widely held listed issuer, so no complete shareholder register exists in the public domain. Its common stock, par value $0.01 (CUSIP 37045V100), trades on the New York Stock Exchange under the symbol GM, and the only ownership data available are the positions that United States securities law requires to be reported. Any percentage has to be read against a share count and a date: the Form 10-K for 2025 records 903,967,853 shares of common stock outstanding as of 15 January 2026, and the proxy statement filed on 20 April 2026 records 901,656,578 shares issued and outstanding as of 6 April 2026.

Three institutional asset managers have reported holdings at or near the five per cent threshold. BlackRock, Inc. reported 74,909,069 shares in a Schedule 13G/A filed on 17 April 2025, stating 7.5 per cent as at 31 March 2025, with sole voting power over 65,212,860 shares and sole dispositive power over the full 74,909,069 and no shared powers. Vanguard Capital Management reported 67,537,567 shares, or 7.47 per cent, as at 31 March 2026 in a Schedule 13G filed on 29 April 2026, with sole voting power over 8,796,974 shares and sole dispositive power over the full holding. State Street Corporation reported 46,594,475 shares in a Schedule 13G filed on 10 November 2025, stating 4.9 per cent as at 30 September 2025, with shared voting power over 28,366,784 shares, shared dispositive power over 46,588,357 shares and no sole powers.

The company’s own 2026 proxy statement lists only two holders above five per cent, restating BlackRock’s share count as 8.3 per cent and State Street’s as 5.2 per cent because it divides them by the 901,656,578 shares outstanding at 6 April 2026 rather than by the share counts in force on each filer’s own reporting date. The same share count, expressed against a different denominator, therefore appears as two different percentages in two authoritative documents; both are reproduced above so the difference is visible. Separately, The Vanguard Group filed a Schedule 13G/A on 26 March 2026 reporting no shares. That filing and the Vanguard Capital Management filing are made by different reporting persons, and how they relate to one another is not established by the filings reviewed here; the two figures must not be added together.

All three filings are made under Rule 13d-1(b), the route reserved for passive institutional investors, and each filer certifies that the securities were acquired and are held in the ordinary course of business and not with the purpose or effect of changing or influencing control of the issuer. These are managed and custodial positions held on behalf of underlying funds and clients rather than positions of corporate control.

Ultimate beneficial ownership. No ultimate beneficial owner has been identified. No natural person is named as a beneficial owner of General Motors Company in any filing reviewed, no shareholder is reported at or above 25 per cent, no controlling shareholder is disclosed, and the company discloses no parent undertaking. On the evidence available the ownership is dispersed among institutional and retail investors and no ownership chain can be traced to an individual. That is a conclusion about the available filings and not an assertion that no such person exists.

Data availability: major shareholders only. Delaware does not publish shareholder registers or beneficial ownership records for corporations, so the disclosure for this entity comes entirely from SEC beneficial-ownership filings and the annual proxy statement, which capture only positions above the reporting threshold and only as at each filer’s stated date. The shareholder rows stored against this record are five of a stated twenty and are not a complete list; their percentages have not been published here because they do not reconcile with the share count on the company’s own filings. One stored row shows a holding of 31,322,758 shares at 5.72 per cent, which implies a denominator of roughly 548 million shares against the roughly 902 million actually outstanding; on the correct denominator that position would be about 3.5 per cent. No inference should be drawn from which holders are present in or absent from the stored rows.

Directors and officers of General Motors Company

Delaware does not publish director or officer records for corporations, so the governing disclosure for General Motors Company is its SEC filing record. Two separate populations are disclosed there and should not be merged: the board of directors, elected annually by shareholders, and the executive officers named in the annual report. At the 2026 annual meeting of shareholders, held on 2 June 2026, shareholders elected ten directors, each for a one-year term: Mary T. Barra, Wesley G. Bush, Joanne C. Crevoiserat, Joseph Jimenez, Alfred F. Kelly, Jr., Judith A. Miscik, Patricia F. Russo, Mark A. Tatum, Jan E. Tighe and Devin N. Wenig. The voting results were reported in the company’s Form 8-K of 4 June 2026 under Item 5.07. Mary T. Barra is Chair of the board as well as Chief Executive Officer; Patricia F. Russo serves as independent lead director. Apart from Ms Barra, the board determined that all serving directors were independent.

The Form 10-K for 2025 names seven executive officers as of 27 January 2026, with the year in which each took up the present role: Sterling J. Anderson, Executive Vice President, Global Product and Chief Product Officer (2025); Mary T. Barra, Chair and Chief Executive Officer (2016); Grant M. Dixton, Executive Vice President, Chief Legal and Public Policy Officer, and Corporate Secretary (2024); Rory V. Harvey, Executive Vice President and President, Global Markets (2024); Christopher T. Hatto, Vice President, Global Business Solutions and Chief Accounting Officer (2020); Paul A. Jacobson, Executive Vice President and Chief Financial Officer (2020); and Mark L. Reuss, President (2019). The company states that each was elected by the board to hold office until a successor is elected and qualified or until earlier resignation or removal, and that there are no family relationships among them.

Recent officer changes. On 26 May 2026 Jonathan McNeill notified the board that he would not stand for re-election and would retire on the conclusion of the 2026 annual meeting; he left the board on 2 June 2026 and the board was reduced from eleven members to ten. The company recorded that his retirement was not the result of any disagreement with it on any matter relating to its operations, policies or practices. Earlier, Linda R. Gooden and Thomas M. Schoewe each retired from the board on 3 June 2025. Sterling J. Anderson took up the role of Executive Vice President, Global Product and Chief Product Officer during 2025; the company gives the year rather than an exact effective date.

Data availability: partial, and current only. The State of Delaware does not publish directors, officers or registered-agent officer detail for corporations, so no registry filing exists against which to check appointment and cessation dates; the dates above are drawn from SEC filings. Nationality is not disclosed for any director or officer, because United States securities law does not require it, and it is recorded here as not disclosed rather than inferred from a name, a residence or a correspondence address. Ages are disclosed in the filings but dates of birth are not, and none is published here. The officer rows stored against this record are five of a stated seventeen, every one of them flagged as active with no appointment or resignation date; three of the five people named in them — a chief marketing officer, a research and development officer and a chief operating officer — do not appear among the seven executive officers named in the 2025 Form 10-K as of 27 January 2026, so the stored rows should not be read as a current officer list, and one of them carries a partial date of birth, which has not been published. No inference should be drawn from who is absent from the stored rows.

Group Structure

Group structure of General Motors Company

General Motors Company is the ultimate parent of its group. No parent undertaking is disclosed in any filing reviewed, and no shareholder is reported as controlling it. The authoritative list of controlled entities is Exhibit 21 to its Form 10-K, which as of 31 December 2025 names 184 subsidiaries and joint ventures. The exhibit expressly states that certain subsidiaries which, considered in aggregate as a single subsidiary, would not be significant have been omitted, and that a further 123 subsidiaries of General Motors Financial Company, Inc. operating in the United States in the same line of business have also been omitted. The list gives each entity’s state or sovereign power of incorporation but no registration numbers and no ownership percentages, so percentages are not disclosed for the subsidiaries. The jurisdictions represented are dominated by Delaware, with further United States entities in Arizona, Illinois, Michigan, Nevada, Ohio, Texas and Utah, and non-US entities in Argentina, Australia, Belgium, Bermuda, Brazil, Canada, the Cayman Islands, Chile, China, Colombia, Ecuador, Egypt, England and Wales, France, Germany, Hong Kong, India, Indonesia, Ireland, Israel, Japan, Mexico, New Zealand, Norway, Peru, the Philippines, Saudi Arabia, Singapore, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, Thailand, the United Arab Emirates and Uruguay.

One ownership chain is documented in a second registrant’s own filing rather than inferred. General Motors Financial Company, Inc. is a Texas corporation (employer identification number 75-2291093, SEC central index key 0000804269, named AmeriCredit Corp until 6 October 2010). Its own Form 10-K for 2025 states that all of its common stock, being 5,050,000 shares as of 26 January 2026, is owned by General Motors Holdings LLC, itself a wholly owned subsidiary of General Motors Company. The chain is therefore General Motors Company to General Motors Holdings LLC to General Motors Financial Company, Inc., each link on the face of a filed document.

General Motors Financial is a separate registrant with its own balance sheet and its own listed debt, and its figures must not be merged into the parent’s. It files a Form 10-K under Commission file number 1-10667 and has senior notes listed on the New York Stock Exchange. For the year ended 31 December 2025 it reported, on its own consolidated basis, total revenue of $17,059 million, total assets of $140,477 million and total shareholders’ equity of $15,813 million, of which secured debt was $46,904 million and unsecured debt $67,127 million. Those liabilities are obligations of the finance company and its subsidiaries.

Several of the largest entities associated with General Motors are joint ventures rather than subsidiaries, and its interests in them are held on the equity method. Ultium Cells Holdings LLC is an equally owned joint venture with LG Energy Solution. Direct ownership interests in the China joint ventures at 31 December 2025 were: SAIC General Motors Corporation Limited 50 per cent, Pan Asia Technical Automotive Center Co., Ltd. 50 per cent, SAIC General Motors Sales Co., Ltd. 49 per cent, SAIC GM Wuling Automobile Co., Ltd. 44 per cent, Shanghai OnStar Telematics Co., Ltd. 40 per cent, SAIC GM (Shenyang) Norsom Motors, SAIC GM Dong Yue Motors and SAIC GM Dong Yue Powertrain 25 per cent each, and SAIC-GMAC Automotive Finance Company Limited and SAIC-GMF Leasing Co., Ltd. 35 per cent each. Buick, Cadillac, Chevrolet, GMC, BrightDrop, Baojun and Wuling are brands under which vehicles are sold; they are not themselves legal entities, and BrightDrop in particular appears in the structure data as though it were one.

Recent structural changes. In February 2025 the company completed the acquisition of the noncontrolling interests in Cruise and began winding down the Cruise robotaxi operations, combining the autonomous technical effort into the GM North America segment. During 2025 it recorded $7,914 million of charges for a strategic realignment of electric vehicle capacity and manufacturing footprint, of which $0.3 billion recorded in the quarter ended 30 June 2025 related to Ultium’s strategic realignment. It recorded a further $842 million of restructuring charges in China in 2025, following $4,010 million in 2024.

Data availability: partial, and the stored structure graph is unreliable. Exhibit 21 is complete only as to significant subsidiaries and discloses no registration numbers or ownership percentages, so the structure below the named entities cannot be reconstructed from public filings alone. The corporate linkage graph stored against this record holds 206 nodes and was audited against Exhibit 21 to the 2022 to 2025 Forms 10-K. It appears to be a stale snapshot: many nodes were last named in the exhibit for 2022 or 2023 and have since been removed, including Motors Holding LLC, Maven Drive LLC, North American New Cars LLC, Annunciata Corporation, Lidlington Engineering Company, BrightDrop Solutions LLC and Voyage Auto, Inc. Sixty-six of the 206 nodes carry no registration number at all, only a provider-internal reference beginning with a hash character, and roughly thirty-five more carry a tax identifier in place of a registry number — Mexican RFCs, Colombian NITs, Chilean RUTs, Ecuadorean and Peruvian RUCs, Argentine CUITs, Brazilian CNPJs, Indian GSTINs and a PAN, Philippine TINs and a Uruguayan RUT. The root node itself is mislabelled: its identifier is given as “US MI 4718317”, but 4718317 is the entity’s Delaware Division of Corporations file number, not a Michigan one, and the register named on this record is a Michigan one. States of organisation contradict Exhibit 21 in roughly twenty cases, among them General Motors LLC, GM Components Holdings LLC, GM Defense LLC, Argonaut Holdings LLC, OnStar LLC, Cruise LLC, GM Cruise Holdings LLC, Ultium Cells LLC and General Motors Asset Management Corporation, each shown as a Michigan, California, New York or Ohio entity where the exhibit states Delaware. Four entities appear twice under different identifiers, and in two of those cases the duplicate is also given the wrong country: GM LAAM Holdings, LLC and General Motors Financial Company, Inc. each appear once correctly and once as Chilean entities. Around ten nodes are not legal entities at all but brands, divisions, plants or a building — “Brightdrop”, “Buick Financial”, “GMC Financial”, “Cadillac Motor Div Area”, “GM Powertrain-Romulus Engine”, “GM Powertrain Marine+industrial”, “Durant-Dort Factory One” and a condominium association — and a Beijing representative office of a US entity is presented as a subsidiary rather than a branch. Around ten further nodes are franchised motor dealerships or dealer-investment vehicles, including Glendora Chevrolet, Inc., Asheville Chevrolet, Inc., West Haverstraw Chevrolet Inc, Silveira GMC, Inc. and Mandal Automotive Group, Inc.; none of these has ever appeared in a General Motors Company Exhibit 21 and several return no results anywhere on EDGAR. At least one node belongs to a different company’s structure: “Delphi Ensamble de Cubiertas Automotrices, S.A. de C.V.” appears on EDGAR only in a 2008 exhibit filed by Delphi Corp, the components business General Motors Corporation spun off in 1999, and has never appeared in a General Motors Company Exhibit 21. The stored graph also omits several of the group’s most material entities, including GM Korea Company, GM Financial Bank, Banco GM S.A., General Motors do Brasil Ltda. and the SAIC joint ventures. The graph should be treated as a lead only; the relationships stated in this note are those supported by Exhibit 21 and by the finance company’s own Form 10-K.
