GXO Logistics, Inc. is a contract logistics business. Through its subsidiaries it operates warehouses on behalf of corporate customers who have outsourced their warehousing and distribution, supplying high-value-added warehousing and distribution, order fulfilment, e-commerce fulfilment, reverse logistics (returns handling) and related supply-chain services. In its annual report for the year ended 31 December 2025 the company describes itself as the largest pure-play contract logistics provider in the world and reports its operations as a single reportable segment. Its service offer combines warehouse operations with a proprietary cloud-based warehouse management platform, intelligent warehouse automation (autonomous and collaborative robots, automated sortation systems, automated guided vehicles, goods-to-person systems and wearable devices) and predictive analytics used for labour and inventory planning. Named competitors in the same annual report include CEVA Logistics, DHL Group, DSV, GEODIS, ID Logistics Group, Kuehne + Nagel and Ryder System.
Customer demand is spread across several verticals. Of 2025 revenue, 49% came from omnichannel retail, 12% from technology and consumer electronics, 12% from industrial and manufacturing, 10% from food and beverage, 10% from consumer packaged goods and 7% from other industries. The five largest customers together accounted for approximately 20% of 2025 revenue and no single customer for more than 6%. Fourth-quarter volumes are seasonally the strongest and first-quarter volumes the weakest.
On a consolidated basis for the year ended 31 December 2025, GXO Logistics, Inc. reported revenue of $13,178 million (2024: $11,709 million; 2023: $9,778 million) and net income of $36 million (2024: $138 million). Consolidated 2025 revenue by country was $6,296 million in the United Kingdom, $3,158 million in the United States, $1,035 million in the Netherlands, $822 million in France, $651 million in Spain, $405 million in Italy and $811 million elsewhere. At 31 December 2025 the company reported approximately 154,000 team members — about 105,000 full-time and part-time employees and about 49,000 temporary workers engaged through third-party agencies — operating in 26 countries across 1,043 facilities totalling approximately 221 million square feet. Of that workforce, 52% was in the United Kingdom, 27% in the rest of Europe, 20% in North America and 1% in Latin America and Asia combined.
The common stock of GXO Logistics, Inc., par value $0.01 per share, has been listed on the New York Stock Exchange under the ticker symbol GXO since 2 August 2021; its 3.750% notes due 2030 are also listed on the New York Stock Exchange under the symbol GXO/30. There were 114,713,579 shares of common stock outstanding on 20 February 2026.
Identification note: the website and LinkedIn address recorded against this company in the underlying data feed — www.xpo.com and a linkedin.com/company/xpologistics profile — are not GXO properties. They belong to XPO, Inc. (New York Stock Exchange: XPO), a separate SEC registrant with its own CIK (0001166003) and its own employer identification number (03-0450326), whose annual report for the year ended 31 December 2025 names www.xpo.com as its corporate website. Shareholders of GXO Logistics, Inc.
GXO Logistics, Inc. is a widely held company listed on the New York Stock Exchange, and only holders that cross U.S. reporting thresholds are publicly identified. There is no controlling shareholder. The definitive proxy statement filed on 22 April 2026 reports 115,047,223 shares of common stock issued and outstanding as of the record date of 16 April 2026, and names two holders of more than 5% of that class. Later Schedule 13G filings add two more. Taken together, the reportable holders of GXO Logistics, Inc. disclosed in SEC filings are:
- Orbis Investment Management Limited and related entities — 13,424,844 shares, 11.7% of the class, as of 31 December 2025, per the Schedule 13G/A filed 17 February 2026. Within the group, Orbis Investment Management Limited (Bermuda) reported 12,961,835 shares (11.3%) with sole voting and sole dispositive power, Orbis Investment Management (U.S.), L.P. (Delaware) reported 454,233 shares (0.4%) and Allan Gray Australia Pty Ltd reported 8,776 shares.
- BlackRock, Inc. — 10,601,704 shares, 9.2% of the class in the 2026 proxy statement. That figure rests on a Schedule 13G filed on 25 January 2024 reporting the position as of 31 December 2023, with sole voting power over 10,305,200 shares and sole dispositive power over 10,601,704 shares. It is more than two years old and should be treated as the latest filed figure rather than a current one.
- Vanguard Capital Management LLC — 6,015,699 shares, 5.24% of the class as of 31 March 2026, per the Schedule 13G filed 30 April 2026, with shared voting power over 871,844 shares and sole dispositive power over 6,015,699 shares.
- The Spruce House Partnership LLC, Spruce House Capital LLC and Spruce House Investment Management LLC, with Zachary Sternberg and Benjamin Stein — 6,003,988 shares, 5.2% of the class as of 14 July 2026, per the Schedule 13G filed 21 July 2026. The two individuals are reported as holding-company control persons of the filing group; the same 6,003,988 shares are attributed to each of the five reporting persons rather than added together.
A change in the Vanguard filings matters for anyone comparing periods. The Vanguard Group, Inc. carried out an internal realignment on 12 January 2026, and in a Schedule 13G/A filed on 27 March 2026 it reported zero shares of GXO Logistics, Inc. as of 13 March 2026, stating that certain subsidiaries and business divisions now report beneficial ownership separately. The 5.24% position above is the disaggregated Vanguard Capital Management LLC filing that followed. Any record still showing The Vanguard Group, Inc. as a double-digit holder of GXO is out of date.
Every disclosed holder above 5% is an institutional investment manager reporting voting and dispositive power over client and fund assets. A Schedule 13G position of that kind is a reporting position over managed assets, not an economic interest of the manager, and none of these filers is a beneficial owner of GXO Logistics, Inc. in the KYB sense. All current directors and executive officers as a group (15 people) beneficially owned 179,724 shares, 0.16% of the class, as of 16 April 2026.
Ultimate beneficial ownership
No ultimate beneficial owner of GXO Logistics, Inc. can be identified from authoritative sources. No natural person is reported at or above any customary beneficial-ownership threshold: the largest reported position of any kind is 11.7% and is held by an investment manager, and the largest holding attributed to named individuals is the 5.2% Spruce House group position, which arises from investment-management control of a fund rather than from personal economic ownership. Delaware does not maintain a public beneficial-ownership register, and no U.S. federal beneficial-ownership filing is publicly available for this company.
Data availability
Availability is major shareholders only. For a U.S. listed issuer the public record shows holders that cross the 5% Schedule 13D/13G threshold plus the holdings of directors and executive officers; it does not show the complete shareholder base, and the great majority of the register is held through nominees and brokers that are never named. The four figures above also carry four different effective dates (31 December 2023, 31 December 2025, 31 March 2026 and 14 July 2026), so they are not a single point-in-time picture and do not sum to a meaningful total.
The shareholder percentages held in this site’s underlying company feed are not ownership percentages and are not reproduced above. They are computed against a partial sample rather than the full share class — the feed records Vanguard Group Inc at 14.06% on 10,906,324 shares and again, under a second identifier, at 13.94% on 10,794,416 shares, which implies a denominator of roughly 77.6 million shares against the 115,047,223 actually outstanding. The same feed lists two individual funds (an iShares S&P Mid-Cap ETF and a Fidelity value fund) that the company does not identify as 5% holders at all, and it still shows Vanguard Group Inc as a holder although that entity reported zero shares as of 13 March 2026.

Officers

Directors and officers of GXO Logistics, Inc.
Delaware does not publish a register of directors or officers, so the directors and officers of GXO Logistics, Inc. are established from the company’s SEC filings rather than from a registry. Stockholders elected ten directors at the annual meeting held on 20 May 2026, each for a term expiring at the 2027 annual meeting: Patrick Byrne, Marlene Colucci, Todd Cooper, Matthew Fassler, Patrick Kelleher, Michael Kneeland, Julio Nemeth, Torsten Pilz, Laura Wilkin and Kyle Wismans. Nine are non-executive; Patrick Kelleher, the chief executive officer, is the only executive director. Patrick Byrne became chairman of the board effective 31 December 2025, having joined the board on 29 July 2025, and Marlene Colucci has served as lead independent director since 13 May 2025, having been a director since 2 August 2021 and vice chair until that date. Brad Jacobs, the company’s former chairman, separated from the board on 31 December 2025.
The executive officers named in the annual report for the year ended 31 December 2025, filed 25 February 2026, were Patrick Kelleher (chief executive officer since August 2025), Baris Oran (chief financial officer since August 2021), Karlis Kirsis (chief legal officer since August 2021), Elizabeth Fogarty (chief communications officer since September 2021), Corinna Refsgaard (chief human resources officer since April 2024), Bart Beeks (chief operating officer since January 2026) and Karen Bomber (chief commercial officer since January 2026). The board has been substantially refreshed and the senior management team substantially rebuilt since mid-2025: Malcolm Wilson, the founding chief executive, ceased employment on 3 December 2025, and Richard Cawston, chief revenue officer and president of Europe, held that role until 26 January 2026 and departed in March 2026.
Recent officer changes
- Chief financial officer. On 3 March 2026 the board approved the appointment of Mark Suchinski as chief financial officer and principal financial officer, effective 1 April 2026. He succeeded Baris Oran, whose departure had been agreed on 4 August 2025 for March 2026.
- Chief accounting officer, resignation. On 23 January 2026 Paul Blanchett notified the company of his resignation as chief accounting officer, with a last working day of 24 April 2026. The board appointed Laura Bracken, vice president controller for the Americas and Asia Pacific, as interim chief accounting officer effective 1 April 2026.
- Chief accounting officer, appointment. On 17 August 2026 the board approved the appointment of Christina Carvalho as chief accounting officer and principal accounting officer effective 14 September 2026, on which date Laura Bracken ceased to serve in the interim role.
Data availability
Availability is partial and current-only. The Delaware Division of Corporations does not publish officer or director information for any Delaware entity, and the free public search on its site is gated behind a CAPTCHA, so no registry-sourced officer list exists for this company. SEC filings disclose the board and the executive officers by name, role, age and, in the annual report, career history, and they disclose appointment, resignation and effective dates for reportable changes; they do not disclose nationality or country of residence. Nationality is therefore not disclosed for any director or officer of GXO Logistics, Inc., and none is inferred here. No date of birth, national identifier or residential address is published in these sources or reproduced here.
The officer rows held in this site’s underlying company feed are incomplete and partly wrong, and they should not be read as the officer list. The feed stores 5 of 13 rows it claims to hold, every stored row is flagged ACTIVE with no appointment or resignation date, and the roles do not reconcile to the filings: one row is a country-level operational manager (managing director for Belgium and the Netherlands) rather than an officer of the Delaware corporation; one row gives Elizabeth Fogarty the title chief commercial officer, which the annual report assigns to Karen Bomber while naming Ms Fogarty chief communications officer; and one row presents Paul Blanchett as the current chief accounting officer although he resigned with effect from 24 April 2026 and the role has since passed through an interim holder to Christina Carvalho. The feed also has no row for the chairman, for any non-executive director or for the current chief financial officer.

Group Structure
Group structure of GXO Logistics, Inc.
GXO Logistics, Inc. is the parent company of its group and has no parent of its own. It is a stand-alone New York Stock Exchange registrant with no controlling shareholder, and no filing identifies an immediate or ultimate parent. It became a stand-alone public company on 2 August 2021, when XPO, Inc. (then named XPO Logistics, Inc.) distributed its shares to XPO stockholders under a Separation and Distribution Agreement dated 1 August 2021. Since that distribution the two are separate SEC registrants with separate CIK numbers — GXO Logistics, Inc. at 0001852244 and XPO, Inc. at 0001166003 — and no filing reviewed shows any continuing corporate ownership between them. What survives from the separation is contractual: a tax matters agreement, an employee matters agreement and an intellectual property licence agreement, all dated July or August 2021. XPO, Inc. is therefore not a parent, a shareholder or a member of the GXO group, and the two companies’ subsidiary lists do not overlap.
Exhibit 21.1 to the annual report for the year ended 31 December 2025 is the authoritative list of significant subsidiaries. It names 20 entities, ownership 100% unless otherwise indicated, and states that consolidated subsidiaries which are not significant have been omitted. By jurisdiction of incorporation these are: Delaware — GXO Enterprise Services, LLC; GXO Logistics Finance, LLC; GXO Logistics Worldwide Holding Company, LLC; GXO Logistics Worldwide, LLC; GXO Logistics Holding Company. North Carolina — GXO Logistics Supply Chain, Inc. Iowa — GXO Warehouse Company, Inc. France — GXO Logistics Europe SAS; GXO Logistics France SAS. Netherlands — GXO Logistics Netherlands BV; GXO Logistics Netherlands III BV; GXO Logistics Holdings BV; GXO Logistics Capital BV. Spain — GXO Logistics Spain SL. Italy — GXO Logistics Italy SPA. United Kingdom — GXO Logistics Holdings UK Unlimited; GXO Logistics UK II Limited; Northern Commercials (Mirfield) Limited; Wincanton Holdings Limited. Scotland — GXO Logistics UK Limited.
The wider consolidated group is larger than that list and is concentrated in Europe. Consolidated 2025 revenue was generated principally in the United Kingdom, the United States, the Netherlands, France, Spain and Italy, and the company reported operations in 26 countries at 31 December 2025.
Recent structural changes
- Acquisition of Wincanton, completed 29 April 2024. GXO completed the acquisition of the UK logistics group Wincanton plc, now Wincanton Limited, registered at Companies House under number 04178808 with a registered office at Methuen Park, Chippenham. Wincanton Holdings Limited (Companies House 02155951) appears in Exhibit 21.1 as a significant subsidiary.
- Conditional clearance and pending divestment, 19 June 2025. The UK Competition and Markets Authority cleared the Wincanton acquisition subject to the divestment of a small number of Wincanton grocery contracts in the United Kingdom. The remaining conditions for integration were met in autumn 2025 and integration has begun; the divestment had not completed at 31 December 2025, when the related assets met the held-for-sale criteria, and the company expects to complete it during 2026.
- New financing subsidiary, 15 October 2025. GXO Logistics Capital B.V. was incorporated under the laws of the Netherlands and issued the €500 million 3.750% notes due 2030 that are listed on the New York Stock Exchange.
Data availability
Availability is partial. Delaware publishes no ownership or corporate-linkage data, so no registry source describes this group; the verified structure comes from Exhibit 21.1 to the annual report, which by its own terms covers only significant subsidiaries and omits the rest. Individual subsidiaries can be confirmed in their local registers — Companies House for the UK entities, the French business register for the French ones — but no official source publishes the full consolidated tree with ownership percentages, and no ownership percentage below 100% is disclosed for any listed subsidiary.
The 167-node corporate tree held in this site’s underlying company feed is a vendor-assembled structure, not Exhibit 21.1, and it should not be relied on without checking each node. It spans 24 countries (68 nodes in the United Kingdom, 27 in the United States, 19 in France, 13 in the Netherlands) and is genuinely hierarchical to eight levels, so it is not flattened, but it carries several measurable defects. Roughly 37 nodes hold a tax or establishment identifier in the registration-number field instead of a company registration number: 19 French rows give a 14-digit SIRET establishment number rather than the 9-digit SIREN, 5 Belgian rows give the VAT form of the enterprise number, 5 German rows give malformed register composites, 3 Italian rows give VAT numbers, 3 Polish rows give NIP tax numbers, one Mexican row gives an RFC tax number and one Indian row gives a GSTIN rather than the corporate identity number. Seven nodes carry a hash-prefixed pseudo-identifier with no jurisdiction, and several US rows carry what appear to be employer identification numbers or state control numbers. Six nodes state a US state that contradicts Exhibit 21.1: the parent itself is shown as Connecticut although it is a Delaware corporation, GXO Logistics Worldwide, LLC, GXO Logistics Holding Company, GXO Enterprise Services, LLC and GXO Logistics Finance, LLC are Delaware in Exhibit 21.1 but shown as North Carolina or Connecticut, and GXO Warehouse Company, Inc. is Iowa in Exhibit 21.1 but shown as North Carolina. Duplicates appear under different identifiers: GXO Logistics Worldwide, LLC and GXO Logistics Supply Chain, Inc. are each listed twice, and GXO Warehouse Company and Crossview each appear once as an Inc. and once as an LLC.
Two nodes carry the name of XPO, and both were checked because the feed also records an XPO website against this company. The first, “XPO LOGISTICS SUPPLY CHAIN, INC.” at Companies House number FC029681, is not a subsidiary and not an XPO entity: it is the UK overseas-company registration — a branch — of the North Carolina company GXO Logistics Supply Chain, Inc., recorded at Companies House under a former name (previously New Breed Logistics, Inc.) with an overseas address at 4043 Piedmont Parkway, High Point, North Carolina. The second, “XPO LAST MILE FRANCE” (SIREN 529213746), is shown as a direct subsidiary of GXO Logistics Europe but could not be verified as part of this group: the French business register shows it still registered under that name with a principal activity of local road-freight transport, an activity GXO does not describe as its own, and it does not appear in Exhibit 21.1. It is presented here as an unverified node, not as a GXO subsidiary. Finally, one node (INVAR POLSKA SP Z O O) carries a liquidation marker in its own name while being displayed as live, one node (Risk Underwriting (Guernsey) Limited) is labelled as a United Kingdom company although Guernsey has its own register, and several pension-trustee companies are displayed alongside operating companies without distinction.
