The registration dates and the founding year of the family business are separate things and should not be conflated. Entry 1 on HRB 42722 records that the stock corporation arose from the conversion, under the German Transformation Act and by shareholders’ resolution of 17 March 1987, of the Hornbach OHG of Bornheim, a general partnership that had existed since 12 March 1953; the day of first registration (Tag der ersten Eintragung) is given as 15 May 1987, and the sheet replaced the earlier sheet HR B 2722 NE at the Amtsgericht Neustadt when the register was transferred to electronic form on 16 September 2005. The domestic business address shown on HRB 64616 is Hornbachstr. 11, 76879 Bornheim, changed from Le Quartier Hornbach 19, 67433 Neustadt by an entry registered on 14 August 2020; the registered seat (Sitz) remains Neustadt an der Weinstraße. The annual report for 2025/26 states that the share capital of EUR 48,000,000.00 is divided into 16,000,000 no-par bearer ordinary shares (Stückaktien) with a notional EUR 3.00 each, that there is only one class of share, and that these shares are admitted to trading in the Prime Standard of the Frankfurt Stock Exchange under ISIN DE0006083405 and WKN 608340. The share master data in the same report give the trading venues as Frankfurt and Xetra, the stock market code HBH, Bloomberg code HBH:GR, Reuters code HBH.DE, a financial year running from 1 March to 28 (29) February, and a first issue on 3 July 1987 (originally a preference share of HORNBACH AG). The issuer also states that the shares are included in the SDAX index, and the annual report uses the SDAX as the share’s benchmark index. At consolidated level, the IFRS consolidated financial statements for 2025/26 report net sales of EUR 6,434 million (an increase of 3.8 per cent), of which EUR 3,240 million was generated elsewhere in Europe; EBITDA of EUR 486 million; EBIT of EUR 256 million; adjusted EBIT of EUR 265 million; a pre-tax result of EUR 201 million; earnings per share of EUR 8.66; and an average workforce of 20,968 full-time equivalents. These consolidated figures are not the legal entity’s own trading results.

The activities, products and markets reported on a consolidated basis are DIY and garden-centre retailing, DIY online retailing, builders’ merchant and specialist building-materials trade for mainly commercial customers, and the holding and letting of retail property. At 28 February 2026 consolidated reporting covered 176 retail locations — 173 large-format DIY and garden centres and three BODENHAUS hard-flooring stores — in nine European countries, with 100 locations in Germany and 76 elsewhere in Europe, namely the Netherlands (18), Austria (15), Romania (11), Czechia (10), Switzerland (8), Sweden (8), Slovakia (5) and Luxembourg (1), on a weighted total selling area of 2,118 thousand square metres, alongside 39 builders’ merchant branches of which 37 are in south-west Germany and two in France. Online shops are operated in those nine countries plus a separate BODENHAUS online shop. An active register status does not establish that the entity or the group is trading, and these operating figures are reported at consolidated level.

Material developments with dated sources: the general meeting of 11 July 2025 resolved a new authorised capital (Genehmigtes Kapital 2025/I) of up to EUR 9,600,000.00 by the issue of up to 3,200,000 new no-par bearer shares until 10 July 2030, and cancelled the authorisation created in 2021; this was registered on HRB 64616 on 24 November 2025. For the financial year 2025/26 the general partner and the supervisory board proposed a dividend of EUR 2.40 per dividend-bearing ordinary share, a total distribution of EUR 38,397,556.80, to the general meeting planned for 10 July 2026. For the first six months of the financial year 2026/27 (1 March to 31 August 2026) the company reported consolidated net sales of EUR 3,816.2 million, up 6.0 per cent, gross profit of EUR 1,320.6 million at a gross margin of 34.6 per cent, adjusted EBIT of EUR 285.6 million, up 4.9 per cent, and free cash flow of EUR 194.9 million; consolidated equity ratio was 45.8 per cent and net financial debt EUR 1,174 million at 31 August 2026. The company reported the opening of a store at Graz-Liebenau, Austria, on 11 September 2026, announced an opening at Beuningen in the Netherlands for October 2026, and stated that six former HELLWEG locations in Germany are to reopen as HORNBACH stores in spring 2027.

The articles of the KGaA impose a floor on the family holding. The annual report states that the participation of Hornbach Familien-Treuhandgesellschaft mbH in the share capital of HORNBACH Holding AG & Co. KGaA must amount to more than 10 per cent, and that Hornbach Familien-Treuhandgesellschaft mbH must hold at least 50 per cent plus one share in HORNBACH Management AG. The same report states that Hornbach Familien-Treuhandgesellschaft mbH currently holds all of the shares in HORNBACH Management AG. The registered object of the Treuhandgesellschaft, as recorded on HRB 3300 at the Amtsgericht Landau in der Pfalz, is asset management of all kinds, in particular the acquisition and management of interests in undertakings, the management of its own assets, and the pooling of the interests and the votes of its own members in investee companies.

Holdings in the free float are published only where a statutory notification threshold has been reached. Under sections 33 and 38 of the German Securities Trading Act (WpHG) the thresholds are 3, 5, 10, 15, 20, 25, 30, 50 and 75 per cent of voting rights. These notified positions are voting-rights percentages as at the stated threshold dates and are not restated to a common date; they are not additive with the 28 February 2026 free-float figure and no effective percentage has been calculated across them. Ultimate beneficial ownership

No ultimate beneficial owner can be established from the sources used, and none is asserted here. Three points determine that.

First, control of this entity does not run through the shareholder base in the way it would for an Aktiengesellschaft. The annual report states that the personally liable shareholder manages the business of HORNBACH Holding AG & Co. KGaA and represents it towards third parties, that the supervisory board of the KGaA has no right to appoint the management board of the personally liable shareholder, and that the latter is appointed by the supervisory board of HORNBACH Management AG. A holding of share capital in the KGaA therefore does not by itself confer control over its management, and the customary practice of reading a shareholding above a fixed percentage as beneficial ownership does not apply here. No 25 per cent threshold has been used.

Second, the highest entity identified in the published chain is Hornbach Familien-Treuhandgesellschaft mit beschränkter Haftung, a limited liability company and therefore a legal entity, not a natural person; it is not assumed to be the beneficial owner. Its own members are not named in the chronological register print for HRB 3300, which records only the registered managing directors, the registered object and the share capital of EUR 550,000.00. Its registered object expressly describes it as pooling the interests and votes of its members, which indicates a plurality of family members rather than a single controlling holder, but the register print does not state how its own capital is divided and no individual percentage has been established.

Third, the German Transparenzregister, which records beneficial owners under the Money Laundering Act, was not consulted, and general public access to it was annulled by the Court of Justice of the European Union in its judgment of 22 November 2022 in joined cases C-37/20 and C-601/20, access since being conditional on a demonstrated legitimate interest. The absence of a named beneficial owner here reflects the sources used and the access rules, and is not evidence that the company has no beneficial owner.
