Exhibit 21.1 gives the jurisdiction of organisation but no registration numbers and no ownership percentages, so ownership percentage is not disclosed for either entity. On 9 October 2025 Lowe’s completed the acquisition of the Foundation Building Materials business by purchasing all of the shares of ASP Flag Parent Holdings, Inc., a Delaware corporation, from ASP Flag Holdings LP, a Delaware limited partnership, for a purchase price of $8.8 billion in cash subject to customary adjustments; the stock purchase agreement had been entered into on 19 August 2025. Earlier, in fiscal 2022, the company sold its Canadian retail business, an item referred to in the management discussion in the latest annual report. Consolidated net sales for the year ended 30 January 2026 were reported for two geographies only, $86,225 million in the United States and $61 million in Canada, with no Canadian sales in either of the two preceding years and no other country separately reported.
