LUCID GROUP, INC. is a Delaware corporation and a United States electric-vehicle manufacturer and technology company. Its Class A common stock, par value USD 0.0001, is registered under Section 12(b) of the Exchange Act and trades on The Nasdaq Stock Market LLC under the symbol LCID; its SEC Commission File Number is 001-39408 and its IRS Employer Identification Number is 85-0891392. The company was incorporated in Delaware on 30 April 2020 as Annetta Acquisition Corp, was renamed Churchill Capital Corp IV, and took the name Lucid Group, Inc. on 23 July 2021. Its Delaware Division of Corporations file number is 7953804 and its principal executive offices are at 7373 Gateway Boulevard, Newark, California 94560.

Lucid Group, Inc. designs, develops, manufactures and sells two battery-electric vehicles: the Lucid Air sedan, in commercial production since September 2021 with first customer deliveries in late October 2021, and the Lucid Gravity SUV, in commercial production and delivery since December 2024. A Midsize platform is in development and the company also provides access to its powertrain and software technology. It sells direct to consumers through its own retail Studios and online channel rather than franchised dealers. Manufacturing is at Advanced Manufacturing Plant-1 in Casa Grande, Arizona and Advanced Manufacturing Plant-2 in King Abdullah Economic City, Saudi Arabia, whose semi-knocked-down portion was completed in September 2023 and whose completely-built-up portion remains to be constructed. The company reported approximately 9,000 employees globally at 31 December 2025, a regional headquarters in Riyadh and satellite sites in Southfield, Michigan and Phoenix, Arizona, and operates as one reportable segment.

For the year ended 31 December 2025 Lucid Group, Inc. reported consolidated revenue of USD 1,353.8 million (2024: USD 807.8 million; 2023: USD 595.3 million) – USD 1,166.7 million in North America, of which the United States accounted for USD 1,142.4 million, USD 163.6 million in the Middle East, of which Saudi Arabia accounted for USD 161.8 million, and USD 23.5 million other international. Net loss for 2025 was USD 2.7 billion and the accumulated deficit at 31 December 2025 was USD 15.6 billion.

Dated developments: a one-for-ten reverse stock split of the common stock became effective on 29 August 2025 under a certificate of amendment of the same date; a vehicle production agreement with Uber Technologies, Inc. dated 16 July 2025 is disclosed in the 2025 Form 10-K; and USD 975 million of 7.00 per cent convertible senior notes due 2031 settled on 17 November 2025. Aston Martin, Uber, Nuro and NVIDIA are named as technology and commercial partners.

Four values on the information card above do not describe this entity. The registration number 3238720, the registration date of 11 December 2009 and the location UPLAND, 91786 cannot belong to a company incorporated in 2020 whose only register entry corroborated by the Global LEI Foundation is Delaware 7953804 and whose own filings give Newark, California as its sole principal office. The status Inactive is also unsupported: the company filed its 2025 Form 10-K on 24 February 2026, a Form 10-Q on 4 August 2026 and a Form 8-K on 5 October 2026, its Nasdaq registration under Section 12(b) is current, and its LEI record carries entity status ACTIVE with registration status ISSUED. The California Secretary of State could not be read from either of our network routes, so no California register statement is made in either direction.

The number and the date on the card are consistent with each other, which is why they are best read as a genuine record of a different company rather than as fabricated values. California corporation numbers are issued close to chronologically, and a free dated sample of 1,415 California Secretary of State entries drawn from Global LEI Foundation records brackets 3238720 between 3236076, created 19 October 2009, and 3240089, created 5 January 2010 – a window that contains 11 December 2009. That is a probabilistic band from a sample rather than a register fact, and it says nothing about which company holds the number. Note also that since January 2025 the California Secretary of State issues corporations a twelve-digit number beginning with the letter B, so a seven-digit number is a pre-2025 form.

Shareholders

1

Shareholders of LUCID GROUP, INC.

Lucid Group, Inc. is a Nasdaq-listed issuer with a controlling shareholder, so only holdings above the United States reporting thresholds are public; the complete shareholder base is not. Control sits with the Public Investment Fund, the sovereign wealth fund of the Kingdom of Saudi Arabia, held through its wholly owned subsidiary Ayar Third Investment Company. In Amendment No. 9 to its Schedule 13D, filed 30 April 2026 for an event dated 28 April 2026 (accession 0001104659-26-053223), the Public Investment Fund reported beneficial ownership of 280,992,324 shares of Class A common stock, 56.85 per cent of the class – 804,139 shares held directly by the fund and 280,188,185 held by Ayar, reported at 56.69 per cent. That Ayar figure is an as-converted Rule 13d-3 number: it includes 33,258,443, 19,794,423 and 50,850,591 shares issuable on conversion of Series A, Series B and Series C convertible preferred stock, so it is not a holding of issued common stock alone.

The company’s own proxy statement of 23 April 2026 states the fund’s position on a different basis: 229,947,163 shares, 60 per cent of common stock, plus 175,000 shares of convertible preferred stock, 100 per cent of that class, and 60 per cent of combined voting power. Both figures are published here because they are struck on different dates and different bases, and neither supersedes the other.

Bank of America Corporation 17,119,165, then 3,450,865 5.3, then 1.1 Schedule 13G, accession 0000070858-25-000456; amendment no. 1, accession 0000070858-26-000013 14 November 2025; 13 January 2026

Dated movement in the controlling position: Amendment No. 8 (filed 28 November 2025, event 25 November 2025) reported the Public Investment Fund at 227,832,579 shares and 60.77 per cent and Ayar at 227,028,440 and 60.56 per cent, so the reported percentage fell between November 2025 and April 2026 while the share count rose, the share count having been diluted by new issuance. Amendment No. 7 (filed 10 April 2025) reported 2,256,239,302 shares, a pre-split figure: a one-for-ten reverse stock split took effect on 29 August 2025. In the same period Ayar subscribed USD 550 million of Series C convertible preferred stock on 28 April 2026 under a subscription agreement of 14 April 2026, with a twelve-month transfer restriction, and entered a prepaid forward share purchase transaction with Citibank N.A. for 37,477,050 shares at USD 636,735,079.50, delivery no later than 1 November 2031. Ayar’s registration rights sit under an Investor Rights Agreement of 22 February 2021, amended for the seventh time on 28 April 2026.

Two reportable positions have moved through the 5 per cent threshold in the last year and should not be read as current: Bank of America Corporation crossed above 5 per cent in November 2025 and reported 1.1 per cent two months later, and the Schedule 13G filed on 28 July 2026 at exactly 5.00 per cent was amended on 13 August 2026 to 4.95 per cent, the filer stating the decrease was caused by an increase in the issuer’s outstanding shares rather than by a disposal.

Ultimate beneficial ownership

No natural person is identifiable as an ultimate beneficial owner of Lucid Group, Inc. from any filing located. The top of the reported chain is a state body, not an individual: the Schedule 13D describes the Public Investment Fund as the sovereign wealth fund of the Kingdom of Saudi Arabia and as the parent company and ultimate controlling party of Ayar, and states that the Board of Directors of the Public Investment Fund has dispositive power over the shares held by the fund and by Ayar. A sovereign wealth fund is not a natural-person beneficial owner, and nothing in the filings looks through it to one.

Two individuals are named in the same Schedule 13D as reporting persons, Turqi A. Alnowaiser and Yasir Alsalman. They are named only as the co-managers of Ayar with authority to vote its shares; the filing states expressly that neither has individual dispositive power over any securities held by Ayar and that each disclaims beneficial ownership of them, and their own separate holdings are small – 232,427 and 40,145 shares respectively in the April 2026 amendment. They are therefore not owners, and no effective ownership percentage is calculated for either.

No United States beneficial-ownership register answers this question either. Beneficial ownership information filed under the Corporate Transparency Act sits in a secure, non-public, FOIA-exempt FinCEN database that has never been open to public inspection, and under the final rule of 11 August 2026 United States domestic reporting companies are exempt from beneficial-ownership reporting altogether.

Data availability

Major shareholders only. The stored provider table on this page holds exactly one row – its own fields report total_results 1 across total_pages 1, so it is complete as far as the provider is concerned – naming Fidelity Salem Street Trust-Fidelity Mid Cap Index Fund at 453,688 shares and 0.18557420839513866 per cent, verified 2 October 2026. Every reportable holder is missing from it: the controlling 56.85 per cent position, the 11.52 per cent position and both holders that crossed 5 per cent in the last year are all absent. The one row that is present carries a percentage that reconciles against no filed share count: it implies 244,477,939 shares in issue, against the filed counts of 327,684,243 at 18 February 2026 (2025 Form 10-K cover), 330,144,675 at 6 April 2026 (annual meeting record date), 390,256,808 at 29 April 2026 and 394,070,176 at 29 July 2026 (quarterly report covers). Measured against the count nearest its own verification date, the stored percentage is overstated by a factor of 1.612; the quantity, if real, is about 0.115 per cent. Because the position is below 5 per cent it is not disclosable, so the quantity itself can be neither confirmed nor disproved from any primary source, which is a different finding from a withdrawn or a false one. The record carries a single provider row-id batch, so the two-denominator defect seen on other records does not arise here. The provider also types the holder “Company” where it is a registered investment-company trust series.

Two further points of care. First, the percentages in the Schedule 13D are computed under Rule 13d-3 on a base that adds the preferred-conversion shares to the shares outstanding, which is why 280,992,324 is 56.85 per cent of an implied 494 million rather than of the 390,256,808 common shares then outstanding; the proxy’s 60 per cent is struck on a narrower base. Second, capital and votes are published separately by the company for the controlling holder – 60 per cent of common stock and 60 per cent of combined voting power, the convertible preferred voting on an as-converted basis – and 100,000 Series A and 75,000 Series B preferred shares outstanding at the record date were convertible into 53,132,446 common shares.

Controlled checks. The issuer’s filing index was enumerated for its complete set of distinct beneficial-ownership form strings before any filter was applied; it carries seven, both the pre-2025 and post-2025 generations – SC 13D, SC 13D/A, SC 13G, SC 13G/A, SCHEDULE 13D/A, SCHEDULE 13G and SCHEDULE 13G/A – so a search on the older names alone would have missed every filing after November 2024. No Schedule 13D or 13G of any generation has been filed on this issuer by The Vanguard Group, BlackRock or State Street. That absence was tested a second way, by issuer-scoped full-text search: “Ayar Third Investment Company” returns 176 documents on this issuer, “Vanguard” returns 5 and “BlackRock” 5, all of them 2021 merger-era mentions rather than ownership schedules, and a nonsense control string returns 0. The California Secretary of State could not be read from either network route – the bizfile API returned HTTP 429 with Imperva errorCode 15, in a 348-byte body, identically for the subject, for a known-good positive control and for a nonsense string, from the agent machine and from the server – so no statement is made about any California shareholder record in either direction.

Officers

Directors and officers of LUCID GROUP, INC.

Lucid Group, Inc. is a Delaware corporation and an SEC registrant, so its board and its executive officers are published in its proxy statement and current reports rather than in a corporate register. Nine directors were elected at the annual meeting of 4 June 2026, each for a one-year term expiring at the 2027 annual meeting: Turqi Alnowaiser, Douglas Grimm, Sachin Kansal, Lisa M. Lambert, Andrew Liveris, Nichelle Maynard-Elliott, Silvio Napoli, Chabi Nouri and Ori Winitzer. Turqi Alnowaiser is Chairman of the Board, and the offices of Chairman and Chief Executive Officer are held separately. Janet S. Wong, a director until that meeting, did not stand for re-election and Sachin Kansal was elected in her place. The proxy statement of 23 April 2026 identified exactly two executive officers within Rule 3b-7 as at its date – Marc Winterhoff, then Interim Chief Executive Officer, age 57, and Taoufiq Boussaid, Chief Financial Officer, age 55 – and gave all executive officers and directors as a group as eleven persons, which reconciles with nine directors plus those two. Both of those offices have since changed hands: in the company’s own announcement of 28 August 2026 the Chief Executive Officer is Silvio Napoli and the Chief Financial Officer is Alexander De Bock, and Brian K. Tomkiel is General Counsel and Corporate Secretary.

Recent officer changes

  • 1 June 2026 – Silvio Napoli appointed Chief Executive Officer and principal executive officer effective that day, and Marc Winterhoff resumed his previous role of Chief Operating Officer the same day. Mr Napoli had joined on 15 April 2026 as Executive Director and had been appointed to the board and the executive committee on that date. Form 8-K filed 1 June 2026.
  • 22 June 2026 – Marc Winterhoff departed the company with immediate effect, the Chief Operating Officer position having been eliminated. Form 8-K filed 22 June 2026.
  • 1 July 2026 – the board appointed Alexander De Bock, age 49, as incoming Chief Financial Officer, reporting to the Chief Executive Officer, with Taoufiq Boussaid to leave after a transition period following the second-quarter 2026 results; the company stated the departure was not related to any disagreement on its operations, policies or practices or to any issue regarding financial disclosures, accounting or legal matters. A transition agreement of 4 September 2026, disclosed on 11 September 2026, describes Mr Boussaid as the former Chief Financial Officer and engages him as a Senior Advisor to 31 December 2026. Forms 8-K filed 2 July 2026 and 11 September 2026.

Data availability

Partial. The record used here is the company’s own proxy statement, its current reports and its Section 16 filings; the Delaware Division of Corporations entity search is captcha-gated and was not read, so nothing on this page rests on it. The office-holder record has turned over substantially in the period covered: Peter Rawlinson resigned as Chief Executive Officer and Chief Technology Officer and from the board on 21 February 2025 and was appointed Strategic Technical Advisor to the Chairman of the Board through 21 February 2027; Eric Bach, formerly Senior Vice President, Product and Chief Engineer, has left the company; and Gagan Dhingra, most recently Senior Vice President of Finance and Accounting, departed effective 14 August 2026.

Nationality is not disclosed for any director or officer, with one exception: the Form 8-K filed 23 January 2026 records that the then Chief Financial Officer is a French national, in the context of repatriation and tax benefits. Country of residence is not published either, and nothing here is inferred from a name, an address or an employment location – Mr Napoli was initially employed in Switzerland under a Swiss employment agreement before his principal place of employment moved to Newark, California, which is a contractual arrangement and not a statement of residence or nationality. The company publishes no date of birth for any officer; ages are given for three.

The stored officer feed on this page cannot be read as a statement of who holds office. Its own fields report total_results 21 across total_pages 5 while only five rows are stored, so sixteen rows the provider itself says exist are neither stored nor auditable. None of the nine directors appears among the five, because the field carries no concept of a directorship distinct from a job title; neither of the two executive officers the proxy identifies appears; and neither of the two officers in post today appears. All five rows carry work_status ACTIVE with a null resignation date and a null appointment date, so the field gives no tense signal in either direction, and date_of_birth_year and date_of_birth_month are null on all five, so the placeholder birth month recorded on other records in this dataset does not occur here. There is no nationality key in the field at all. address_country reads US on all five rows while address_line_1 is empty on four of them.

Four distinct defects sit in those five rows. Names are withheld, because on most of them the only source asserting the appointment is the feed itself. One row carries the job title President with a service address at 981 W Foothill Boulevard, Upland, California 91786 – the address that also supplies the card’s city and ZIP code. That row belongs with the California register entry discussed in the company description and not with this issuer: an issuer-scoped full-text search of SEC filings returns no document at all for that surname, against same-session positive controls of 56 and 6 documents for two other stored names and 0 for a nonsense string, and a site-wide search for the street address returns 0 against 414 documents for the company’s own Newark address. A second row carries the title General Counsel and Secretary; that office is held by Brian K. Tomkiel, who signs the April 2026 proxy statement and filed a Form 3 on 11 June 2026, while the stored name’s last appearance in the company’s own filings is dated 20 August 2024. That is temporal substitution: the person is real and the office is real, so no date check and no identity check would find it. A third row carries a senior vice-presidency; that name appears in 56 of the company’s filings, most recently on 24 April 2025 with a last Form 4 of 11 April 2024, and appears nowhere among the directors or executive officers of the 2026 proxy statement. The remaining two rows describe investor-relations and communications roles, which are neither board offices nor executive offices within Rule 3b-7; neither name returns any document on this issuer, which for staff outside Section 16 is expected and is evidence of nothing in either direction. One of those two rows also mangles the name, folding a middle name into the surname field, and the first row is stored entirely in capitals.

Group Structure

Group structure of LUCID GROUP, INC.

Lucid Group, Inc. is not an independent company and it is not a subsidiary in the ordinary sense either. It is a Nasdaq-listed Delaware corporation with a controlling holder above it and a short list of its own subsidiaries below it. Above it, a Schedule 13D amendment filed on 30 April 2026 for an event of 28 April 2026 reports the Public Investment Fund, the sovereign wealth fund of the Kingdom of Saudi Arabia, as beneficial owner of 56.85 per cent of the Class A common stock, held through its wholly owned subsidiary Ayar Third Investment Company, which the same filing reports at 56.69 per cent; the filing states that the Public Investment Fund is the parent company and ultimate controlling party of Ayar. Below it, the company files a list of significant subsidiaries each year. At 31 December 2025 that list ran to four entities in two jurisdictions – three Delaware corporations and one Saudi Arabian limited liability company. The list carries jurisdictions but no ownership percentages and no hierarchy, so the internal shape of the group below the parent is only partly established.

Recent structural changes

  • 23 July 2021 – the company’s predecessor, Churchill Capital Corp IV, completed the transactions contemplated by an agreement and plan of merger of 22 February 2021 among itself, Air Merger Sub, Inc. and Atieva, Inc., and changed its name to Lucid Group, Inc. Atieva, Inc. appears in the list of significant subsidiaries from 31 December 2021 onward.
  • 31 December 2022 – Lucid Group USA, Inc first appears in the annual list of significant subsidiaries, and has been listed in every year since.
  • 31 December 2025 – Lucid LLC, organised in the Kingdom of Saudi Arabia, first appears in the annual list of significant subsidiaries. No entity has been dropped from that list in any of the five years filed.

Data availability

Partial. The authority used here is the company’s own filed list of significant subsidiaries, its Schedule 13D amendments, the register of persons with significant control of its English subsidiary, the Global LEI Foundation and the Norwegian Enhetsregisteret. The subsidiary list is headed List of Significant Subsidiaries, and SEC Item 601(b)(21) permits insignificant subsidiaries to be omitted, so an absence from it is not evidence that an entity does not exist or has left the group. Delaware’s own entity search is captcha-gated and was not read, so no Delaware register statement is made in either direction; the Delaware file numbers used here come from two independent free sources that agree, and are cited as such.

The stored group tree on this page is 990 nodes, of which the subject’s own subtree is 13. The rest is not this company’s group. Its root is a node named GOVERNMENT OF SAUDI ARABIA, carrying the provider-internal string 0756422155 in the registration-number field: a sovereign state, which is not a company and cannot be a parent undertaking. Beneath it the tree inserts COUNCIL OF MINISTERS and MINISTRY OF FINANCE above the Public Investment Fund. No filing located supports any of those three as a corporate parent of the fund; the Schedule 13D describes the fund only as the sovereign wealth fund of the Kingdom of Saudi Arabia and as the ultimate controlling party of Ayar, and no explanation of how those three levels reached the record is offered here. 763 of the 990 nodes sit below the Council of Ministers node and 705 carry the country code SA.

The 114 entities shown as siblings of Ayar beneath the Public Investment Fund are that fund’s other Saudi holdings – telecommunications, electricity, mining, railways, real-estate development, aviation, gaming and football clubs among them. No filing read connects any of them to Lucid Group, Inc. That is an investor’s portfolio rendered as the subject’s corporate group, and on a counterparty page it is a false statement about corporate structure rather than a cosmetic one.

Within the subject’s own 13 nodes the chain Public Investment Fund to Ayar Third Investment Company to Lucid Group, Inc. is correct and is corroborated by the Schedule 13D, which is unusual for this dataset and worth recording. Its remaining faults are these. First, all four United States nodes carry the country-and-state label US CA, while the filed subsidiary list states Delaware for Atieva, Inc., Lucid USA, Inc. and Lucid Group USA, Inc, and the Global LEI Foundation records jurisdiction US-DE for both Lucid Group, Inc. and ATIEVA, INC.; the numbers themselves are right where they are testable, so the defect is the state label and not the number. Second, one node is a branch and not a company: Lucid USA, Inc. Taiwan Branch, which says so in its own name, is shown as a subsidiary of Lucid USA, Inc. Third, a German node carries the string DE 80333B270665, which matches no German commercial-register format. Fourth, Lucid LLC of Saudi Arabia, in the filed list at 31 December 2025, is absent from the tree. Fifth, 454 of the 990 nodes carry a hash-prefixed provider-internal string where a registration number belongs and 549 carry a synthetic identifier beginning 99999, so most of the tree cannot be resolved against any register. Sixth, the tree carries no ownership percentages and no relationship types at all, so nothing in it distinguishes Ayar’s reported 56.69 per cent from a wholly owned subsidiary.

Two cautions on the relationships that are evidenced. A corporate entry on a United Kingdom register of persons with significant control names an entity in the chain, usually the first registrable one, and never establishes on its own that a holding is direct: here the provider tree places Lucid Europe B.V. and Atieva, Inc. between Lucid Group, Inc. and LUCID MOTORS LIMITED, and nothing read settles which reading is right, so the English company is published as a group company rather than as a direct subsidiary. The same register also carries a statement that there is no registrable person or relevant legal entity which was notified and withdrawn on the same day, 23 September 2021, and two earlier controllers that ceased on that date, one of them a corporate nominee.

Controlled checks and real absences. The Global LEI Foundation holds no record for 3461406, 4477861, 82509654 or 927940183; that filter was proved live in the same session, returning Lucid Group, Inc. for 7953804 and ATIEVA, INC. for 4897734 and nothing for a nonsense value, so those are genuine absences of an LEI rather than contradictions, and no relationship claim rests on them. The Foundation’s Level 2 data returns, for both the direct and the ultimate accounting-consolidation parent, a reporting exception with the reason NO_KNOWN_PERSON – an HTTP 200 answer carrying a reason, as against an HTTP 404 for a nonsense path – so no accounting-consolidation parent is recorded there. That is an accounting statement and not an ownership one, and it does not contradict the Schedule 13D. The Norwegian Enhetsregisteret positively confirms LUCID NORWAY AS, organisation number 927940183, as a live aksjeselskap registered on 9 November 2021 with no deletion date, so that node is a company rather than a branch registration; its relationship to the subject is not established by any filing read and it is not presented here as a verified subsidiary. The same applies to the Danish, Dutch, German and Canadian nodes in the tree, and the Canadian node stores a provider-internal string rather than a corporation number, so it cannot be looked up at all.
