NORDSTROM, INC.
NORDSTROM, INC. is a fashion specialty retailer registered in the State of Washington, United States, under Washington Secretary of State UBI 178 071 138, with an Active registry status in the provider record synchronised on 29 September 2026. GLEIF holds the same entity under LEI 549300S3IZB5P35KNV16 with jurisdiction US-WA, register ID 178 071 138 at registration authority RA000641 and the legal form “Profit Corporation” (ELF code NHYA) — Washington is therefore the company’s state of domicile, not a foreign-qualification registration. The 10-K cover page for the fiscal year ended 1 February 2025 gives the same state of incorporation, IRS Employer Identification Number 91-0515058 and principal executive offices at 1617 Sixth Avenue, Seattle, Washington 98101. The address GLEIF carries as the legal address, c/o Corporation Service Company, 300 Deschutes Way SW, Tumwater, Washington 98501, is a registered-agent address and not an operating site.
The business was founded in 1901 as a retail shoe business in Seattle. Nordstrom’s own registration statement on Form S-3ASR filed 30 March 2011 states that the business “later incorporated in the state of Washington in 1946”, and GLEIF records an entity creation date of 28 September 1946 for the Washington registration. The 1901 date is the founding of the business; 1946 is the incorporation of the corporate vehicle that still exists today.
NORDSTROM, INC. operates full-line Nordstrom department stores, Nordstrom Rack off-price stores, Nordstrom Local service hubs and Last Chance clearance stores, together with the Nordstrom.com and NordstromRack.com e-commerce sites. Its merchandise ranges across apparel, shoes, beauty, accessories and home goods, sold to retail consumers; the company has also historically operated a credit business alongside retail. As at 1 February 2025 the 10-K reported 92 Nordstrom stores, 277 Nordstrom Rack stores, 6 Nordstrom Local service hubs and 2 Last Chance clearance stores, and approximately 55,000 employees. Operations are concentrated in the United States; the company discontinued support for its Canadian retail business in 2023 and those stores and the Canadian e-commerce platform were wound down during that year.
The company’s financial year does not end in December. It ends on the Saturday nearest 31 January. For the 52 weeks ended 1 February 2025 (fiscal 2024), consolidated total revenues were USD 15,016 million and consolidated net earnings were USD 294 million, as reported in XBRL data filed with the 10-K. The prior year was a 53-week period ended 3 February 2024, with consolidated total revenues of USD 14,693 million; fiscal 2022, the 52 weeks ended 28 January 2023, showed USD 15,530 million.
Nordstrom common stock traded on the New York Stock Exchange under the symbol JWN. Trading was suspended before the opening on 21 May 2025 and the stock was delisted from the NYSE that day; the exchange filed Notifications of Removal from Listing and/or Registration on Form 25-NSE on 21 May 2025, and the company filed a Form 15-12G on 2 June 2025, suspending its reporting obligations under the Securities Exchange Act. NORDSTROM, INC. is no longer a listed issuer and has filed nothing with the SEC since 2 June 2025. Its senior notes and debentures, approximately USD 2.7 billion in principal amount, were expected to remain outstanding. The sites named in the company’s filings are Nordstrom.com and NordstromRack.com, with press.nordstrom.com as the corporate newsroom; the URL held against this record in the provider data, http://nordstrom.com/store-details/united-states/va/mclean/nordstrom-tysons-corner-center, is the page for one store at Tysons Corner Center in McLean, Virginia and is not the corporate website. That is a data defect, not a change of domain.

Shareholders
Shareholders of NORDSTROM, INC.
The shareholder field in the provider record for NORDSTROM, INC. contains no rows at all. It holds only a generic note about United States disclosure practice and the provider’s own company identifier. That is missing data. It is not evidence that the company has no shareholders, and the note’s suggestion that an empty result implies a private entity exempt from disclosure is not a finding about this company.
The ownership regime changed on 20 May 2025. On that date, under the Agreement and Plan of Merger dated 22 December 2024, Navy Acquisition Co. Inc., a Washington corporation, merged with and into NORDSTROM, INC., with NORDSTROM, INC. surviving as a wholly owned subsidiary of Nordstrom Holdings, Inc., a Delaware corporation formerly named Norse Holdings, Inc. Articles of Merger were filed with the Secretary of State of the State of Washington the same day. Every share of common stock outstanding immediately before the effective time, other than shares owned by the company or its wholly owned subsidiaries and the rollover shares, was cancelled and converted into the right to receive USD 24.25 in cash per share. The sole direct shareholder of NORDSTROM, INC. since 20 May 2025 is therefore Nordstrom Holdings, Inc., holding 100% of the common stock.
Above that level, the transaction terms announced on 23 December 2024 stated that following the closing Nordstrom would be owned 50.1% by the Nordstrom Family and 49.9% by El Puerto de Liverpool, S.A.B. de C.V. (Bolsa Mexicana de Valores: LIVEPOL). Those percentages describe the announced structure of the parent, not a filed post-closing shareholder register. The Form 8-K of 20 May 2025 records that the Family Group entered into Amendment No. 1 to the Rollover, Voting and Support Agreement on the closing date, which increased the number of shares of common stock the Family Group contributed to the parent, and no post-closing filing states the final split. The 8-K does disclose the funding: approximately USD 863 million of cash equity contributed by Liverpool, approximately USD 367 million from a shareholder loan extended by Liverpool to the parent, approximately USD 450 million drawn under a new USD 1,200 million asset-based revolving facility and approximately USD 1.01 billion of company cash, with an aggregate purchase price for the acquired equity of approximately USD 2.4 billion.
Before 20 May 2025 the company was an SEC-reporting NYSE issuer, so only holders above the 5% Schedule 13D and Schedule 13G thresholds and the proxy’s 5% table were published; the complete shareholder base was never public. Those reporting obligations ended when the common stock was delisted and deregistered under Section 12(b) and the company filed Form 15-12G on 2 June 2025. No Schedule 13D or Schedule 13G relating to NORDSTROM, INC. common stock has been filed since, and any pre-2025 institutional 5% position in JWN was extinguished when the shares were cancelled at the effective time. A stale proxy table is not the current ownership picture for this company.
Ultimate beneficial ownership
The filings name the Family Group as certain members of the Nordstrom family and related trusts and family-controlled investment vehicles, and identify Erik B. Nordstrom, Peter E. Nordstrom and James F. Nordstrom, Jr. as the family members who, with El Puerto de Liverpool, S.A.B. de C.V., formed the parent and the acquisition vehicle. On the announced 50.1% figure and the parent’s 100% holding, the Family Group’s calculated effective interest in NORDSTROM, INC. is approximately 50.1% (50.1% x 100%), and El Puerto de Liverpool, S.A.B. de C.V. holds a calculated effective interest of approximately 49.9% (49.9% x 100%). These are calculated effective ownership percentages derived from announced transaction terms of 23 December 2024, not from a filed register.
No individual natural person’s percentage interest in Nordstrom Holdings, Inc. is published in any source reviewed. The Family Group’s 50.1% is a collective figure across several people, trusts and investment vehicles, so no single natural person can be shown to hold an effective interest in NORDSTROM, INC. above any conventional threshold, and none is identified here as a verified ultimate beneficial owner. El Puerto de Liverpool, S.A.B. de C.V. is itself a listed Mexican company; its own controllers were not researched and are not attributed to this entity. No nationality is disclosed for any of the named individuals in the sources reviewed, and none is inferred.
Data availability
Partial. Washington State does not publish a shareholder register for a profit corporation, and since the company’s Exchange Act registration was terminated there is no longer a proxy statement or Schedule 13D/13G stream disclosing holders. The 100% direct holding by Nordstrom Holdings, Inc. is established by the Form 8-K of 20 May 2025; the split between the Nordstrom Family and El Puerto de Liverpool at parent level rests on announced transaction terms that a same-day amendment to the rollover agreement may have altered, and no filed source confirms the final figures.

Officers
5
Directors and officers of NORDSTROM, INC.
The provider record for NORDSTROM, INC. is truncated: it declares 13 officer records across 3 pages but delivers only 5. All five carry the job title “Governingperson”, the status ACTIVE, an address country of US and nothing else — no appointment date, no resignation date, no address, no nationality. “Governing person” is the Washington annual-report term for the people a corporation lists with the Secretary of State; it is not the same as a directorship reported to the SEC, and it does not distinguish directors from officers.
The five people delivered are James Donald, Mark Tritton, Glenda McNeal, Eric Sprunk and Atticus Tysen. Each of them is named in the Form 8-K of 20 May 2025 as a member of the board of directors of NORDSTROM, INC. who “automatically ceased to be a member of the board of directors of the Company” at the effective time of the merger. The rows therefore belong to this company — they are not another company’s people — but they are a pre-merger board snapshot, and every ACTIVE flag on them is wrong. The vintage can be bounded: Mark J. Tritton’s appointment to the Nordstrom board was announced on 3 April 2020, so the snapshot is no earlier than that date, and it is no later than 20 May 2025. The eight rows the provider withholds could not be read, so it is not known whether they add former officers, executive officers or duplicates.
The eleven directors who left the board at the effective time on 20 May 2025 were James L. Donald, Kirsten A. Green, Glenda G. McNeal, Erik B. Nordstrom, Peter E. Nordstrom, Amie Thuener O’Toole, Guy B. Persaud, Eric D. Sprunk, Bradley D. Tilden, Mark J. Tritton and Atticus N. Tysen. One name-matching caution for screening: the Form 8-K spells the second of these “Kristen A. Green”, while the company’s own press release of 23 December 2024 names the same special-committee member “Kirsten Green”. The primary sources disagree on the spelling.
Since 20 May 2025 the board of NORDSTROM, INC. has had one member. Under the merger agreement, Erik B. Nordstrom automatically became the sole director of the company at the effective time. Immediately following the effective time, Erik B. Nordstrom and Peter E. Nordstrom each entered into agreements with the company under which they assumed the roles of Co-Chief Executive Officer. No nationality or country of residence is disclosed for any of these people in the sources reviewed, and none is inferred from a name or an address.

Data availability
Historical for the stored rows and current-only for the SEC-derived position. Washington State publishes governing persons for a profit corporation but does not publish nationality, date of birth or residential address, so nationality for every person named here is Not disclosed. The Washington Secretary of State’s Corporations and Charities Filing System could not be queried directly during this research, so the register’s own present governing-person list was not re-read and the eight withheld provider rows could not be reconciled against it. Because the company’s Exchange Act reporting obligations were suspended on 2 June 2025, no proxy statement or annual report officer list has been published for any period after the fiscal year ended 1 February 2025, and the Form 8-K of 20 May 2025 is the latest authoritative statement of who holds office.

Group Structure
Group structure of NORDSTROM, INC.
NORDSTROM, INC. is not independent. Since the merger became effective on 20 May 2025 it has been a wholly owned subsidiary of Nordstrom Holdings, Inc., a Delaware corporation formerly named Norse Holdings, Inc., which is both its immediate and its highest identified corporate parent. Nordstrom Holdings, Inc. was formed by members of the Nordstrom family and by El Puerto de Liverpool, S.A.B. de C.V. for the purpose of the transaction. The acquisition vehicle, Navy Acquisition Co. Inc., a Washington corporation and a direct wholly owned subsidiary of the parent, merged into NORDSTROM, INC. and ceased to exist as a separate entity on that date.
Only a small number of subsidiaries are named in filed sources, because a US registrant lists significant subsidiaries only. Exhibit 21.1 to the 10-K for the fiscal year ended 1 February 2025 names exactly one: Nordstrom Card Services, Inc., a Delaware corporation. The Form 8-K of 20 May 2025 independently identifies two subsidiary guarantors of the new USD 1,200 million asset-based revolving facility and of the senior notes and debentures — Nordstrom Card Services, Inc. and NIHC, Inc. Those two are the only currently verified subsidiaries. Exhibit 21.1 to the 10-K for the fiscal year ended 1 February 2020 named a different and now-superseded set: Nordstrom International Limited (Washington), Nordstrom Canada Holdings, LLC (Delaware), Trunk Club, Inc. (Delaware) and Nordstrom Canada Leasing, LP (Alberta). Their absence from the current exhibit means they are no longer significant subsidiaries; it does not by itself prove dissolution.
The group’s verified jurisdictions are Delaware and Washington, with Alberta appearing historically. The information date for the parent relationship and the two guarantors is 20 May 2025; for the exhibit lists, 1 February 2025 and 1 February 2020.

Recent structural changes
20 May 2025 — merger completed. Navy Acquisition Co. Inc. merged with and into NORDSTROM, INC., which survived as a wholly owned subsidiary of Nordstrom Holdings, Inc.; Articles of Merger were filed with the Secretary of State of the State of Washington the same day.
2 March 2023 — Nordstrom Canada Retail, Inc. and certain other direct or indirect subsidiaries filed for protection under the Companies’ Creditors Arrangement Act with the Ontario Superior Court of Justice (Commercial List) in Toronto, entered an orderly liquidation and were deconsolidated from Nordstrom’s financial statements from the filing date.
1 March 2023 — Nordstrom Canada Retail, Inc. was removed as a loan party under the then Revolving Credit Agreement, and the amendment excluded all Nordstrom Canada entities as subsidiaries or affiliates for the purposes of that agreement.
Data availability
Partial, and the supplied corporate tree should not be relied on. The parent side is well evidenced by SEC filings; the subsidiary side is not, because a US registrant discloses only significant subsidiaries and this company stopped filing on 2 June 2025. State corporate registers in Washington, Delaware and Florida could not be queried directly during this research, so most of the registration numbers in the supplied tree could neither be confirmed nor cleared.
The supplied tree holds 17 nodes and contains identifiable defects. Its parent node, Nordstrom Holdings, Inc., is the correct name for the Delaware parent, but the identifier “US DE 10021123” was not confirmed against the Delaware register. Seven of the 17 nodes, about 41%, carry no register identifier at all but a hash-prefixed pseudo-identifier: Nordstrom Card Services, Inc., Nordstrom Canada Holdings, LLC, Nordstrom Federal Savings Bank, Treasure & Bond LLC, Trunk Club Inc, Nordstrom Credit Card Receivables II LLC and Nihc, Inc. Two entities appear twice under slightly different names: Nordstrom Card Services, Inc. is listed once with a pseudo-identifier and once as “US CO 6432468”, and Trunk Club appears both as “The Trunk Club Inc” with an Illinois number and as “Trunk Club Inc” with a pseudo-identifier. States contradict the filed exhibits: Exhibit 21.1 states that Nordstrom Card Services, Inc. is a Delaware corporation, that Nordstrom Canada Holdings, LLC is Delaware and that Trunk Club, Inc. is Delaware, yet Delaware appears against none of the 15 child nodes, which instead give Colorado, Illinois or nothing. One identifier is malformed for its stated register: “Nordstrom.com, LLC — US WA 3115540” has seven digits, whereas a Washington UBI has nine, as both the subject company’s 178071138 and the tree’s own Nordstrom International Limited value 601994598 do.
The tree also presents entities that are defunct, disposed of or no longer part of the group as if they were live, with no status field and no dates. The FDIC record for certificate 33497 shows that the institution previously named Nordstrom National Credit Bank and then Nordstrom fsb now operates as Charles Schwab Premier Bank, SSB of Westlake, Texas, with an effective date of 18 November 2023; there is no Nordstrom-owned federal savings bank, and the name “Nordstrom Federal Savings Bank” does not match the FDIC name in any period. The Canadian operating business behind Nordstrom Canada Holdings, LLC was liquidated from March 2023. “Jeffrey Just Inc” relates to the Jeffrey boutique business, which Nordstrom’s quarterly results release of 24 November 2020 shows was part of the Full-Price business only “prior to the second quarter of 2020”. Every node is shown at a single flat level directly beneath NORDSTROM, INC., with no intermediate holding companies, no relationship types, no ownership percentages and no dates, and nodes named for merchandise brands such as Treasure & Bond sit beside genuine corporate subsidiaries without any identifier that would let them be told apart. On the missing side, the tree stops at Nordstrom Holdings, Inc. and shows neither the Nordstrom Family nor El Puerto de Liverpool, S.A.B. de C.V. above it; and it omits the Canadian entities entirely and the acquisition vehicle Navy Acquisition Co. Inc.
