PARTY CITY CORPORATION
PARTY CITY CORPORATION is a Delaware corporation, federal employer identification number 22-3033692. It ran the Party City chain of party-supply stores in the United States. The record shown on this page is not its charter. It is the company’s New York Department of State authority to do business as a foreign corporation, DOS ID 1891659, filed on 3 February 1995. The company’s own Form 10-K for fiscal 2005 says it was incorporated in Delaware in 1996. The New York filing history shows the authority’s jurisdiction changed from New Jersey to Delaware on 22 March 1996. The exact Delaware incorporation date and file number could not be retrieved.
What does Party City Corporation do? Its last annual report, for the fiscal year ended 2 July 2005, describes a chain of specialty retail party-goods stores, plus franchises sold across the United States and Puerto Rico. At that date the network had 502 stores, 247 company-owned and 255 franchised. The company employed about 1,600 full-time and 2,500 part-time staff. Its company-level total revenues for fiscal 2005 were $503.9 million, with net income of $4.3 million. The shares traded on the Nasdaq National Market as PCTY from the initial public offering on 27 March 1996. The listing ended on 23 December 2005, when a cash merger was completed. The company has filed no periodic reports of its own with the SEC since then.
It was one of the companies that filed Chapter 11 petitions in the US Bankruptcy Court for the Southern District of Texas on 17 January 2023. That case ended when the reorganisation plan took effect on 12 October 2023. On 21 December 2024 it filed again to wind down the Party City business, as debtor in Case No. 24-90619, jointly administered under Case No. 24-90621. Going-out-of-business sales began at roughly 700 Party City stores, and the debtors later reported that all of their stores had closed. The court confirmed a joint Chapter 11 plan of liquidation on 27 August 2025. The plan took effect on 22 September 2025.
The registers have not caught up. New York still lists Party City Corporation as an active foreign business corporation, and its latest biennial statement there was filed on 20 February 2025. Connecticut shows it as active with an annual report past due. The Texas Comptroller records its right to transact business in Texas as forfeited. The Party City brand and partycity.com are no longer run by this company: the website’s terms of use say it is owned and operated by Ad Populum, LLC.

Shareholders
Shareholders of PARTY CITY CORPORATION
Who owns Party City Corporation? It has no public shareholders. The debtors’ Amended Disclosure Statement of 26 June 2025 names Party City Corporation, a Delaware corporation, as one of the wholly-owned subsidiaries of Party City Holdings Inc., also a Delaware corporation. Party City Holdings Inc. was formerly AAH Holdings Corporation. As of the petition date, 21 December 2024, that makes Party City Holdings Inc. the owner of 100% of the equity. The filing does not say whether the holding was direct or held through another company, and it gives no share classes or share count.
The Chapter 11 plan filed on 26 June 2025 cancels “Intercompany Interests”, meaning one debtor’s equity in another, as of the plan’s Effective Date. That date was 22 September 2025. The same plan deems any dissolution of the debtors authorised without further shareholder action. The plan was confirmed on 27 August 2025, and the confirmed text was not reviewed. Since 22 September 2025 the company’s affairs have been administered under the plan by the liquidating trustee.
Earlier ownership, from the company’s own filings: until 23 December 2005 its common stock was listed on Nasdaq, with 18,051,357 shares outstanding at 30 August 2005. On 23 December 2005 a cash merger at $17.50 per share made the company 100% owned by Amscan Holdings, Inc. The company then deregistered its stock with the SEC, and the Form 15 it filed that day reported one holder of record.
Data availability
Partial. The immediate and ultimate holders are known from the bankruptcy filings, but not whether the holding is direct. No ultimate beneficial owner can be identified. The top company, Party City Holdco Inc., cancelled its listed shares on 12 October 2023 and issued new shares mainly to holders of its secured notes, whose names were not published. The 2025 plan then cancels the interests in Party City Holdco Inc. as well. US state registers do not publish shareholders.

Officers
Directors and officers of PARTY CITY CORPORATION
Who are the directors of Party City Corporation? No official source gives a current, dated board. Three state registers carry officer entries for the company, and none of them records appointment dates. The Texas Comptroller’s 2023 public information report lists Bradley Weston as President, Ian Heller as Secretary and Todd Vogensen as Treasurer. Pennsylvania’s register lists Barry Litwin, Ian Heller and Dan Lamadrid as governors (directors), with Ian Heller as Secretary and Dan Lamadrid as Treasurer, and a President entry with no name. Connecticut lists Ian Heller and Dan Lamadrid as officer and director, and Barry Litwin and John Capela as officers, without titles. New York’s chief-executive field still names Bradley M. Weston.
These entries predate the liquidation. Under the Chapter 11 plan filed on 26 June 2025, each debtor’s board was terminated on the Effective Date, 22 September 2025, and its directors were deemed to have resigned. From that date the Liquidating Trustee serves as sole officer or responsible person of the wind-down debtors. Court filings of 22 September 2026 identify Elizabeth LaPuma as Liquidating Trustee of Party City Holdco Inc. and its debtor affiliates. On 26 June 2025 Ian Heller signed the plan and disclosure statement as Chief Wind Down Officer of Party City Holdco Inc., for itself and on behalf of the other debtors.

Group Structure
Group structure of PARTY CITY CORPORATION
Party City Corporation belongs to the Party City Holdco Inc. group, a Delaware group that was listed on the NYSE as PRTY until February 2023. The debtors’ Amended Disclosure Statement of 26 June 2025 names it as one of the wholly-owned subsidiaries of Party City Holdings Inc. Party City Holdings Inc. is in turn a wholly-owned subsidiary of PC Intermediate Holdings, Inc., and Party City Holdco Inc. is the ultimate parent. That filing does not say whether the holding is direct, and the step between Party City Holdco Inc. and PC Intermediate Holdings, Inc. is not published there. Party City Holdco Inc.’s Exhibit 21 for 2022 lists Party City Corporation (Delaware) among its subsidiaries. That list also includes intermediate holding companies such as PC Nextco Holdings, LLC.
Three sister companies wholly owned by Party City Holdings Inc. were co-debtors with it: Amscan Inc. (New York), Am-Source, LLC (Rhode Island) and Trisar, Inc. (California). No subsidiaries of Party City Corporation itself are disclosed in the filings reviewed. On 22 September 2025 the liquidation plan took effect, and under the plan as filed intercompany equity interests were cancelled. The structure below therefore describes the group as it stood at the 21 December 2024 petition date.
