During the 2025 financial year 562 new members paid in CHF 112,400 and 379 departing members were repaid CHF 75,800. The cooperative capital was fully paid in.

The membership and voting rules, from the statutes, edition 2024:

  • Article 19 paragraph 1 — each member has one vote, irrespective of the number of Anteilscheine subscribed. Voting power is therefore not a function of capital contributed.
  • Article 11 paragraph 1(a) — a member must subscribe and pay at least one Anteilschein of not less than CHF 200 and not more than CHF 500; the general meeting fixes the nominal value uniformly for all members.
  • Article 11 paragraph 2 — a member may subscribe several Anteilscheine, but the Verwaltungsrat fixes a maximum which may not exceed 10 per cent of the existing cooperative capital and may not exceed CHF 20,000 per member.
  • Article 11 paragraph 3 — the Anteilschein is non-transferable and cannot be pledged, although it may be set off against claims of the bank.
  • Article 8 paragraph 2 — membership is personal and non-transferable. Article 8 paragraph 1 admits natural persons, registered partnerships and legal persons.
  • Article 14 — a departing member or their heirs may claim repayment of Anteilscheine at inner value, capped at nominal value; the Verwaltungsrat may refuse repayment at any time without giving reasons.
  • Article 17 paragraph 1 — the Generalversammlung is the supreme organ of the bank. Under Article 26 paragraph 5 its powers may be exercised by written or electronic ballot, an Urabstimmung, with a two-thirds majority.

Two Urabstimmung results have been published by the bank. In the ballot of 4 April 2024, 1,733 valid votes were cast and the 2023 annual accounts were approved with 99.60 per cent in favour, interest on Anteilscheine at 6 per cent with 98.73 per cent, discharge of the governing bodies with 97.04 per cent, Ernst & Young AG as auditor with 97.45 per cent, and a revision of the statutes with 94.95 per cent against a two-thirds requirement. In the Urabstimmung 2026, 1,766 votes were cast, the annual accounts were approved with 99.4 per cent (1,755 for, 11 against), interest on Anteilscheine with 98.6 per cent (1,740 for, 24 against) and discharge of the governing bodies with 96.1 per cent (1,684 for, 69 against).

Ultimate beneficial ownership

No natural person is an ultimate beneficial owner of Raiffeisenbank Schwarzwasser Genossenschaft, and this is a finding derived from the constitutional documents rather than an absence of data.

Two independent caps make a controlling interest impossible on the evidence of the statutes.
