Shareholders of Stichting Icare

Stichting Icare has no shareholders, and under Dutch law none can exist. The entity is a stichting (foundation): Article 2:285(1) of Boek 2 of the Burgerlijk Wetboek defines a stichting as a legal person that has no members, and Article 2:285(3) bars it from making distributions to its founders or to those who form part of its organs, or to others, unless such distributions have an idealistic or social purpose. A stichting issues no shares, so there is no aandeelhoudersregister (shareholder register) and no shareholding to disclose. This is a different statement from ownership data being unavailable: no ownership interest exists in the first place.

The legal form is evidenced directly rather than inferred from the name. The CIBG’s published accountability dataset for financial year 2025 records, for KvK number 41020244, the field “Rechtsvorm of organisatorisch verband van de zorgaanbieder” as “Stichting”, and the further typing of the organisation as “een grote rechtspersoon” (a large legal entity). The foundation’s own 2025 accounts are headed “Stichting Icare, gevestigd te Meppel” and state “Statutair gevestigd te Meppel. Inschrijfnummer Kamer van Koophandel: 41020244”.

One balance-sheet line can be mistaken for share capital and is not. The 2025 equity section shows gestort en opgevraagd kapitaal of EUR 9,467 (2024: EUR 9,467), which the notes define as the capital contributed on formation of the foundation; it confers no ownership and no entitlement to distributions. The remainder of equity at 31 December 2025 consists of bestemmingsfondsen of EUR 57,761,580 and overige reserves of EUR 2,238,835, the latter being the part of equity that the competent organs may apply freely within the foundation’s statutory objects.

Ultimate beneficial ownership

No ultimate beneficial owner exists to be identified, because the form has no owners. What Stichting Icare has instead is a statutory board mandate, a statutory purpose and an external supervisory body: its statutair bestuur is exercised by another foundation, Stichting Espria, its equity is restricted to its statutory objects, and supervision sits with Stichting Espria’s raad van commissarissen. Those arrangements are set out in the Officers and Group sections of this profile.

Two points should be kept apart from that conclusion. First, the Netherlands does maintain a UBO register for legal entities, kept by the KvK, but general public access to it has been closed since the Court of Justice of the European Union’s judgment of 22 November 2022 in Joined Cases C-37/20 and C-601/20; access is now limited to competent authorities and to parties able to show a legitimate interest. Availability of Dutch UBO data is therefore Restricted rather than not public. Second, where a stichting does make a UBO filing, the persons recorded are typically its hoger leidinggevend personeel (senior managing officials), entered precisely because no owner can be identified, rather than owners. No such filing was obtained for Stichting Icare, and no named person is presented here as a beneficial owner.

Data availability

Shareholders: Full. The ownership position is completely established from primary sources and nothing is withheld, because the legal form admits of no shareholders at all; there is no shareholder dataset that is missing, partial or restricted.

Ultimate beneficial ownership: Restricted. This label describes the Dutch UBO register generally, which has been closed to general public access since the judgment of 22 November 2022. For this entity the question is in any case answered by the legal form rather than by register access.

Directors and officers of Stichting Icare

The statutory board (statutair bestuur) of Stichting Icare is not held by natural persons. It is held by a legal entity: Stichting Espria, a foundation registered under KvK number 08173909 with its address at Altingerweg 1, 9411 PA Beilen. Stichting Icare’s own 2025 governance statement records that “het bestuur van deze rechtspersonen wordt gevoerd door Stichting Espria”; its WNT note records that “Stichting Espria is bestuurder van alle onderliggende WNT-entiteiten”; its statutory ANBI publication records that “het (statutair) bestuur van Stichting Icare wordt ingevuld door Stichting Espria”; and the 2025 financial statements are signed “Origineel getekend door Raad van bestuur Stichting Espria”. Stichting Espria itself is governed by a statutory raad van bestuur (management board).

The natural persons who exercised that board mandate during financial year 2025, with the periods stated in the foundation’s own WNT-verantwoording:

• F.H. Stegehuis — voorzitter raad van bestuur (chair of the management board) of Stichting Espria, 1 January to 31 December 2025.
• R. Leber — lid raad van bestuur (member of the management board) of Stichting Espria, from 1 February 2025 to 31 December 2025.
• G. van Buiten — lid raad van bestuur of Stichting Espria, 1 January to 31 December 2025.
• R. Collé — lid raad van bestuur zonder dienstbetrekking (member of the management board, not under a contract of employment), 1 January to 7 February 2025.

Tense matters here. The 2025 financial statements, signed on 26 May 2026, were signed for the raad van bestuur of Stichting Espria by R. Leber and G. van Buiten only. F.H. Stegehuis served the whole of financial year 2025 but does not appear in that signature block, so he is not described here as currently in office; the two signatories are the only board members evidenced as in office on 26 May 2026.

Day-to-day management of Stichting Icare is separate from the statutory board and is carried out by its own directie. The foundation’s ANBI publication records that “de dagelijkse leiding over Icare & Zorggroep Meander is in handen van een driehoofdige directie” (a three-member management team), and the WNT-verantwoording for financial year 2025 names three holders of the role directeur (director), each for 1 January to 31 December 2025:

• D.A. van Achthoven — directeur.
• G. Wallinga — directeur.
• A. Bootsma — directeur.

Supervision is exercised at group level, and the Dutch term used is raad van commissarissen (supervisory board) rather than raad van toezicht. Stichting Icare itself reported to the CIBG for financial year 2025 that “er is geen interne toezichthouder” — it has no internal supervisory body of its own. Oversight of the raad van bestuur and of the general course of affairs within Espria and its care organisations sits with the raad van commissarissen of Stichting Espria, which also fulfils the employer role towards the management board. Its members, as evidenced by the signature block of Stichting Icare’s 2025 financial statements dated 26 May 2026, are:

Nationality, country of residence and correspondence address are not published for any of them in the sources used, and none is inferred here.

Recent officer changes

• 1 February 2025 — R. Leber appointed lid van de raad van bestuur of Stichting Espria. Data availability

Partial. The statutory healthcare annual accountability report names the corporate bestuurder, the natural persons on the group raad van bestuur, the three holders of the directeur role at Stichting Icare and the full raad van commissarissen, each with start and end dates inside the reporting year, and the signature block fixes who was in office on 26 May 2026. What it does not give is the Handelsregister’s own officer list, the registered representation powers (bevoegdheid) of the statutory bestuurder, appointment dates earlier than financial year 2024, or any nationality, residence or address field. The free KvK layer returned no officer data in this session and a full uittreksel is a paid product, so the register-level officer record was not inspected.

A note on this page’s own underlying feed: the provider record carries no officer rows at all, and its placeholder text states that officer data is not available for this jurisdiction. That is incorrect as a statement about the Netherlands, which publishes bestuurders in the Handelsregister and, for care providers, publishes the governance of the entity in a free statutory annual report. Group structure of Stichting Icare

Stichting Icare belongs to the Espria group of care foundations. Because neither Stichting Icare nor Stichting Espria has share capital, the controlling link is not a shareholding. It runs through the board mandate laid down in the statutes: Stichting Espria acts as the statutory bestuurder of Stichting Icare, and Stichting Icare’s own accounts state that Stichting Espria stands at the head of the group and that Stichting Icare’s enkelvoudige jaarrekening is included in Stichting Espria’s geconsolideerde jaarrekening. The relationships below are taken only from statutory publications; shared names, shared branding, a shared website or a shared address are not treated as evidence.

Two distinctions are worth stating explicitly. First, Icare & Zorggroep Meander and Icare Thuisbegeleiding are not separate legal persons: Stichting Espria’s 2025 report states that both “vallen beiden onder Stichting ICARE”, and the foundation’s own ANBI publication lists Icare, HdS Zorg and Zorggroep Meander as its trading names. Second, Stichting Espria’s 2025 report records that Stichting Espria holds 50 per cent of the shares in the medical service centre Altide B.V. and works closely with the Espria Ledenvereniging; those are relationships of Stichting Espria, not of Stichting Icare, and are noted here only so they are not read as holdings of this entity. Stichting Icare itself reports no subsidiaries and, in its 2025 accounts, no nevenvestigingen.

Recent structural changes

• 1 January 2025 — legal merger in which Stichting Icare absorbed Stichting Zorggroep Meander. Stichting Icare was the acquiring legal person; Stichting Zorggroep Meander ceased to exist, and the merged organisation continued inside Stichting Icare under the name Icare & Zorggroep Meander. The merger was accounted for as a pooling of interests, and the 2024 comparatives were restated as if the combination had existed from the start of that year. • 1 January 2026 — Stichting De Trans, until then a fellow Espria foundation, was transferred by Stichting Espria to Cosis and Vanboeijen and immediately split under universal title to Stichting Cosis and Stichting Vanboeijen, ceasing to exist. This changes the composition of the group around Stichting Icare but not Stichting Icare itself. Data availability

Partial. The group head, the direction of the controlling relationship, the consolidation treatment, the fellow group entities and two dated structural changes are all documented in statutory publications, and KvK numbers are available for Stichting Espria, Stichting Evean Zorg, Stichting GGZ Drenthe and Stichting De Trans. What is missing is register-level confirmation: the Handelsregister extract that would record Stichting Espria as the registered bestuurder of Stichting Icare is a paid product and was not obtained, no shareholding exists that could be traced through an ownership register, and Stichting Espria’s legal-structure diagram is a figure in its own annual report rather than a register filing. No KvK number was obtained for Stichting Icare Jeugdgezondheidszorg or for Espria Participaties B.V.
