An Austrian GmbH has no shares: the Firmenbuch records a Stammkapital in euro and, for each member, a Stammeinlage in euro. The figure of 171,765 is therefore a euro amount and not a number of shares. ALSO Holding AG’s Annual Report 2025 lists Target Distribution GmbH, Koblach, with share capital of EUR 172 thousand (rounded) at both 31 December 2025 and 31 December 2024, which is consistent with a Stammkapital of EUR 171,765 taken up in full by one member.

The member is ALSO Austria GmbH, Industriestraße 14, 2301 Groß-Enzersdorf, registered in the Firmenbuch under FN 59349d at the Landesgericht Korneuburg, first registered on 6 November 1993 with a Stammkapital of EUR 100,000. The Firmenbuch publication history for FN 73428h shows a member recorded on 4 September 2024 (“Gesellschafter eingetragen”), one day after ALSO Austria GmbH itself registered a merger on 3 September 2024.

The member row and the group tree stored against this company appear to contradict each other: the tree is headed by Droege Group AG, Düsseldorf, a German investment holding, while the member belongs to the Swiss-listed ALSO group. The two are in fact reconcilable, and the tree is incomplete rather than simply wrong. ALSO Holding AG’s Annual Report 2025 states that Special Distribution Holding GmbH, Düsseldorf — a Droege Group AG company — is the majority shareholder of ALSO Holding AG with 51.30% of the voting shares (31 December 2025 and 31 December 2024) and is its controlling shareholder. The stored tree thus reproduces the top of the chain but omits every ALSO entity that connects this company to it, and it does not contain Target Distribution GmbH at all.

Before the change of ownership the direct member was Target Holding GmbH, Koblach. ALSO Holding AG’s Annual Report 2025 states that on 10 January 2024 the ALSO Group acquired 100 per cent of the partners’ shares of Target Holding GmbH and its subsidiary Target Distribution GmbH.

The chain disclosed in official filings runs: Target Distribution GmbH, then ALSO Austria GmbH (FN 59349d), whose sole member recorded in the Firmenbuch on 13 October 2007 is ALSO Deutschland GmbH, Soest (Handelsregister B at the Amtsgericht Arnsberg, HRB 8075), then the ALSO group headed by ALSO Holding AG, Emmen, Switzerland, in which Special Distribution Holding GmbH, Düsseldorf, holds 51.30%, and above that Droege Group AG, Düsseldorf. ALSO Holding AG’s Annual Report 2025 states that Special Distribution Holding GmbH is majority-owned by Walter P. J. Droege through Droege Group AG and that he is the controlling shareholder of ALSO Holding AG; the same report records his nationality as German in its board of directors table. No publicly accessible Austrian register entry confirms him, or any other individual, as a beneficial owner of FN 73428h.

Data availability

The Firmenbuch itself is fee-based. The free-of-charge official source used here is evi.gv.at, which reproduces register content and publications. Because FN 73428h was deleted on 21 August 2026, its evi.gv.at entry no longer shows capital, members or officers, so the Stammkapital could not be read directly from a free official source; the euro reading of the stored figure is corroborated by ALSO Holding AG’s Annual Report 2025. The Ediktsdatei, Austria’s insolvency edict database, could not be searched programmatically, so no insolvency check has been made and none should be inferred. Two provider fields on this page are wrong and have been left unchanged: the status (Active) and the registration date (1 January 1976).

Directors and officers of Target Distribution GmbH

Two officer rows in this record carry broken names. “Diplkfm Kilga”, marked active, puts the academic title Diplomkaufmann where the given name belongs; “Kilga Kilga”, marked resigned, repeats the surname in both fields. Both refer to a person surnamed Kilga, the family name associated with the Koblach business, and are most probably the same individual recorded twice. The given name could not be established from any free official source, and an academic title is never part of a person’s name, so nothing beyond the surname is published here. The active flag on the first row is not supported either: the company’s own management page, as archived on 18 October 2025, listed only a Geschäftsführer and a Prokurist, neither of them named Kilga.

• Martina Frois — carried in this record as an authorised signatory (Prokuristin), marked resigned, yet with an appointment date of 1 October 2015 and no resignation date. The row is internally inconsistent and could not be confirmed from a free official source.
