The Boeing Company is a corporation organised under the Delaware General Corporation Law, filed with the Delaware Division of Corporations under file number 334807, and it is the registrant behind SEC Commission file number 1-442 and Central Index Key 0000012927. Its Form 10-K for the financial year ended 31 December 2025, filed on 30 January 2026, states on its cover page that the state of incorporation is Delaware and the IRS Employer Identification Number is 91-0425694, and records in Item 1 that “Boeing was originally incorporated in the State of Washington in 1916 and reincorporated in Delaware in 1934”. The Global Legal Entity Identifier Foundation record for LEI RVHJWBXLJ1RFUBSY1F30 gives the same Delaware registration number 334807 and an entity creation date of 19 July 1934. The stored incorporation date of 1 January 1916 on this profile is therefore a placeholder built from the founding year of the business rather than the formation date of the entity that files today.

The Virginia State Corporation Commission record cited as the source for this profile carries SCC ID F0148454. Because the company’s charter is Delaware’s, that Virginia record is a registration authorising a foreign (out-of-state) corporation to transact business in Virginia, not an incorporation. Virginia SCC identifiers beginning with “F” are used for entities formed outside the Commonwealth. The two identifiers describe different things and should not be used interchangeably.

The legal form is a stock corporation; the stored legal form, city, website and social fields on this profile are blank, but the 10-K cover page states that the principal executive offices are at 929 Long Bridge Drive, Arlington, Virginia 22202, that the telephone number is (703) 465-3500, and that general information about the company is published at www.boeing.com. The blank fields reflect gaps in the stored record, not an absence of a corporate address or website.

The Boeing Company’s common stock ($5.00 par value) trades on the New York Stock Exchange under the symbol BA, and depositary shares each representing a 1/20th interest in a share of 6.00% Series A Mandatory Convertible Preferred Stock trade under BA-PRA. The company reports in three segments: Commercial Airplanes, which develops, produces and markets the in-production 737 narrow-body and the 767, 777 and 787 wide-bodies, with the 777X, 737-7 and 737-10 still in development; Defense, Space & Security, covering military aircraft, rotorcraft and tilt-rotor, weapons, missile and defence systems, C4ISR, cyber, satellites and space exploration; and Global Services, covering supply chain and logistics, maintenance and modifications, spare parts, pilot and maintenance training, technical documentation and digital analytics.

On a consolidated basis for the year ended 31 December 2025, the company reported total revenues of $89,463 million (2024: $66,517 million), earnings from operations of $4,281 million and net earnings of $2,238 million. Total backlog at 31 December 2025 was $682,207 million, of which the Commercial Airplanes segment accounted for $567,290 million; the 10-K states that approximately 85% of that segment’s backlog in dollar terms is with non-U.S. airlines. The workforce was approximately 182,000 at 31 December 2025, with 14% located outside the United States and about 72,000 union members. These are consolidated group figures for The Boeing Company and its subsidiaries as reported in the FY2025 Form 10-K.

Commercial aircraft production is regulated by the Federal Aviation Administration. The 10-K records that following the January 2024 737-9 door plug accident the FAA investigated the 737 quality control system and increased its oversight, and that the 737 programme may only increase production rates or implement new production lines with the FAA’s concurrence. On the criminal-law side, the same filing records that on 29 May 2025 the company and the U.S. Department of Justice entered a non-prosecution agreement relating to the October 2018 Lion Air flight 610 and March 2019 Ethiopian Airlines flight 302 accidents, requiring a $244 million fine and a $445 million compensation fund for family members; that the U.S. District Court for the Northern District of Texas approved the Department’s motion to dismiss the criminal information on 6 November 2025; and that the approval was appealed. The Form 10-Q filed on 28 July 2026 adds that the U.S. Court of Appeals for the Fifth Circuit denied the family representatives’ petition on 31 March 2026 and that those representatives had until late August 2026 to decide whether to pursue any further appeal. Related civil and securities litigation, including matters arising from the 737-9 door plug accident, remains pending as at that filing.

A further reported development: on 31 October 2025 the company closed the sale of portions of its Global Services segment’s Digital Aviation Solutions business for proceeds of $10,550 million, recognising a gain of $9,566 million in FY2025 results.

Shareholders of The Boeing Company

The Boeing Company is a widely held New York Stock Exchange issuer (symbol BA), so there is no shareholder register in the public domain. What is published is the set of holders that cross the 5% reporting threshold under Sections 13(d) and 13(g) of the Securities Exchange Act, together with the company’s own restatement of those filings in its proxy statement. The definitive proxy statement filed on 6 March 2026 states that 784,669,191 shares of common stock were outstanding at 31 December 2025, and the 10-K cover page records 785,347,096 shares outstanding at 23 January 2026.

The 5% table in that proxy statement, which the company says is based on the most recently available Schedule 13G filings, identifies three holders of Boeing common stock: The Vanguard Group, 70,989,325 shares or 9.0% (shared voting power over 7,480,132 shares and shared dispositive power over 70,989,325 shares, as of 31 December 2025); FMR LLC, 54,979,044 shares or 7.0% (sole voting power over 46,852,547 shares and sole dispositive power over 54,979,044 shares, as of 31 December 2025); and BlackRock, Inc., 52,979,795 shares or 6.8% (sole voting power over 49,889,722 shares and sole dispositive power over 52,979,795 shares, as of 31 December 2024). The related-person transactions section of the same proxy statement additionally records that Capital Research Global Investors, a division of Capital Research and Management Company, was a beneficial holder of more than 5% of the outstanding common stock during 2025; it does not appear in the current 5% table. These are beneficial-ownership positions reported by asset managers on behalf of funds and client accounts, and voting and dispositive power are reported separately from economic interest; they are not registered holdings in the company’s own name.

Ultimate beneficial ownership

No natural person is identified in any of these filings as a beneficial owner of 5% or more of The Boeing Company’s common stock. Every reported 5% holder is an institutional asset manager. On the evidence available from the company’s SEC filings, no ultimate beneficial owner of The Boeing Company can be identified, and the absence of one is what a dispersed public shareholder base looks like rather than a gap in disclosure. No effective ownership percentage has been calculated here, because no ownership chain leading to an individual exists to multiply through.

How the stored shareholder rows compare

This profile stores 5 of a reported 16 shareholder rows, each verified at 4 September 2026. The five stored names are SPDR S&P 500 ETF Trust, SPDR Dow Jones Industrial Average ETF Trust, Vanguard Index Funds – Vanguard Growth Index Fund, Washington Mutual Investors Fund and iShares Trust – iShares Core S&P 500 ETF. None of them is a reportable 5% holder of Boeing, and none of the three holders that actually are reportable – The Vanguard Group, FMR LLC and BlackRock, Inc. – appears among the stored rows. The stored rows are individual funds sampled from institutional holdings data, not shareholders of record.

The stored percentages should not be read as ownership for a second reason: their denominator is wrong. The iShares Core S&P 500 ETF row shows 9,274,687 shares as 2.597%, which implies a total of roughly 357 million shares. The company reports 784,669,191 shares outstanding at 31 December 2025. The stored percentages are therefore calculated on a share count of about 45% of the real one, which overstates each holding by a factor of roughly 2.2. The largest stored figure, 2.597%, corresponds to about 1.18% of the shares actually outstanding.

Data availability

Major shareholders only. For a U.S. listed issuer of this size, ownership disclosure is limited to holders above the 5% Schedule 13G/13D threshold plus the company’s own proxy restatement of those filings; there is no public register of the full shareholder base, no register of beneficial owners below 5%, and no statutory ultimate-beneficial-owner filing of the kind found in European registers. The percentages and holder names stored on this profile have been superseded here by the filed sources and should not be relied on as ownership data.

Officers

5

Directors and officers of The Boeing Company

The officer data stored on this profile is a five-row sample of a set the provider reports as containing 76 rows, the largest officer count in this dataset. Sixty-one rows out of every seventy-six are missing, so the stored five must not be read as the officer list of The Boeing Company, and nothing can be inferred from who is absent from it.

Whose the stored rows are, and their vintage: all five carry the correspondence address 929 Long Bridge Drive, Arlington, Virginia 22202, which is the principal executive offices address printed on The Boeing Company’s Form 10-K cover page, so the rows do belong to this company rather than to a similarly named one. The roles recorded are John Demers, Vice President, Assistant General Counsel & Corporate Secretary; Dan Brecht, Assistant Secretary; Barton Rayner, “Public Officer”; Leann J. Lancaster, Assistant Treasurer; and Laura Doyle, Assistant Secretary. Every row is marked ACTIVE with no appointment date and no resignation date, so the set carries no vintage of its own. Only one of the five can be dated against a filing: John C. Demers signed the company’s Form 8-K dated 21 August 2026 as “Corporate Secretary, Vice President & Assistant General Counsel”, which confirms that role as current at that date. The other four names return no results in a full-text search of The Boeing Company’s EDGAR filings, which covers filings from 2001 onward, so their appointment dates and current status cannot be established from filed documents. The five are administrative and signing officers; not one of them is a director or a Section 16 executive officer.

Executive officers

Item 10 of the Form 10-K for the year ended 31 December 2025, filed 30 January 2026, lists the executive officers as of 30 January 2026: Robert K. Ortberg, President and Chief Executive Officer since 8 August 2024; Jesus Malave, Jr., Executive Vice President and Chief Financial Officer since August 2025; Stephanie F. Pope, Executive Vice President and President and Chief Executive Officer of Boeing Commercial Airplanes since March 2024; Stephen K. Parker, Executive Vice President and President and Chief Executive Officer of Boeing Defense, Space & Security since July 2025; D. Christopher Raymond, Executive Vice President and President and Chief Executive Officer of Boeing Global Services since January 2024; Brett C. Gerry, Chief Legal Officer and Executive Vice President, Global Compliance since May 2020; Uma M. Amuluru, Executive Vice President and Chief Human Resources Officer since April 2024; Howard E. McKenzie, Chief Engineer and Executive Vice President, Engineering, Test & Technology since March 2023; Dana S. Deasy, Chief Information Digital Officer and Senior Vice President, Information Digital Technology & Security since December 2024; Brendan J. Nelson, Senior Vice President and President, Boeing Global since January 2023; Ann M. Schmidt, Senior Vice President and Chief Communications & Brand Officer since December 2024; and Jeffrey S. Shockey, Executive Vice President of Government Operations, Global Public Policy & Corporate Strategy since February 2025. The 10-K also states that no family relationships exist among the executive officers, directors or director nominees.

Board of directors

Twelve directors were elected at the annual meeting of shareholders held on 17 April 2026, and the final voting results were reported in a Form 8-K under Item 5.07 filed on the same date: Robert A. Bradway, Mortimer “Tim” J. Buckley, Lynne M. Doughtie, David L. Gitlin, Lynn J. Good, Stayce D. Harris, Akhil Johri, David L. Joyce, Steven M. Mollenkopf, Robert Kelly Ortberg, John M. Richardson and Bradley D. Tilden. The 2026 proxy statement records that the by-laws and corporate governance principles require the Board Chair to be independent and that Steven M. Mollenkopf has served as independent Board Chair since 2024; Robert Kelly Ortberg is the only executive director. The company’s independent auditor for 2026, Deloitte & Touche LLP, was ratified at the same meeting.

Recent officer changes

On 19 August 2026 the Board appointed Ryan L. Shedd as Senior Vice President and Controller and principal accounting officer, effective the first business day after the company files its Form 10-K for the year ending 31 December 2026; he joins in September 2026 as Senior Vice President, Finance and will succeed Michael J. Cleary, who has been Senior Vice President and Controller since March 2023 and plans to retire in 2027. Reported in Form 8-K, Item 5.02, dated 19 August 2026 and signed 21 August 2026.

On 1 December 2025 the Board elected Bradley D. Tilden, former Chairman, President and Chief Executive Officer of Alaska Air Group, Inc., as a director with effect from 3 December 2025, to serve on the Aerospace Safety Committee and the Finance Committee. Reported in Form 8-K, Item 5.02, dated 1 December 2025.

Jesus Malave, Jr. became Executive Vice President and Chief Financial Officer in August 2025, as recorded in Item 10 of the Form 10-K filed on 30 January 2026.

Data availability

Partial. The United States has no federal company register, and Delaware, the state of incorporation, does not publish directors or officers; what is public comes from SEC filings, which cover Section 16 executive officers and the elected board but not the wider population of assistant secretaries, assistant treasurers and state-filing signatories that make up most of the 76 rows the provider reports. Nationality is not disclosed in any of the sources used and is recorded here as “Not disclosed” for every person named; residence and dates of birth are likewise not published, and a correspondence address at 929 Long Bridge Drive is a service address, not a home address. The stored five rows carry no appointment or resignation dates, so their currency cannot be verified except for John C. Demers.

Group Structure

Group structure of The Boeing Company

The Boeing Company is the ultimate parent of its own group. It is a Delaware corporation, Delaware file number 334807, and no filing identifies any immediate or ultimate parent above it; its common stock is widely held on the New York Stock Exchange. That registration number is corroborated in both directions: the Global Legal Entity Identifier Foundation record for LEI RVHJWBXLJ1RFUBSY1F30 shows the entity as registered at the Delaware Division of Corporations as 334807, and The Boeing Company itself declared “Registration number 0334807, incorporated in Delaware, governing law Delaware General Corporation Law” when it registered as a person with significant control over two UK companies. The root node of the stored corporate tree labels this same number “US VA 334807”, attaching a Delaware file number to Virginia.

The only complete, filed statement of the group’s composition is Exhibit 21 to the Form 10-K for the year ended 31 December 2025, filed on 30 January 2026. It names eighteen subsidiaries with their places of incorporation and states expressly, under Item 601(b)(21) of Regulation S-K, that subsidiaries which are not significant have been omitted. Exhibit 21 is therefore authoritative for what it lists and silent, not negative, about everything else.

Verified corporate relationships

Subsidiaries of The Boeing Company named in Exhibit 21 to the FY2025 Form 10-K, with the place of incorporation as filed. Ownership percentages are not disclosed in the exhibit, and none is asserted here.

  • Delaware: Aviall, Inc.; Boeing Aircraft Holding Company; Boeing Aerospace Operations, Inc.; Boeing Distribution Services, Inc.; Boeing Distribution, Inc.; Boeing Global Holdings Corporation; Boeing International Logistics Spares, Inc.; Spirit AeroSystems Holdings, Inc.; Spirit AeroSystems, Inc.
  • Vermont: Astro-II, Inc.
  • Washington: Insitu, Inc.
  • Bermuda: Astro Limited
  • United Kingdom: Boeing Defence UK Limited
  • Australia: Boeing Australia Holdings Proprietary Limited; Boeing Defence Australia Ltd
  • Germany: Boeing Deutschland GmbH
  • Netherlands: Boeing Europe B.V.; Boeing Netherlands B.V.

Recent structural changes

On 8 December 2025 The Boeing Company completed its acquisition of Spirit AeroSystems Holdings, Inc. under the Agreement and Plan of Merger dated 30 June 2024. Boeing became the ultimate parent of Spirit AeroSystems Holdings, Inc. and its subsidiaries, including Spirit AeroSystems, Inc. Total consideration was $8,371 million; 117.5 million Spirit shares were exchanged for 22.98 million Boeing shares at a ratio of 0.1955. Recorded in Note 2 to the FY2025 financial statements.

Concurrently with that closing, Spirit completed the sale of its Airbus-bound business to Airbus SE under a Stock and Asset Purchase Agreement dated 27 April 2025. That perimeter did not pass to Boeing. Recorded in the same note.

On 31 October 2025 Boeing closed the sale of portions of its Global Services segment’s Digital Aviation Solutions business to Thoma Bravo for proceeds of $10,550 million. The 10-K records that the sale included the Jeppesen, ForeFlight, AerData and OzRunways assets and liabilities.

Audit of the stored corporate tree

The stored tree holds 209 nodes below and including The Boeing Company. It is not a filed document and it disagrees with Exhibit 21 in recurring, identifiable ways. It was audited node by node; the classes found, with counts, are set out below, and the filed exhibit above should be preferred wherever the two conflict.

  • Pseudo-identifiers: 40 nodes (19%). The registration-number field holds a “#”-prefixed internal key such as “#0228379310” rather than any register’s number. These nodes cannot be resolved against any registry.
  • Tax identifiers in the registration-number field: about 23 nodes. Sixteen non-U.S. nodes carry a VAT, tax or trade identifier instead of a company number, including Indian PAN and GSTIN values (“IN AAFCB3798Q”, “IN 07AAHCB1218P3ZH”), Italian VAT numbers (“IT IT13464401002”), Spanish NIF codes (“ES W4001065D”), a Belgian VAT number, Hungarian VAT numbers, French SIRET establishment numbers and a Moroccan ICE. A further seven U.S. nodes carry a nine-digit value in Employer Identification Number form, for example “US MA 043490540” and “US CA 954549611”.
  • States of organisation contradicting Exhibit 21: at least 6 of the 18 exhibit names. Aviall, Inc. is shown as Texas, Boeing Aerospace Operations, Inc. as Oklahoma, Boeing Distribution Services, Inc. as Florida, Boeing Global Holdings Corporation as Virginia, and both Spirit entities as Kansas; Exhibit 21 files every one of them as Delaware. In at least one case the number itself is the Delaware number wearing the wrong state label: the tree gives “US FL 5576179” for Boeing Distribution Services, Inc., while that company’s own person-with-significant-control filing at Companies House records “Registration number 5576179, incorporated in Delaware”. Two further exhibit names, Astro-II, Inc. (Vermont) and Boeing Defence Australia Ltd (Australia), are absent from the tree altogether, and four more carry a “#” key with no jurisdiction at all.
  • Disposed entities still shown as current: 17 nodes. The whole Jeppesen, ForeFlight, AerData, OzRunways, Aviationcloud and CloudAhoy perimeter left the group on 31 October 2025, yet every one of those entities is still presented as a live part of the structure. This is verifiable in a public register: the Companies House person-with-significant-control record for JNPR Aero Limited (England and Wales 16448517) shows The Boeing Company, Delaware 334807, notified on 13 May 2025 and ceased on 31 October 2025, replaced by Jeppesen UK Holdings Limited (16402959). The record for AerData UK Limited (04354279) shows Boeing ceasing on the same date. Both are still rendered as Boeing subsidiaries in the stored tree.
  • Nodes belonging to another group: 2. AIRBUS ATLANTIC CADREAN is stored with the identifier “FR 51317826900041”. The SIREN component, 513178269, resolves in the French national business register to AIRBUS ATLANTIC CADREAN, an active aerospace manufacturer at Montoir-de-Bretagne created on 12 June 2009 – a match in one direction. In the other direction the name appears nowhere in Boeing’s Exhibit 21, and Boeing’s own Note 2 records that the Airbus-bound Spirit perimeter transferred to Airbus SE at the moment Boeing acquired Spirit. The same applies to AIRBUS ATLANTIC MAROC AERO, whose stored identifier “MA 001450442000070” is a fifteen-digit tax-style value rather than a company registration number. Neither is treated here as a Boeing entity. No other node in the tree could be confirmed as belonging to an unrelated listed company; JNPR Aero Limited, which looked like contamination from its name, is in fact a correctly identified former Boeing entity and is recorded above as a disposal rather than as a foreign body.
  • Branches and representative offices presented as companies: 9 nodes. These include two UK overseas-company registrations (“GB FC029419” for Boeing Distribution UK, Inc. and “GB FC011168” for Boeing Operations International, Incorporated), two Spanish sucursales, a Turkish Istanbul sube, a Taiwan branch, a Danish filial, a German Zweigniederlassung and a Hungarian commercial representative office. A branch is an establishment of the same legal entity, not a subsidiary.
  • Duplicates under different identifiers: 11 name groups. Boeing Distribution, Inc., Aviall, Inc., Bcc Equipment Leasing Corporation, Boeing Space Operations Company, Boeing Distribution Services XII, LLC, Boeing Distribution Services ISC GmbH, Argon ST, Inc., Boeing International Corporation, Short Brothers Plc, OzRunways Pty. Ltd. and The Boeing Company itself each appear two or three times under different identifiers. Further near-duplicates differ only in punctuation, such as Insitu against Insitu, Inc. and Boeing Encore Interiors LLC against Boeing Encore Interiors, LLC. The node count therefore overstates the number of distinct entities.
  • Placeholder rows that are not entities: 3 nodes. “Subsidiaries of Spirit AeroSystems International Holdings, Inc.”, “Subsidiaries of Fiber Materials Inc.” and “Subsidiaries of Spirit AeroSystems, Inc.” are heading lines from a subsidiary schedule rendered as if they were companies, each with a “#” key.
  • Flattened hierarchy. Eighty-four of the 209 nodes hang directly off the root, mixing genuine first-tier holding companies such as Boeing Global Holdings Corporation with entities that filings place several levels down, and the remaining depths fall away sharply (71, 21, 14, 11, 3, 4). The tree’s shape should not be read as the group’s actual ownership chain.

Data availability

Partial. The United States has no federal company register and Delaware publishes no ownership or subsidiary data, so the only authoritative account of this group’s composition is Exhibit 21 to the annual report, which by design lists only significant subsidiaries and discloses no ownership percentages. Non-U.S. members of the group can often be verified individually in their local registers, as was done here for the United Kingdom and France, but no single source gives a complete, dated, percentage-bearing group tree for The Boeing Company. The stored 209-node structure should be treated as an unverified working list rather than as corporate-linkage evidence.
