THE HOME DEPOT, INC. is a home improvement retailer incorporated in the State of Delaware in 1978, with its Store Support Center — the site the company itself calls its corporate headquarters — at 2455 Paces Ferry Road, Atlanta, Georgia 30339. The cover page of its Form 10-K for the financial year ended 1 February 2026 gives Delaware as the state of incorporation and IRS Employer Identification Number 95-3261426, and the Global LEI record (LEI QEKMOTMBBKA8I816DO57) independently gives the jurisdiction as US-DE, the registration number as 856429, the entity creation date as 28 June 1978 and the legal form as a Delaware “Corporation” (ELF code XTIQ). The Florida Department of State document number 849291 and the date 1 June 1981 shown in this profile’s information card relate to a state registration in Florida, not to the company’s charter; Florida document numbers of that vintage carry no letter prefix, so the number alone does not identify the type of filing.

The company is a currently reporting issuer rather than an inactive entity: it filed its Form 10-K for the 52 weeks ended 1 February 2026 on 18 March 2026, its Form 10-Q for the 13 weeks ended 2 August 2026 on 25 August 2026, and a Restated Certificate of Incorporation that took effect on filing with the Secretary of State of the State of Delaware on 21 May 2026.

THE HOME DEPOT, INC. sells home improvement products, building materials, lawn and garden and décor products and facilities maintenance, repair and operations products in stores and online, and provides installation services and tool and equipment rental. At the end of fiscal 2025 it operated 2,359 stores in the United States (including Puerto Rico, the US Virgin Islands and Guam), Canada and Mexico, averaging about 104,000 square feet of enclosed space plus about 24,000 square feet of outside garden area, supported by distribution and fulfilment centres and e-commerce sites in all three countries. It serves both consumer and professional customers, and aggregates the three countries into a single reportable segment; it is classified under SIC code 5211, lumber and other building materials dealers.

Its financial year does not end in December; it ends on the Sunday nearest to 31 January. Fiscal 2025 was the 52 weeks ended 1 February 2026, fiscal 2024 a 53-week year ended 2 February 2025, and fiscal 2026 will be the 52 weeks ending 31 January 2027. Consolidated fiscal 2025 net sales were USD 164,683 million (fiscal 2024: USD 159,514 million), net earnings USD 14,156 million and diluted earnings per share USD 14.23. Consolidated net sales were USD 47,861 million for the second quarter of fiscal 2026 and USD 89,626 million for its first six months. The company employed approximately 472,400 associates at the end of fiscal 2025, about 53,400 of them salaried, and its fiscal 2025 accounts were audited by KPMG LLP, Atlanta.

Common stock of USD 0.05 par value has been listed on the New York Stock Exchange under the symbol HD since 19 April 1984, under SEC Commission file number 1-8207 (CIK 0000354950, CUSIP 437076102), with 996,011,466 shares outstanding at 4 March 2026.

Recent developments reported in the company’s own filings: the residential specialty trade distribution business SRS was acquired on 18 June 2024, the specialty building products distributor GMS Inc. on 4 September 2025 for USD 5.1 billion in cash, and the HVAC distributor Mingledorff’s on 11 May 2026 for preliminary cash consideration of about USD 1.1 billion. At the end of fiscal 2025 that distribution network comprised more than 1,250 locations in the United States and Canada.

Shareholders of THE HOME DEPOT, INC.

THE HOME DEPOT, INC. is a widely held listed company, so only holdings above the United States reportable threshold are published; there is no public register of its complete shareholder base. The beneficial ownership table in the proxy statement filed on 7 April 2026 identifies two holders of more than 5% of the outstanding common stock as at 31 December 2025, with percentages calculated on the shares outstanding at 6 March 2026: The Vanguard Group, Inc. of Malvern, Pennsylvania, with 100,011,247 shares or 10.0%, and BlackRock, Inc. of New York, with 71,124,615 shares or 7.1%. The company states that both figures rest solely on the holders’ own Schedule 13G filings — Vanguard’s filed on 3 December 2025 and BlackRock’s on 26 January 2024, so the BlackRock figure is the older of the two. There were 996,011,466 shares of common stock outstanding at 4 March 2026 and 996,027,658 at the 23 March 2026 record date. No Schedule 13D has been filed against the company and no shareholder holds a controlling interest.

Vanguard’s Schedule 13G/A of 3 December 2025 (amendment 10, event date 28 November 2025) reported 100,011,247 shares, 10.04% of the class, with sole dispositive power over 90,135,363 shares, shared dispositive power over 9,875,884 shares, shared voting power over 6,044,063 shares and no sole voting power. On 27 March 2026 Vanguard filed a further amendment (amendment 11, event date 13 March 2026) reporting nil shares and nil voting and dispositive power. That nil return is a change of reporting entity, not a disposal: following an internal realignment on 12 January 2026, certain subsidiaries and business divisions of The Vanguard Group, Inc. that had previously been aggregated with it now report beneficial ownership on a disaggregated basis in reliance on SEC Release No. 34-39538, and the filing states that the same investment strategies continue to be pursued. The company describes the same realignment in a footnote to its 2026 proxy statement. Vanguard’s holding should not be read as having been sold.

Ultimate beneficial ownership

No ultimate beneficial owner of THE HOME DEPOT, INC. can be identified. No natural person is named as a beneficial owner in any filing reviewed, and no holder reaches a level of ownership that would identify a controlling owner; the two reportable holders are asset managers holding through registered investment companies and managed accounts. Vanguard’s Schedule 13G states that its clients, including investment companies registered under the Investment Company Act of 1940 and other managed accounts, hold the right to receive dividends and sale proceeds, and that no other single person’s interest in the reported securities exceeds 5%. The register of persons with significant control kept in the United Kingdom for the group’s English company names THE HOME DEPOT, INC. itself as the controlling legal entity, with no natural person recorded above it.

Data availability

Major shareholders only. For a Delaware corporation there is no state register of shareholders, and for a listed issuer the published record is limited to holders crossing the 5% Section 13 threshold, which is why only two holders can be named; nothing here should be taken to mean that the company has no other shareholders. The shareholder rows stored against this profile (five of six rows, verified 4 September 2026) should not be read as an ownership breakdown: four of the five are individual index funds or exchange-traded funds that are each well below the 5% reporting threshold and are not themselves reportable holders, BlackRock, Inc. — the second-largest reportable holder — does not appear among them, and the 21.28% shown against The Vanguard Group, Inc. on 99,635,779 shares implies a denominator of roughly 468 million shares, under half of the 996,011,466 shares outstanding at 4 March 2026. The percentages published above are taken from the proxy statement and from the holders’ own Schedules 13G, not from those rows.

Directors and officers of THE HOME DEPOT, INC.

Delaware does not publish the directors or officers of a corporation registered there, so the authoritative record for THE HOME DEPOT, INC. is its filings with the Securities and Exchange Commission. Twelve directors were elected by majority vote at the annual meeting held on 21 May 2026, each for a one-year term expiring at the next annual meeting, and the results were reported in a Form 8-K filed on 26 May 2026: Gerard J. Arpey, Ari Bousbib, Jeffery H. Boyd, Gregory D. Brenneman, J. Frank Brown, Edward P. Decker, Wayne M. Hewett, Manuel Kadre, Stephanie C. Linnartz, Paula A. Santilli, Caryn Seidman-Becker and Asha Sharma. The 2026 proxy statement records that approximately 92% of the director nominees and all board committee members are independent, that the lead director is elected annually by the independent directors, and that a mandatory retirement age of 72 applies; Gregory D. Brenneman serves as independent lead director.

Ten executive officers are named in Part III of the Form 10-K for the financial year ended 1 February 2026, all of them appointed by and serving at the pleasure of the board: Edward P. Decker (Chair since October 2022, President and Chief Executive Officer since March 2022), Ann-Marie Campbell (Senior Executive Vice President since November 2023), Richard V. McPhail (Executive Vice President and Chief Financial Officer since September 2019), Teresa Wynn Roseborough (Executive Vice President, General Counsel and Corporate Secretary since November 2011), William D. Bastek (Executive Vice President – Merchandising since March 2023), Jordan Broggi, Angela Brown (Executive Vice President and Chief Information Officer since May 2025), John Deaton (Executive Vice President – Supply Chain & Product Development since November 2021), Michael Rowe (Executive Vice President – Pro) and Stephanie Smith (Executive Vice President – Human Resources since June 2025). No resignation or termination date is recorded against any of them. Teresa Wynn Roseborough holds the corporate secretary role and signs the company’s current reports in that capacity.

Recent officer changes

29 May 2025 — Fahim Siddiqui ceased to serve as Executive Vice President and Chief Information Officer. The proxy statement filed on 7 April 2026 records that he and Hector A. Padilla, formerly Executive Vice President – U.S. Stores and Operations until 12 September 2025, both departed the company during fiscal 2025. Angela Brown has held the Chief Information Officer role since May 2025.

12 August 2026 — the company announced that Edward P. Decker, Chair, President and Chief Executive Officer, would take a temporary medical leave. Ann-Marie Campbell provides oversight of day-to-day operations, Richard V. McPhail provides oversight of financial management and has been designated interim principal executive officer for the purposes of the SEC’s rules, and Gregory D. Brenneman chairs the board during the absence. Mr Decker is not recorded as having resigned any office (Form 8-K, Item 5.02, filed 12 August 2026).

20 August 2026 — following an announcement on 30 July 2026, three portfolios were expanded: Jordan Broggi’s role is now Executive Vice President – Interconnected Retail and takes in loyalty, credit services and payments; William D. Bastek assumed the product development merchant portfolio including private brands; and Richard V. McPhail assumed the Office of Pro Acceleration. Restricted stock awards were granted in connection with the changes on 20 August 2026 (Form 8-K, Item 5.02, filed 21 August 2026).

Data availability

Current only, and from securities filings rather than from a registry. Nationality is not disclosed: neither Delaware corporate filings nor SEC reports state the nationality or country of residence of a director or officer, so nationality for every person named above is “Not disclosed” and must not be inferred from a correspondence address, a stored country code or a name. Ages are disclosed for executive officers in the annual report; dates of birth are not, and none is published here.

The officer rows stored against this profile are a mixed, undated set and do not represent the current board. Of the five rows visible, three — carrying the job-title fragments “Vice President”, “Svc” and “Sv” — give the address 2727 Paces Ferry Road, Atlanta, which the company gave as its principal executive offices in the Form 10-K filed on 8 April 1996 and which its annual reports had replaced with 2455 Paces Ferry Road by the Form 10-K filed on 23 April 1998. Two of those three individuals can be matched to roles that ended more than twenty-five years ago: Ronald M. Brill was Executive Vice President and Chief Administrative Officer from August 1995, announced his intention to retire in March 2001 and did not stand for re-election to the board in May 2000; and Marshall L. Day was Senior Vice President – Finance and Accounting from 1998 until his retirement in April 2000, having earlier signed the fiscal 1995 annual report as Senior Vice President – Chief Financial Officer on 31 March 1996. The third could not be matched to any executive officer or signatory in the annual reports reviewed. The remaining two rows carry present-day executive titles, but one of them states a role that ended on 29 May 2025. No row records an appointment or a resignation date, no row identifies a director, and every row is marked “ACTIVE” regardless. One row additionally carries a non-US country code and partial date-of-birth fields; no official source discloses either for that person, and neither is reproduced here.

Group Structure

Group structure of THE HOME DEPOT, INC.

THE HOME DEPOT, INC. is the ultimate parent of its group and has no parent company: its common stock is listed on the New York Stock Exchange, no Schedule 13D has been filed against it and no shareholder holds a controlling interest. Exhibit 21 to the Form 10-K for the financial year ended 1 February 2026, filed on 18 March 2026, lists eleven subsidiaries and states that other subsidiaries were omitted under Item 601(21)(ii) of Regulation S-K, so the exhibit is a list of significant subsidiaries rather than of the whole group. The exhibit gives no ownership percentages, so for each of those relationships the ownership percentage is not disclosed. Six of the eleven are organised in Delaware; the other jurisdictions represented are Maryland, Virginia, Georgia, Canada and Mexico.

The subsidiaries named in Exhibit 21, with the state or jurisdiction of organisation given there, are: Home Depot U.S.A., Inc. (Delaware; trading as The Home Depot, blinds.com, The Company Store and Contractors’ Warehouse); Home Depot International, Inc. (Delaware); HD Development Holdings, Inc. (Delaware); HD Development of Maryland, Inc. (Maryland); Home Depot Incentives, Inc. (Virginia); Home Depot Product Authority, LLC (Georgia); Home Depot of Canada Inc. (Canada; trading as The Home Depot and The Home Depot Canada); HD Supply Holdings, Inc. (Delaware; trading as HD Supply); HD Operations Holding Company, Inc. (Delaware); Home Depot México, S. de R.L. de C.V. (Mexico; trading as The Home Depot and The Home Depot México); and SRS Distribution Inc. (Delaware).

One further relationship is independently confirmed by a company registry outside the United States. HOME DEPOT (U.K.) LTD., registered in England and Wales under company number 02961334 and incorporated on 23 August 1994, is on the register with the status “Active”; its register of persons with significant control names THE HOME DEPOT, INC. as a registrable relevant legal entity, notified on 6 April 2016, governed by the Delaware General Corporation Law, registered at the Delaware Secretary of State, Division of Corporations under registration number 856429, with the nature of control recorded as ownership of shares of 75% or more, ownership of voting rights of 75% or more and the right to appoint or remove directors. That filing also corroborates the parent’s Delaware jurisdiction and Delaware registration number from a second, independent registry.

Recent structural changes

18 June 2024 — the residential specialty trade distribution business SRS was acquired. 4 September 2025 — GMS Inc., a distributor of specialty building products including drywall, ceilings and steel framing, was acquired for total cash purchase consideration of USD 5.1 billion; both the fiscal 2025 annual report and the second-quarter fiscal 2026 quarterly report state that the acquisition was completed by SRS, so GMS sits beneath SRS Distribution Inc. rather than directly beneath the parent. 11 May 2026 — Mingledorff’s, a wholesale distributor of HVAC equipment, parts and supplies in the south-eastern United States, was acquired through SRS for preliminary cash purchase consideration of approximately USD 1.1 billion, creating a fifth SRS line of business. At the end of fiscal 2025 the SRS network, including GMS, comprised more than 1,250 locations in the United States and Canada.

Data availability

Partial. The United States has no federal group register; a Delaware corporation files no ownership schedule with the state, and the only official list of subsidiaries is Exhibit 21 to the annual report, which covers significant subsidiaries only and carries no percentages. Nothing here should be taken to mean that the group has no other subsidiaries — it plainly has many, including entities that the exhibit omits.

The corporate-linkage tree stored against this profile (215 nodes, last synchronised 29 September 2026) has been audited against Exhibit 21 and should not be relied on. Thirteen of the 215 nodes belong to an unrelated company: Hanover Direct, Inc. and the twelve nodes placed beneath it. Hanover Direct, Inc. was a separate SEC registrant — Central Index Key 0000320333, Employer Identification Number 13-0853260, SIC 5961, retail catalogue and mail-order houses — which filed its own annual reports until it deregistered its common stock by Form 15-12G on 12 April 2007; THE HOME DEPOT, INC. is Central Index Key 0000354950, Employer Identification Number 95-3261426, SIC 5211. The link fails in both directions: Hanover Direct, Inc. and its entities appear nowhere in Home Depot’s Exhibit 21 or in any Home Depot filing, and the nodes beneath it — Keystone Internet Services, Domestications, Silhouettes, Hanover Company Store, Brawn, Scandia Down and the LaCrosse facility — are the catalogue brands, subsidiaries and factory described in Hanover Direct’s own final Form 10-K of 7 March 2007, in which “Home Depot” does not appear. The probable cause is name similarity: Home Depot uses “The Company Store” as a trading name of Home Depot U.S.A., Inc., and the stored tree also contains a node “Hdi Inc”.

Other defect classes measured across the same 215 nodes. Fifty-three nodes, 24.7% of the tree, carry a “#”-prefixed pseudo-identifier in place of a registration number. Nineteen nodes carry a nine-digit value in the registration-number field, of which thirteen follow the United States federal Employer Identification Number pattern rather than any state charter-number format — for example a Florida entity shown with “592311419” where Florida numbers are letter-prefixed. Seven non-US nodes carry a tax identifier instead of a company number: four Mexican RFC numbers, one Indian permanent account number, one Ecuadorian RUC and one Italian VAT number. States of organisation contradict Exhibit 21 systematically and Delaware is all but absent: Delaware appears once in 215 nodes, on an entity the exhibit does not list, against six Delaware entities named in the exhibit; of the five of those six that appear in the tree, none is shown as Delaware — Home Depot U.S.A., Inc., Home Depot International, Inc. and HD Supply Holdings, Inc. are shown as Georgia, SRS Distribution Inc. as Texas, and HD Development Holdings, Inc. carries a “#” pseudo-identifier. Georgia is instead the most frequent code, on 45 nodes. The root node itself is labelled “US GA 856429”, although 856429 is the Delaware registration number recorded in both the Global LEI record and the United Kingdom persons-with-significant-control filing. Five duplicate pairs appear: “Hds Ip Holding, LLC”, “Chicago Gypsum Supply, Inc.” and “Myles F. Kelly, Inc.” each twice with different identifiers; “Home Depot International, Inc.” twice, once with a Georgia number and once with a Taiwanese one; and “HOME DEPOT (U.K.) LTD.” once with the English company number and once, nested beneath itself, with an Italian VAT number — a branch or foreign registration presented as a subsidiary. Seven nodes are not companies at all but facilities, truncations or trade names: “La Crosse Call Center”, “Home Depot Technology Center”, “Lone Star”, “Roofline Supply SRS Dist”, “Rising Star Wholesale”, “U S Pawn, Nebraska” and “Hdi Inc”. Six nodes are wind-down or liquidation shells presented as live subsidiaries: “ARS Wind Down, Inc.”, “Ws Dissolution, Inc.”, “Asi Dissolution Inc”, “Scott Liquidation Company, Inc.”, “Amlu Legacy Corp.” and “Floco Legacy Corp.”. The hierarchy is also misplaced and flattened: the GMS subtree of 75 nodes hangs directly from the parent rather than from SRS Distribution Inc., and within it Gypsum Management and Supply, Inc. and the Gyp Holdings II, III, IV and V entities all appear as siblings at the same level. Finally the tree is incomplete where the exhibit is not: two of the eleven Exhibit 21 subsidiaries are missing altogether — Home Depot Incentives, Inc. (Virginia) and HD Operations Holding Company, Inc. (Delaware) — and Mingledorff’s, acquired on 11 May 2026, does not appear.
