THE KROGER CO.
The Kroger Co. is a food and drug retailer incorporated in the State of Ohio, United States, with principal executive offices at 1014 Vine Street, Cincinnati, Ohio 45202. It is an SEC reporting company under Commission file number 1-303, Central Index Key 0000056873, and its common shares of $1.00 par value are listed on the New York Stock Exchange under the ticker KR. In its Form 10-K for fiscal 2025, filed on 31 March 2026, the company states that it was founded in 1883 and incorporated in 1902.
Two fields on the information card above need qualification. The record cites the Mississippi Secretary of State as its source and carries a Mississippi business identifier; because The Kroger Co. is an Ohio corporation, a Mississippi entry can only be a foreign-qualification registration permitting the company to transact business in that state, not its charter record. The incorporation date shown, 21 November 1928, does not match the 1902 incorporation the company reports, and its origin could not be established because the Mississippi and Ohio Secretary of State search portals refused automated access on 30 September 2026. The record also gives the legal form as a private limited company (Ltd.), a UK and Commonwealth form; The Kroger Co. is a business corporation organised under Ohio law.
As of 31 January 2026 Kroger operated 2,697 supermarkets across 35 states and the District of Columbia, of which 2,250 had pharmacies and 1,731 had fuel centres, with approximately 51% in company-owned facilities. The stores trade under local banner names including Kroger, Ralphs, Fred Meyer, QFC, King Soopers, Dillons, Smith’s, Fry’s, Harris Teeter, Pick ‘n Save, Mariano’s and Food 4 Less; these banners are trading names, not registered legal entities. The company also owned 33 food production plants and its Our Brands private-label range represented more than $39 billion of sales in fiscal 2025. Beyond retail it runs the Kroger Precision Marketing retail-media business, data-analytics services, in-store health clinics and personal-finance products, and offers pickup at 2,408 supermarkets alongside delivery.
The financial year does not end in December: it ends on the Saturday nearest 31 January. Fiscal 2025 was the 52 weeks ended 31 January 2026, for which the company reported consolidated total sales of $147,642 million, against $147,123 million in fiscal 2024, and consolidated net earnings attributable to The Kroger Co. of $1,016 million, against $2,665 million. It employed more than 403,000 full- and part-time employees at 31 January 2026, more than two-thirds covered by approximately 350 collective bargaining agreements.
In January 2026 Kroger closed automated customer fulfilment facilities at Pleasant Prairie, Wisconsin, Frederick, Maryland and Groveland, Florida and cancelled a planned site in Charlotte, North Carolina, recording impairment and related charges of $2.5 billion, or $1.9 billion net of tax, in fiscal 2025. Shareholders
Shareholders of The Kroger Co.
The shareholder section of the provider record for this company contains no rows at all. That is an absence of supplied data, not a finding that the company has no shareholders: The Kroger Co. is a New York Stock Exchange listed corporation with 612,633,958 common shares outstanding on 28 April 2026, held by a large and changing body of public investors. Ownership information for Kroger is therefore drawn from its proxy statement and from Schedules 13G filed with the SEC, which capture only holders above the five per cent reporting threshold.
The definitive proxy statement on Form DEF 14A filed on 13 May 2026 sets out the beneficial owners of more than five per cent of Kroger common shares as of 28 April 2026, based on Schedule 13G reports. Three holders are listed. BlackRock, Inc., of 50 Hudson Yards, New York, is shown with 54,223,923 shares, 7.5% of the class, reflecting beneficial ownership as of 31 March 2025 as reported on Amendment No. 18 to Schedule 13G filed on 17 April 2025, with sole voting power over 48,825,300 shares and sole dispositive power over 54,223,923 shares. Berkshire Hathaway Inc., of 3555 Farnam Street, Omaha, Nebraska, is shown with 50,000,000 shares, 7.0% of the class, reflecting beneficial ownership as of 31 December 2022 as reported on Amendment No. 1 to Schedule 13G filed on 14 February 2023, with shared voting and shared dispositive power over all 50,000,000 shares. State Street Corporation, of One Congress Street, Boston, Massachusetts, is shown with 31,992,265 shares, 5.1% of the class, reflecting beneficial ownership as of 31 December 2025 as reported on a Schedule 13G filed on 9 February 2026, with shared voting power over 20,556,750 shares and shared dispositive power over 31,987,451 shares.
Three qualifications matter for due-diligence use. First, the three effective dates differ by more than three years, so the table is not a single-date snapshot; the Berkshire Hathaway figure in particular rests on a 2022 report. Second, beneficial ownership under SEC Rule 13d-3 covers voting and dispositive power, and for asset managers such as BlackRock and State Street the shares are held for the accounts of third-party clients rather than for the manager’s own economic benefit. Third, these are the only holders above the reporting threshold; the remainder of the share register is not published. The Vanguard Group appeared in the equivalent table in Kroger’s 2025 proxy statement but is not in the 2026 table.
The same proxy statement records that Kroger’s directors, nominees for director and executive officers as a group, 22 persons, beneficially owned 2,492,061 shares plus 825,866 shares subject to exercisable options, amounting to 0.4% of the common shares, and that no individual director, nominee or executive officer owned as much as 1%.
Ultimate beneficial ownership
No ultimate beneficial owner is identified. No natural person is disclosed in any filing reviewed as holding, directly or indirectly, an interest at or above a 25% threshold, and the largest disclosed holding of any kind is 7.5%, held by an asset manager on behalf of client accounts. No shareholder holds a controlling stake in The Kroger Co., and no ownership chain is disclosed that would allow an effective percentage to be calculated for any individual. The status of ultimate beneficial ownership for this company is best recorded as not disclosed rather than as none existing.
Data availability
Major shareholders only. For a US SEC-registered issuer, ownership disclosure is limited to holders passing the five per cent Schedule 13D or 13G threshold, to insider holdings reported under Section 16, and to the aggregate directors-and-officers figure in the proxy statement; there is no public register of the full shareholder base, and neither Ohio nor any other US state publishes a shareholder list for a public corporation. The provider record supplied no shareholder data of any kind, so every figure above comes from primary SEC filings and is dated as shown.

Officers
5
Directors and officers of The Kroger Co.
The provider record holds 25 officer rows but supplies only five of them, and every supplied row is flagged ACTIVE with a null appointment date and a null resignation date. Read against Kroger’s own filings, those five rows are neither current nor of one vintage. Michael J. Donnelly last appears as an executive officer in the Form 10-K filed on 30 March 2021 and is absent from the Form 10-K filed on 29 March 2022, so that row is roughly five years old. The stored title for Todd A. Foley, combining interim chief financial officer with group vice president and corporate controller, corresponds to the role the Form 10-K filed on 2 April 2025 dates to February 2024 to March 2024, a window of about one month; the 2026 proxy statement records that Mr Foley retired on 30 June 2025. W. Rodney McMullen is recorded in the same proxy statement as having resigned on 2 March 2025. Three of the five rows carry the job title Governor, which is a statutory term for the manager of a limited liability company in certain US states and is not a role in the governance of The Kroger Co., an Ohio corporation governed by a board of directors and elected officers. None of the three is a director of the company.
The current position is as follows. At the 2026 Annual Meeting of Shareholders held on 25 June 2026, shareholders elected ten directors to serve until the 2027 annual meeting: Nora A. Aufreiter, Kevin M. Brown, Mitchell R. Butier, Gregory S. Foran, Anne Gates, Karen M. Hoguet, Ronald L. Sargent, J. Amanda Sourry Knox, Mark S. Sutton and Ashok Vemuri. Ronald L. Sargent has served as Chairman of the Board since March 2025 and, effective 1 July 2026, holds that office in a non-executive capacity.
The Form 10-K for fiscal 2025 lists thirteen executive officers as of 25 March 2026: Gregory S. Foran, Chief Executive Officer; Ronald L. Sargent, Chairman of the Board; Mary E. Adcock, Executive Vice President and Chief Merchant and Marketing Officer; Yael Cosset, Executive Vice President and Chief Digital Officer; David J. C. Kennerley, Executive Vice President, appointed Senior Vice President and Chief Financial Officer effective 3 April 2025; Timothy A. Massa, Executive Vice President and Chief People Officer; George H. Vincent, Executive Vice President, General Counsel and Secretary; Valerie L. Jabbar, Joseph M. Kelley and Victor R. Smith, Senior Vice Presidents with oversight of retail divisions; Brian W. Nichols, Group Vice President, Corporate Controller; Megan N. Shaffer, Group Vice President of Strategy, Customer Growth and Loyalty; and Carin L. Fike, Vice President and Treasurer. The corporate secretary role is held by Mr Vincent, who signs the company’s current reports.
Recent officer changes
Gregory S. Foran was appointed Chief Executive Officer and a member of the Board by resolution of 8 February 2026, effective 10 February 2026, ending the interim chief executive arrangement under which Ronald L. Sargent had served from March 2025; reported in the Form 8-K filed on 9 February 2026.
Timothy A. Massa gave notice on 22 May 2026 of his intention to retire in the autumn of 2026, continuing in his executive role until September 2026 and expected to remain an employee until 1 July 2027; reported in the Form 8-K filed on 27 May 2026. A successor had not been named at the date of that filing.
Mark Ibbotson was appointed Executive Vice President and Chief Store Operations Officer on 31 August 2026, effective 14 September 2026; reported in the Form 8-K filed on 2 September 2026.
Data availability
Partial, and historical in the provider record. Officer information for The Kroger Co. is taken from its SEC filings rather than from a state corporate register; the Ohio and Mississippi Secretary of State business search portals refused automated access on 30 September 2026, so neither state record was reviewed and no conclusion is drawn about what they hold. Nationality is not disclosed for any of the directors or officers named above in any filing reviewed, and is therefore recorded as not disclosed for every person; country of residence is likewise not disclosed. Ages are published in the Form 10-K but dates of birth are not. One of the five supplied provider rows carries a partial date of birth, which is not reproduced here. Because every supplied row lacks appointment and resignation dates, the provider data cannot be used to establish whether any listed person currently holds office.

Group Structure
Group structure of The Kroger Co.
The Kroger Co. is the ultimate parent of its group. It is a listed Ohio corporation with no parent company and no controlling shareholder, and no immediate or ultimate parent is disclosed in any filing reviewed. The authoritative statement of its subsidiaries is Exhibit 21.1 to the Form 10-K for fiscal 2025, filed on 31 March 2026, which lists 159 subsidiary entities. Their states of organisation, given in brackets in the exhibit, are 58 Ohio, 26 Delaware, 22 North Carolina, 11 Wisconsin, 10 California, five New York, four Michigan, three each South Carolina and Oregon, two each Virginia, Vermont, Texas, Kansas and Indiana, and one each Wyoming, Washington, Utah, Tennessee, Kentucky, Georgia and Colorado. Every entity listed is organised in a US state; no non-US subsidiary appears in the exhibit. Exhibit 21 states names and jurisdictions only: it carries no registration numbers, no ownership percentages and no parent-subsidiary chain, so ownership percentage is not disclosed for any of the 159 entities, and SEC rules permit the omission of subsidiaries that in the aggregate are not significant.
The corporate-linkage tree carried in this profile holds 194 nodes and should not be relied on. Audited node by node against Exhibit 21.1, it shows the following defects. Identifiers: 76 of the 194 nodes, 39 per cent, carry a placeholder identifier prefixed with a hash character instead of a registration number; one further node, recorded as Atlas Cold Storage, carries 980353795, which is in the format of a US Employer Identification Number rather than a state file number. Jurisdiction coding: of the 97 nodes whose names match an Exhibit 21 entity and which carry a US state code, 29, or 30 per cent, contradict the state of organisation stated in the exhibit; not one node anywhere in the tree is coded Delaware, against 26 Delaware entities in the exhibit. Ten of those Delaware entities are present in the tree under another state, among them Roundy’s, Inc. coded Wisconsin, Fred Meyer, Inc. coded Oregon, Relish Labs LLC coded Illinois, Cala Co. and Food 4 Less Holdings, Inc. coded California, and Beech Tree Holdings, LLC coded Ohio. Box Cutter, Inc. is coded New Jersey while its identifier, 3697670, is a New York Department of State identifier whose register entry gives a service address at 1014 Vine Street, Cincinnati, Ohio; the entity is genuinely Kroger’s and Exhibit 21 confirms New York, so the state code alone is wrong.
Structure and duplication: 165 of the 193 non-root nodes hang directly off the root, so the real chains in Exhibit 21, such as Fred Meyer, Inc. above Fred Meyer Stores, Inc., or Dillon Companies, LLC and the Roundy’s entities, are largely flattened into a single tier. Twelve names appear twice, accounting for 24 nodes, among them Smith’s Food and Drug Centers, Inc., Fred Meyer Stores, Inc., Murray’s Cheese LLC, Sunrise Technology LLC, Queen City Assurance, Inc., Cala Co. and Hughes Markets, Inc.; further near-duplicates differ only in punctuation, such as Kroger Texas LP against Kroger Texas L.P. and Kiosk Medicine Kentucky LLC against Kiosk Medicine Kentucky, LLC. The registrant itself appears twice more as its own child, as Kroger Company and as The Kroger Company.
Content: 55 of the 193 non-root nodes, 28 per cent, have no counterpart in the current Exhibit 21.1. The largest clusters are twelve Kroger Specialty Pharmacy, Kroger Specialty Infusion, Modern HC Pharmacy and ModernHealth entities, relating to a business Kroger sold in fiscal 2024, and six Turkey Hill entities, relating to a dairy business no longer in the exhibit. Five further nodes are pre-acquisition Roundy’s entities, including Insurance Planners Inc, Badger Assurance, Ltd and Holt Public Storage, Inc, which do not appear in the current exhibit. At least six nodes are not legal entities at all: Mariano’s Grocery, Turkey Hill Minite Market and Kitchen 1883 are trading names, and Exhibit 21 in fact records Kitchen 1883 as a doing-business-as name of KRGP LLC; Fred Meyer Jewelers appears both as the corporation and separately as its trading name; Kroger Co. Distribution Center is a facility; and Tolleson Dairy Division of Kroger, Inc is described in its own name as a division.
One node was confirmed to belong to an unrelated company, checked in both directions rather than inferred from its name. The tree contains Mega Mart LLC with the identifier 3856676 coded New York. The New York Department of State active-corporations register records DOS ID 3856676 as MEGA MART LLC, a domestic New York limited liability company with an initial filing date of 16 September 2009 in Kings County and a service address at 162 Spencer Street, Brooklyn, New York. No entity of that name or identifier appears in Kroger’s Exhibit 21.1; the Kroger entity with a similar name is Mega Marts, LLC of Wisconsin, the operator of the Pick ‘n Save and Metro Market banners acquired with Roundy’s. The Brooklyn company is therefore a distinct third party pulled in by name similarity. A second node, Penske Logistics, is likewise absent from Exhibit 21.1, and Penske Logistics states on its own corporate site that it is a Penske Transportation Solutions company headquartered in Reading, Pennsylvania; it is not a Kroger entity, and its presence reflects a commercial logistics relationship rather than corporate ownership. No other node was tested to the same standard, so the remaining unmatched entries are recorded as unverified rather than as contamination.
Recent structural changes
Disposal of the Kroger Specialty Pharmacy business, completed during fiscal 2024, the year ended 1 February 2025. The Form 10-K for fiscal 2025 records that fiscal 2024 total sales included $2,021 million of Kroger Specialty Pharmacy sales and that a pre-tax gain of $79 million, $60 million net of tax, was recognised on the sale, together with a $31 million reduction in income tax expense from recognising related deferred tax assets.
Disposal of the Vitacost.com business during fiscal 2025, the year ended 31 January 2026. The same Form 10-K records a $34 million reduction in income tax expense from recognising deferred tax assets related to the sale, and identifies the sale as one reason eCommerce sales growth is presented on an adjusted basis.
The proposed merger with Albertsons Companies, Inc. did not complete. The Form 10-K for fiscal 2025 refers to the terminated merger with Albertsons, to merger-related third-party professional fees and credit facility fees, and to continuing litigation with Albertsons.
Data availability
Partial, subsidiaries only. Exhibit 21.1 gives a list of significant subsidiary names and their states of organisation but no registration numbers, no ownership percentages and no hierarchy, and US federal and state disclosure rules do not require a public group chart with ownership percentages for a listed corporation. Ownership percentage is therefore not disclosed for every relationship above. The absence of a parent is a positive finding rather than a gap: Kroger is a widely held listed issuer and is the ultimate parent of its own group. The 194-node tree shown elsewhere on this page has not been corrected and should be treated as indicative only.

The company states in its Form 10-K that it was founded in 1883 and incorporated in 1902. Note that the registry source shown on this profile is the Mississippi Secretary of State: for an Ohio corporation a Mississippi entry can only be a foreign-qualification registration, and the 21 November 1928 date carried in the record is not the incorporation date the company reports.
Who owns THE KROGER CO.?
The provider record supplied no shareholder rows for this company, which reflects missing data rather than an absence of shareholders. The proxy statement filed on 13 May 2026 discloses three beneficial owners of more than five per cent of Kroger common shares as of 28 April 2026, based on Schedules 13G: BlackRock, Inc. with 54,223,923 shares, 7.5%, as of 31 March 2025; Berkshire Hathaway Inc. with 50,000,000 shares, 7.0%, as of 31 December 2022; and State Street Corporation with 31,992,265 shares, 5.1%, as of 31 December 2025. The company is a widely held listed corporation with no controlling shareholder. The absence of an identified UBO is a disclosure limitation of US public-company reporting and is not evidence that no beneficial owner exists.

Sargent, J. Amanda Sourry Knox, Mark S. Sutton and Ashok Vemuri. Ronald L. Sargent is Chairman, non-executive from 1 July 2026. Gregory S. Foran became Chief Executive Officer effective 10 February 2026, David J. C. Kennerley is Chief Financial Officer, and George H. Vincent is Executive Vice President, General Counsel and Secretary; the Form 10-K names thirteen executive officers as of 25 March 2026. The five officer rows in the provider record are stale and of mixed vintage: one person last appears as an executive officer in a 2021 filing, one carries a title held for about a month in early 2024, and one resigned on 2 March 2025, yet all are flagged active with no appointment or resignation dates. The exhibit gives no registration numbers and no ownership percentages, so ownership percentage is not disclosed for any subsidiary. The 194-node corporate tree shown on this profile is unreliable: 39% of nodes carry placeholder identifiers, 30% of the state codes that can be checked contradict Exhibit 21, no node at all is coded Delaware against 26 Delaware entities in the exhibit, 165 of 193 non-root nodes are flattened to a single tier, twelve names are duplicated, and 55 nodes have no counterpart in the current exhibit, including twelve entities of a specialty pharmacy business sold in fiscal 2024 and six Turkey Hill entities. One node, Mega Mart LLC with New York DOS ID 3856676, was confirmed against the New York register to be an unrelated Brooklyn company, and Penske Logistics is a Penske Transportation Solutions company, not a Kroger entity.
