Erste Group Bank AG
Erste Group Bank AG is an Austrian public limited company (Aktiengesellschaft) and the listed parent institution of Erste Group. Its 2025 annual financial report records registration in the company register at the Commercial Court of Vienna under FN 33209m, with registered office at Am Belvedere 1, 1100 Vienna; the status on this page is Active. The registration date recorded here, 10 June 1993, falls in the year the savings bank’s operating business was transferred into a newly formed stock corporation. A Firmenbuch extract was not obtained.
Name history as recorded by the company: the 1993 stock corporation was named Die Erste österreichische Spar-Casse-Bank Aktiengesellschaft; it became Erste Bank der oesterreichischen Sparkassen AG in 1997, with the GiroCredit acquisition and the November 1997 flotation; and Erste Group Bank AG in 2008, when the Austrian retail business was demerged into a subsidiary that took over the earlier name. Separately, the bank dates its own lineage to the Erste oesterreichische Spar-Casse, founded in Vienna on 4 October 1819 — a corporate-history statement, not a register fact about FN 33209m.
The group provides deposit and payment accounts, consumer and mortgage lending, corporate and commercial real-estate finance, capital-market services, asset management and leasing to retail clients, small and medium-sized enterprises, large corporates and the public sector. Core markets are Austria, the Czech Republic, Slovakia, Romania, Hungary, Croatia and Serbia, joined by Poland in January 2026. At 31 December 2025 it reported 45,700 full-time equivalents, 1,804 branches and 16.7 million customers.
Erste Group Bank AG is a significant institution supervised directly by the European Central Bank under the Single Supervisory Mechanism, appearing on the ECB list of supervised entities (group-structure cut-off date 1 July 2026) under LEI PQOH26KWDF7CG10L6792, with size as the significance criterion. The Austrian Financial Market Authority and the Oesterreichische Nationalbank are the national authorities. The bank belongs to the Austrian savings-bank cross-guarantee scheme (Haftungsverbund) and an institutional protection scheme approved under Article 113(7) CRR.
The share trades on the Vienna Stock Exchange prime market under the symbol EBS and is also quoted in Prague and Bucharest; ISIN AT0000652011. Share capital is EUR 821,028,768, divided into 410,514,384 ordinary voting bearer shares.
The financial year is the calendar year. Consolidated IFRS figures for 2025: total assets EUR 368.6 billion at 31 December 2025; net result for the period EUR 4,297 million, of which EUR 3,510 million attributable to owners of the parent; CET1 ratio 19.3 per cent; NPL ratio 2.4 per cent. At 30 June 2026 consolidated total assets were EUR 461.1 billion, the CET1 ratio 15.2 per cent, the NPL ratio 2.3 per cent.
Material recent development: in May 2025 the bank agreed to acquire a 49 per cent stake in Santander Bank Polska Group S.A. and 50 per cent of Santander TFI S.A. The transaction closed on 9 January 2026; an extraordinary general assembly on 22 January 2026 resolved to rename the Polish bank Erste Bank Polska S.A.

Shareholders of Erste Group Bank AG
Erste Group Bank AG has a single class of ordinary voting bearer shares: 410,514,384 shares, share capital EUR 821,028,768, one vote per share and no preference or multiple-voting shares.
The company’s investor-relations shareholder-structure disclosure, as at 30 June 2026, breaks the register down as follows: DIE ERSTE österreichische Spar-Casse Privatstiftung (ERSTE Foundation), held directly, 6.08 per cent; Sparkassen Beteiligungs GmbH & Co KG 12.59 per cent; further foundations 3.71 per cent (comprising Erste Mitarbeiterbeteiligung Privatstiftung, the syndicated savings-bank foundations and own holdings of savings banks); Wiener Städtische Versicherungsverein 4.27 per cent; BlackRock, Inc. 5.05 per cent; other institutional investors 59.03 per cent; retail investors 5.71 per cent; identified trading positions 0.25 per cent; and unidentified holders 3.31 per cent. Free float is stated as 73.35 per cent. The four anchor positions listed first therefore account for 26.65 per cent of the share capital. At 31 December 2025 the same disclosure showed ERSTE Foundation at 6.01 per cent, Sparkassen Beteiligungs GmbH & Co KG at 12.59 per cent, further foundations at 3.59 per cent and Wiener Städtische Versicherungsverein at 4.27 per cent.
Major-holdings notifications published under sections 130 to 134 of the Austrian Stock Exchange Act 2018 (BörseG 2018):
- 26 February 2024 (threshold date 24 February 2024) — notification by a syndicate acting in concert under section 133 no. 1 BörseG 2018: 25.01 per cent of voting rights, being 105,252,558 votes out of 420,912,908 then outstanding, of which 5.76 per cent direct and 19.24 per cent indirect, with no positions through financial instruments. The reason given was a change in the total number of voting rights. The eighteen notifying parties are Sparkassen Beteiligungs GmbH & Co KG, DIE ERSTE österreichische Spar-Casse Privatstiftung, Erste Mitarbeiterbeteiligung Privatstiftung, Wiener Städtische Wechselseitiger Versicherungsverein Vermögensverwaltung – Vienna Insurance Group, and fourteen savings-bank foundations and share-administration bodies: Sparkasse Herzogenburg-Neulengbach Privatstiftung, Privatstiftung Sparkasse Reutte, Steiermärkische Verwaltungssparkasse, Privatstiftung Kärntner Sparkasse, Privatstiftung Sparkasse Rattenberg, Sparkasse Poysdorf Privatstiftung, Privatstiftung Sparkasse Pöllau, Sparkasse der Stadt Horn Privatstiftung, Sparkasse Ravelsbach Privatstiftung, Anteilsverwaltung Kirchberg am Wagram, Sparkasse Scheibbs Privatstiftung, Privatstiftung der Sparkasse Dornbirn, Privatstiftung Sparkasse Krems and Anteilsverwaltung Allgemeine Sparkasse.
- 4 December 2025 (threshold date 3 December 2025) — BlackRock, Inc., Wilmington, United States: 5.05 per cent of voting rights attached to shares plus 0.06 per cent through instruments, 5.11 per cent in total, against 410,514,384 total voting rights; the previous notified position was 4.95 per cent plus 0.07 per cent.
- Further BlackRock notifications crossing the 5 per cent threshold were published on 3 December 2025, 26 November 2025, 24 November 2025 and 3 July 2025, and in earlier years.
No other holder has notified a position at or above the Austrian 4 per cent disclosure threshold in its own name; Wiener Städtische Versicherungsverein is disclosed as part of the syndicate rather than separately.
Ultimate beneficial ownership
There is no controlling shareholder and no natural-person ultimate beneficial owner in the ordinary sense.
The anchor of the register is DIE ERSTE österreichische Spar-Casse Privatstiftung, together with the Austrian savings banks and their own foundations, acting under a shareholders’ agreement notified as a concert party. A Privatstiftung is an Austrian private foundation under the Private Foundations Act: a self-owning legal entity with no shareholders and no members. Its assets are dedicated to a purpose set out in its founding deed and are administered by a foundation board; beneficiaries hold entitlements to distributions, not ownership or voting control of the foundation. ERSTE Foundation is the legal successor of the association that founded the original Erste oesterreichische Spar-Casse, and its stated purpose is to safeguard the independence of Erste Group and to apply part of its income to charitable purposes in the region. Because the foundation owns itself, the chain of ownership terminates there: it cannot be traced through to a natural person who owns or ultimately controls Erste Group Bank AG.
The syndicated block notified in February 2024 stood at 25.01 per cent of voting rights, below the 30 per cent threshold at which a mandatory offer is triggered under Austrian takeover law, and the shareholder-structure disclosure puts the equivalent anchor holdings at 26.65 per cent as at 30 June 2026. Under the articles of association, DIE ERSTE österreichische Spar-Casse Privatstiftung has a right to nominate up to one third of the supervisory board members to be elected by the annual general meeting; the 2025 corporate governance report states that the foundation has not exercised this right to date. This is a governance entitlement, not a controlling interest.
For beneficial-ownership screening, the practical consequence is that the relevant parties are the foundation and its foundation board, the savings-bank entities in the syndicate, and the senior managing officials of the bank — not a natural-person owner.
Data availability
All figures above are taken from the company’s own investor-relations shareholder-structure disclosure (dated 30 June 2026 and 31 December 2025) and from the major-holdings notifications published by the company under sections 130 to 134 BörseG 2018, each dated as shown. Percentages in the shareholder-structure disclosure are the company’s own estimates based on custodian and registrar information and may contain rounding differences; the notifications are regulatory filings by the notifying parties.
The shareholder rows previously held in the record behind this page were not used. They listed investment funds — among them Vanguard Total International Stock Index at 14.74 per cent, Fidelity Advisor International Capital Appreciation at 9.83 per cent, Vanguard Developed Markets Index at 8.81 per cent and Aristotle Capital Management at 5.31 per cent — across 23 rows of foreign funds with share counts in the millions against 410,514,384 shares outstanding. Those percentages are not consistent with the company’s disclosures or with any notification filed under BörseG 2018, and the rows appear to be a custody or fund-holdings sample rather than a statement of ownership. Aggregated positions of that kind sit inside the free float and inside the institutional-investor line of the company disclosure.
Not established here: the internal composition of Sparkassen Beteiligungs GmbH & Co KG, the identities of the members of the ERSTE Foundation foundation board, and the current terms of the shareholders’ agreement itself, which is not published.

Directors and officers of Erste Group Bank AG
As an Austrian Aktiengesellschaft, and as a credit institution, Erste Group Bank AG has a two-tier board structure. The Vorstand (management board) runs the company and represents it externally. The Aufsichtsrat (supervisory board) appoints, supervises and advises the management board; it is not a management body, and its own composition is subject to supervisory fit-and-proper assessment. The two bodies are separate and no person may serve on both.
Management board (Vorstand) — as disclosed in the corporate governance report for the 2025 financial year, with the date of initial appointment and the expiry of the current term of office:
- Peter Bosek — Chairman (Chief Executive Officer); initially appointed 1 July 2024; current term to 30 June 2027. Responsible for group people and culture, group secretariat and legal, group audit, communications and corporate affairs, brand and innovation, investor relations, strategy, the transformation office and retail development.
- Stefan Dörfler — member; initially appointed 1 July 2019; current term to 31 December 2027. Responsible for group balance sheet management, performance management, data management and accounting.
- Alexandra Habeler-Drabek — member; initially appointed 1 July 2019; current term to 31 December 2027. Responsible for group compliance and the credit, operational, liquidity and market risk functions.
- Maurizio Poletto — member; initially appointed 1 January 2021; current term to 31 December 2027. Responsible for platform governance, group-functions IT, banking services and group security.
Ingo Bleier, initially appointed 1 July 2019 and responsible for group corporates, commercial real estate, investment management, markets and research, announced that he would serve his term to 30 June 2026 and would not accept an extension. The half-year financial report 2026, signed in Vienna on 30 July 2026, is signed by four management board members only.
The internal rules of the management board do not provide for committees drawn from its own members.
Supervisory board (Aufsichtsrat) — members elected by the annual general meeting, with the date of initial appointment and the annual general meeting at which the current term expires:
- Gottfried Haber — Chair since 21 May 2025; initially appointed 21 May 2025; term to the 2029 annual general meeting.
- Elisabeth Krainer-Senger-Weiss — First Vice Chair; initially appointed 21 May 2014; term to the 2027 annual general meeting.
- Christine Catasta — Second Vice Chair; initially appointed 1 July 2022; term to the 2026 annual general meeting.

- Alois Flatz — member; initially appointed 18 May 2022, re-elected 21 May 2025; term to the 2029 annual general meeting.
- Marion Khüny — member; initially appointed 17 May 2017; term to the 2026 annual general meeting.
- Caroline Kuhnert — member; initially appointed 1 August 2024; term to the 2027 annual general meeting.
- Friedrich Santner — member; initially appointed 10 November 2020; term to the 2027 annual general meeting.
- Michael Schuster — member; initially appointed 19 May 2021; term to the 2028 annual general meeting.
- Walter Schuster — member; initially appointed 22 May 2024; term to the 2027 annual general meeting.
- Gabriele Semmelrock-Werzer — member; initially appointed 21 May 2025; term to the 2029 annual general meeting.
- Christiane Tusek — member; initially appointed 12 May 2023; term to the 2026 annual general meeting.
Employee representatives delegated to the supervisory board by the employees’ council — under Austrian law the works council delegates one employee representative for every two members elected by the annual general meeting. These members are delegated until further notice rather than for a fixed term:
- Martin Grießer — delegated 26 June 2019.
- Markus Haag — delegated 21 November 2011.
- Regina Haberhauer — delegated 12 May 2015.
- Jakob Hofstädter — delegated 8 May 2024.
- Barbara Pichler — delegated 9 August 2008.
- Karin Zeisel — delegated 9 August 2008.
Nationality is recorded in the corporate governance report for supervisory board members only. On that basis all supervisory board members named above are recorded as Austrian nationals, except Caroline Kuhnert, recorded as holding Austrian and Swiss nationality. For the management board members, nationality is not disclosed in the sources used.
Recent officer changes
- 24 March 2025 — Mariana Kühnel resigned from her supervisory board mandate.
- 21 May 2025 — at the annual general meeting, Gottfried Haber and Gabriele Semmelrock-Werzer were newly elected to the supervisory board and Alois Flatz was re-elected; Friedrich Rödler, a supervisory board member since 4 May 2004 and Chair until that date, left the board. Gottfried Haber was elected Chair at the constituent meeting held after the annual general meeting.
- 30 June 2026 — the management board mandate of Ingo Bleier expired at the end of its term and was not extended.
Data availability
The board data above is taken from the corporate governance report for the 2025 financial year and from the half-year financial report 2026, both published by the company. Board changes occurring after 30 July 2026 are not reflected. The allocation of responsibilities shown is the one disclosed for the 2025 financial year.
The officer list previously held in the record behind this page was not usable and was rebuilt rather than corrected. It contained 18 undated rows that merged the management board and the supervisory board into a single list, so that the two-tier structure required by Austrian company law was not visible. Academic titles and abbreviations had been concatenated into personal names, producing entries such as “Magistrate Willibald Cernko”, “Peter Bosek Mp”, “Magistrate Alexandra Habeler-bek Mag.” and “Gernot Mittendorfer M.b.a., Mp” — the fragment “mp” being manu propria, a signature marker rather than part of a name. The same individual appeared more than once with contradictory functions, for example Willibald Cernko as both “Chief Executive Officer” and “Advisor”, and roles such as “Advisor” and “Consultant” are not offices of an Austrian Aktiengesellschaft. Several of the individuals named had left the company before the period covered here. No date of birth is published on this page; birth years held in the record have been excluded, and academic titles are not published as part of any name.
Not established here: the registered representation authority (Vertretungsbefugnis) and Prokura entries as recorded in the Firmenbuch, which would require a paid register extract.

Group Structure
Group structure of Erste Group Bank AG
Nothing sits above this entity. Erste Group Bank AG is the ultimate parent of Erste Group and has no parent undertaking. Its own consolidated financial statements describe it as the ultimate parent entity of the group and as the entity at which the regulatory scope of consolidation is drawn; the European Central Bank supervises it directly at the highest level of consolidation in Austria. No shareholder controls it (see the shareholder section). This determines how the rest of this page reads: the group tree runs downward only, and there is no upstream owner to trace.
The IFRS scope of consolidation at 31 December 2025 comprised 281 companies including Erste Group Bank AG as parent, against 299 at 31 December 2024. Of these, 49 are members of the Austrian savings-bank cross-guarantee scheme (Haftungsverbund); the scope also includes the IPS GesbR ex-ante fund. The table below shows the material fully consolidated subsidiaries disclosed in the annual report, with the group interest at the stated date.

Branches. The 2025 annual financial report states that Erste Group Bank AG maintains branches in New York, Hong Kong and Germany (Berlin and Stuttgart), providing commercial banking services. A German Zweigniederlassung is a registered establishment of the bank itself: it has no separate legal personality, no share capital and no owner, and it cannot hold an ownership percentage. It should be read as an establishment of FN 33209m, not as a group company. The same applies to a branch office of Banca Comercială Română in Lugoj, Romania: that is a branch of the Romanian subsidiary, one level further down, and not an entity in its own right.
Foundations. Nadácia Slovenskej sporiteľne is a Slovak foundation associated with Slovenská sporiteľňa. An endowed foundation has no shareholders and no owner; it is not an equity participation and does not belong in an ownership tree as a subsidiary. Foundations of this kind carry out corporate-giving activity and are not consolidated as owned undertakings.
Scale of the remaining group. Beyond the entities in the table, the consolidated group includes dozens of Austrian member savings banks brought into the scope through the cross-guarantee scheme, many of which are consolidated at a group interest of 0.0 per cent because they are consolidated on the basis of control through the scheme rather than through equity. It also includes a large number of leasing and property companies in the Immorent chain and asset-management subsidiaries in the core markets.
Data availability
The parent position, the total of 281 consolidated companies and every ownership percentage above are taken from the scope-of-consolidation note and the list of wholly or partly owned companies in the 2025 annual report, at 31 December 2025. The Polish holding is taken from the same report’s subsequent-events note and from the half-year financial report 2026.
Entities not verified: registration numbers were not checked entity by entity against the national registers of the Czech Republic, Slovakia, Romania, Hungary, Croatia, Serbia, Montenegro, Poland or Austria, and are shown as “Not verified” where no checked number is available. The registration number shown for Slovenská sporiteľňa is the one carried in the record behind this page and was not independently confirmed. The 126-node group tree held on file was not verified node by node; only the entities listed above were checked against the annual report. The existence of Nadácia Slovenskej sporiteľne and of the Lugoj branch office was not confirmed against a register, and they are characterised above by entity type rather than asserted as facts about their current status.
The group tree on file is plausible in shape for a banking group of this size, but it conflates three different things — subsidiaries, branches of the bank and of its subsidiaries, and a foundation — and should not be read as an ownership structure without the distinctions set out above.
