Fernseh-Berlet GmbH & Co. KG is a limited partnership, so it has partners rather than shareholders. The commercial register (Amtsgericht Hagen, HRA 3079) lists three partners. The only general partner (persönlich haftender Gesellschafter) is Berlet Verwaltungsgesellschaft mbH of Hagen (Amtsgericht Hagen HRB 2391). The register does not record general partners’ capital contributions, so whether it holds any capital is not public. The two limited partners (Kommanditisten), with their registered liability contributions (Hafteinlagen), are:

A Hafteinlage caps a limited partner’s liability to creditors, and the register itself publishes no percentage. A written shareholders’ resolution of 19 and 20 December 2023, filed in the register folder of the general partner (HRB 2391), gives the capital position. In it the two limited partners describe themselves as holders of capital shares (Kapitalanteile) of EUR 1,312,500 and EUR 787,500, which together represent the partnership’s entire capital of EUR 2,100,000. On that basis EURONICS Beteiligungsgesellschaft mbH holds 62.5% of the partnership’s capital and Elke Kampschulte 37.5% (calculated). The same document does not state profit or voting shares. These may differ under the partnership agreement, which is not public. Trade press reported on 13 September 2018 that EURONICS Deutschland eG had taken a majority of the partnership effective 1 July 2016.

The register entries of 15 November 2016 record the change. The former limited partner Peter Berlet left. Part of his interest passed by special succession (Sonderrechtsnachfolge): EUR 255,000 to Elke Kampschulte and EUR 255,000 to EURONICS Beteiligungsgesellschaft mbH, which joined as a limited partner. Both contributions were then raised, to EUR 1,312,500 and EUR 787,500. Before that date, Peter Berlet and Elke Kampschulte each held a registered contribution of EUR 510,000, entered on 28 July 2006.

Ultimate beneficial ownership

Elke Kampschulte held 37.5% of the capital of Fernseh-Berlet GmbH & Co. KG directly, according to the December 2023 resolution. Under § 3(2) sentence 1 no. 1 of the German Money Laundering Act (GwG), any natural person who holds more than 25% of the capital shares counts as a beneficial owner. On that filed figure she meets the definition (direct interest, information date 20 December 2023). No source examined shows who holds EURONICS Beteiligungsgesellschaft mbH, so no beneficial owner can be traced through the 62.5% interest. The partnership’s own Transparency Register (Transparenzregister) entry is not public. The register has not been open to general public inspection since 22 November 2022, when the Court of Justice of the EU (C-37/20 and C-601/20) held invalid the rule giving any member of the public access to such registers.

Data availability

Partial. The commercial register publishes every partner and each limited partner’s liability contribution. Capital shares are known only from the December 2023 resolution, and profit and voting shares are not public. Beneficial-ownership data is Restricted. The stored provider rows give the same two names, amounts and percentages, but present them as “ordinary shares” of EUR 1 and type the corporate partner as a person. A limited partnership issues no shares.

Directors and officers of Fernseh-Berlet GmbH & Co. KG

Fernseh-Berlet GmbH & Co. KG is a GmbH & Co. KG, so it has no directors of its own. It is managed and represented by its general partner, Berlet Verwaltungsgesellschaft mbH of Hagen (Amtsgericht Hagen HRB 2391), which is a corporate officer. The partnership’s register sheet (HRA 3079) states that each general partner represents the partnership alone. It records no Prokura (statutory commercial power of attorney).

The general partner’s own register sheet names two managing directors (Geschäftsführer): Mario De Pilla and Jan Gawronski. Both are recorded as resident in Germany. The same sheet records one joint Prokura (Gesamtprokura) for Jörg Geikowski, exercisable together with a managing director or another Prokurist. Where several managing directors are appointed, the general partner is represented by two of them jointly or by one together with a Prokurist. The company’s legal notice (Impressum) lists the same two managing directors and describes Mario De Pilla as chair (Vorsitz). Trade press reported on 30 April 2024 that he took over management of the Berlet stores on 1 May 2024.

Recent officer changes

• 15 November 2016: Georgios Tzimas left the partnership as a personally liable partner (persönlich haftender Gesellschafter). The register had shown him as excluded from representation. Since then the GmbH has been the only general partner (HRA 3079, entry 8).
• 20 December 2023: by written shareholders’ resolution of the general partner, Lars Biermann was removed as its managing director with immediate effect (resolution filed under HRB 2391).
• 1 May 2024: Mario De Pilla took over management as chair of the management board, according to ChannelPartner (30.04.2024). His entry on the general partner’s sheet is current as of the printout of 15 October 2026.

Data availability

Partial. The German commercial register publishes managing directors, Prokuristen, the representation rules and each person’s town of residence. It does not publish nationality, so nationality is Not disclosed for every officer here. The three officer cards from the data provider do not match the register. Two are limited partners (Kommanditisten), who by law do not manage the partnership, and one of them left on 15 November 2016. The third is the former personally liable partner who left on the same day. All three cards carry 16 July 2003 as the appointment date. That is the day the paper register sheet was transferred to the electronic register, not an appointment. The cards also show two people who left in 2016 as active, and they omit the general partner and its managing directors.

Group structure of Fernseh-Berlet GmbH & Co. KG

Fernseh-Berlet GmbH & Co. KG belongs to the corporate group headed by EURONICS Deutschland eG, the electronics-retail cooperative based in Ditzingen. The Bundesanzeiger index names the partnership as an exempt undertaking included in the consolidated financial statements of EURONICS Deutschland eG for each financial year from 2016/17 to 2021/22, the last published 1 June 2023. EURONICS Beteiligungsgesellschaft mbH of Ditzingen (Amtsgericht Stuttgart HRB 203514) has been a limited partner since 15 November 2016, and trade press dates the cooperative’s majority to 1 July 2016. The partnership’s general partner, Berlet Verwaltungsgesellschaft mbH (Amtsgericht Hagen HRB 2391), exists to act as its personally liable managing partner. A shareholders’ resolution of December 2023 treats the shareholder rights in that general partner as rights of the partnership, exercised by the limited partners. That is the pattern of a unitary limited partnership (Einheits-KG), in which the partnership holds its own general partner. No shareholder list was available to confirm it. The same resolution puts EURONICS Beteiligungsgesellschaft mbH’s capital share at 62.5%. This profile could not establish the chain of holdings from that company up to the cooperative, or any subsidiary of the partnership.

Partial. The commercial register confirms the partners and the four absorbed companies. The consolidation link comes from the Bundesanzeiger index only, because the accounts themselves sit behind a security check, and filings from financial year 2022/23 onwards are in the Unternehmensregister, which could not be searched. The data provider’s group tree also shows two companies, MVI Media Vertrieb International GmbH and Technik Planet GmbH, as subsidiaries of this partnership. No filing examined confirms either link, so they are not listed above. The tree’s identifiers combine a postcode with a register number and are not register numbers.
