Shareholders of Idox Limited

Idox Limited has one registrable shareholder on the public record. Companies House shows Frankel UK Bidco Limited, registered in England under number 16802556, as a person with significant control notified on 5 May 2026, holding more than 75% of the shares and more than 75% of the voting rights and holding the right to appoint or remove directors. The UK register publishes bands rather than exact percentages, so no precise figure is available. Until that filing the company carried the opposite entry: a statement made on 23 October 2019 that it knew of no registrable person or relevant legal entity, which was withdrawn on 5 May 2026. That statement is the normal position for a widely held listed company, and it is the reason no shareholder appeared on this register before 2026.

The last published analysis of the wider shareholder base is the directors’ report in the audited annual report for the year ended 31 October 2025, approved on 16 February 2026, which lists interests of 3% or more of the issued share capital as at 31 October 2025. Idox was a UK issuer admitted to AIM, so vote-holder notifications were made under DTR 5 at a 3% threshold rather than the 5% threshold that applies to non-UK issuers. The list therefore covers only reportable holdings, never the whole shareholder base.

That list has been superseded. On 28 October 2025 Frankel UK Bidco Limited and Idox announced a recommended all-cash acquisition under Rule 2.7 of the Takeover Code at 71.5 pence per share, which the annual report states valued Idox at £339.5m. A scheme document was published on 20 November 2025; the court and general meetings were adjourned on 15 December 2025; on 5 January 2026 the structure was switched, with the consent of Idox and the Takeover Panel, to a contractual takeover offer, whose offer document was posted on 15 January 2026. The offer was declared unconditional on 21 April 2026. At 5.00pm on 11 May 2026 valid acceptances covered 405,036,497 Idox shares, approximately 90.2% of the shares to which the offer related, and Frankel exercised the statutory squeeze-out under sections 979 and 980 of the Companies Act 2006. There were 461,682,046 ordinary shares of 1p in issue at 16 April 2026; a statement of capital filed on 22 April 2026 records an allotment taking the aggregate nominal ordinary capital to £4,748,428.85.

Ultimate beneficial ownership

No natural person is registered as a person with significant control of Idox Limited. Above the immediate parent, each company in the chain filed on 22 October 2025 at the same “75% or more” band: Frankel UK Bidco Limited (16802556) is held by Frankel UK Midco 2 Limited (16802421), which is held by Frankel UK Midco 1 Limited (16802301), which is held by Frankel UK Holdco Limited (16802144). Frankel UK Holdco Limited’s own register names one natural person, William Brennan, whose nationality is recorded as American and place of residence as the United States, notified on 22 October 2025 on the ground of significant influence or control rather than on a shareholding. That ground carries no percentage band, so no effective ownership percentage can be calculated through the chain, and he is not registered as a person with significant control of Idox Limited itself. The offeror’s own announcements state that Frankel UK Bidco Limited is indirectly owned by four Long Path funds: Long Path Co-Investment Fund #6, LP; Long Path Smaller Companies Fund, LP; Long Path Smaller Companies Master Fund, Ltd.; and Long Path Opportunities Fund II, LP. No split between those funds is published, so no single ultimate beneficial owner of Idox Limited is established on the public record.

Data availability

Partial. The United Kingdom does not publish a share register, so holdings are disclosed only in bands above the 25% PSC threshold; the pre-takeover holder list is historical, dated 31 October 2025, and covered only holdings at or above the 3% notification threshold. The shareholder rows stored on this page do not reconcile and should not be read as ownership: ten institutional fund rows totalling 2,719,171 shares, about 0.6% of the 461,682,046 shares then in issue, carry percentages summing to roughly 100%, including Artisan International Explorer Fund shown at 69.59% for 1,892,187 shares, which is about 0.41% of the shares in issue. Those rows are stamped 28 September 2026, four months after the shares ceased to be admitted to trading and the company came under a single 75%-plus holder.

Companies House records 36 appointments for company 03984070, of which 33 have ended, leaving three current officers. They are Anoop Kang, appointed director on 16 March 2022; Jonathan Legdon, appointed director on 25 October 2024; and Thérèse Laing, appointed secretary on 26 July 2024. The register records the nationality of both current directors as British and their place of residence as England; it publishes no nationality for the serving secretary. The annual report for the year ended 31 October 2025 describes Anoop Kang as Group Chief Financial Officer and Jonathan Legdon as Group Chief Operating Officer; Companies House itself records no occupation for either. All three correspondence addresses are the company’s registered office in Woking and are service addresses, not home addresses. There are no corporate officers in post. Two defects in the officer data stored for this page should be noted. First, it holds 29 of the register’s 36 appointments and marks Mark Francis Milner as an active director although his appointment ended on 29 May 2026 and the TM01 was filed on 3 June 2026; four of the five terminations of that date were captured and his was not. Second, the corporate officer L.C.I. Secretaries Limited holds both a secretary and a director appointment on the register for 26 April 2000 to 13 November 2000, where the stored data records only the secretary role. Below Idox Limited, the audited financial statements for the year ended 31 October 2025 list 17 subsidiary undertakings, 12 held directly and 5 indirectly, and state that every subsidiary is 100% wholly owned. The jurisdictions represented are England, Scotland, the United States, France, India, Germany, the Netherlands and Malta. The subsidiary information is dated 31 October 2025; the parent information is dated 5 May 2026 for the immediate parent and 22 October 2025 for the chain above it. The eight UK-registered subsidiaries were re-checked against Companies House on 29 September 2026 and all are Active.

• 12 May 2025: acquisition of Trojan Consultants Limited (01542629), which trades as Plianz and supplies health and social care software, for an initial enterprise value of £7.65m in cash.
• Shortly after the 31 October 2025 year end: the asset purchase of Ayup for £0.3m in cash. This was a purchase of assets, not of shares, so it adds no legal entity to the structure.
• 5 May 2026: change of parent. Frankel UK Bidco Limited was notified as the company’s person with significant control, replacing the withdrawn statement that there was no registrable person or relevant legal entity.

Data availability

Partial, and better than the stored data suggests. The parent chain is fully documented because every UK company must maintain a PSC register, but those entries give bands rather than percentages, so no exact ownership figure exists for any link in it. The subsidiary list is complete and audited but is dated 31 October 2025 and carries registration numbers only where this review could match them at Companies House. The corporate tree stored for this page is unreliable in three ways: it shows no parent at all, so the 2026 change of control is invisible in it; it omits Idox France SARL, McLaren Software Inc, CT Space Inc and Citadon Inc; and it contains three entities that appear in neither the FY2024 nor the FY2025 audited subsidiary note – Sponge Belgium (Belgian enterprise number 0456.754.093, which the Crossroads Bank for Enterprises shows as an active company with a 30 April financial year end, against Idox’s 31 October), Compunet Ltd and 6PM Agencies Ltd.
