Methode Electronics, Inc. is a Delaware corporation whose common stock trades on the New York Stock Exchange under the symbol MEI. It reports to the US Securities and Exchange Commission under Commission File Number 001-33731 and Central Index Key 0000065270. The Global Legal Entity Identifier Foundation holds the company under LEI 529900VM413LGLUS3F07 and validates its registration, at the fully corroborated level, against the Delaware Division of Corporations (registration authority RA000602) as file number 640418, with an entity creation date of 27 April 1966. The annual report on Form 10-K for the financial year ended 2 May 2026 states Delaware as the state of incorporation and gives the principal executive offices as 25650 West Eleven Mile Road, Southfield, Michigan 48034-2253.

Methode Electronics designs, engineers and manufactures mechatronic products for original equipment manufacturers and tiered suppliers. The same annual report describes capabilities in power distribution, including busbars, smart connect systems, battery disconnect units and integrated circuit boards, alongside user interface components, light-emitting diode lighting and sensor applications. End markets include automotive, commercial vehicle, e-bike, aerospace, bus and rail, cloud computing and data centre infrastructure, and construction equipment. Financial reporting is organised in three segments, Automotive, Industrial and Interface, which produced 45.9 per cent, 51.4 per cent and 2.7 per cent of consolidated net sales in the year ended 2 May 2026. A fourth segment, Medical, was last reported for the year ended 27 April 2024.

Consolidated net sales for the year ended 2 May 2026 were USD 1,019.2 million, 2.8 per cent below the USD 1,048.1 million of the preceding year, and the consolidated net loss was USD 35.7 million. The company reported approximately 6,650 employees and 263 contractors at 2 May 2026, about 93.9 per cent of them outside the United States, with sales, engineering and manufacturing locations in North America, Europe, the Middle East and Asia. Its five largest customers accounted for about 41 per cent of consolidated net sales, one of them for 10.9 per cent. Consolidated net sales for the quarter ended 1 August 2026 were USD 265.4 million, 10.4 per cent above the comparable quarter, with a net loss of USD 11.4 million.

On 14 May 2026 the company reported that the SEC staff had concluded an investigation of it and did not intend to recommend an enforcement action. In the fourth quarter of the year ended 2 May 2026 it divested its dataMate business, previously reported within the Interface segment. The Illinois Secretary of State file number shown on this page could not be tested: that register refused every request with HTTP 403 from three separate network paths on 6 October 2026.

Shareholders of Methode Electronics, Inc.

Methode Electronics, Inc. has a single class of common stock of USD 0.50 par value, listed on the New York Stock Exchange as MEI. The cover of its quarterly report for the period ended 1 August 2026 states 35,645,053 shares outstanding at 31 August 2026, and its annual report records 346 holders of record at 18 June 2026, excluding shares held in nominee or street name. Because the company is listed, only holdings reportable under sections 13(d) and 13(g) of the Securities Exchange Act are published; there is no public list of the whole shareholder base. The proxy statement filed on 31 July 2026, which uses a record date of 23 July 2026, names three beneficial owners of more than 5 per cent of the common stock. All three figures are beneficial ownership, meaning voting or dispositive power, and not registered holdings: the shares attributed to Ameriprise Financial, Inc. are held of record by its subsidiary Columbia Management Investment Advisers, LLC.

Reportable holder Shares Per cent of class As at Filing
BlackRock, Inc. 2,579,422 7.3 (proxy); 7.2 stated in the filing itself 31 March 2025 Schedule 13G/A filed 24 April 2025
T. Rowe Price Investment Management, Inc. 2,088,968 5.9 31 March 2026 Schedule 13G filed 15 May 2026
Ameriprise Financial, Inc. 1,979,281 5.6 31 March 2026 Schedule 13G filed 15 May 2026

Two further movements are on the public record. The Vanguard Group, Inc. filed an amended Schedule 13G on 27 March 2026 reporting nil: zero shares beneficially owned, zero sole and shared voting power and zero sole and shared dispositive power, with a class percentage of 0. Its last previous report was 2,900,422 shares, about 8.2 per cent, at 30 September 2024. No Vanguard subsidiary or business division has since filed an individual report above 5 per cent for this issuer, and the company therefore omits Vanguard and its affiliates from its own table. Separately, FMR LLC reported 3,046,876 shares, 8.7 per cent, in an amendment filed 8 September 2025, and 1,561,443 shares, 4.4 per cent, in an amendment filed 5 November 2025, falling below the reporting threshold.

Ultimate beneficial ownership

No natural person is identifiable as an ultimate beneficial owner of Methode Electronics, Inc. Every reportable holder on the public record is an asset manager, a holding company of an asset manager, or a fund, and a position reported on Schedule 13G is an investment position held for clients rather than control of the company. No holder reports 10 per cent or more, no Schedule 13D has been filed, and the proxy statement discloses no controlling shareholder. Beneficial-ownership information filed with FinCEN would not assist: that database is non-public and exempt from the Freedom of Information Act, and under the final rule of 11 August 2026 United States domestic companies are exempt from beneficial-ownership reporting altogether.

Data availability

Availability is major shareholders only. Delaware, the state of incorporation, does not publish shareholder registers, and a listed company’s full register is not public anywhere in the United States; the reportable holdings above are the complete public picture at their stated dates.

The shareholder rows stored against this page do not reconcile and should not be relied on. The stored field reports 6 results across 2 pages but holds only 5 rows, so one row the provider itself counts is not stored. The five stored percentages imply two different totals for the same company, split by the provider’s own row identifiers: four rows whose identifiers begin 7194 imply 23,730,724 shares, and the single row whose identifier begins 7090 implies 23,438,185. Against the 35,645,053 shares on the latest quarterly cover those denominators overstate every percentage by factors of 1.502 and 1.521. Recomputed on the filed share count, the stored quantities correspond to 8.95 per cent, 3.11 per cent, 2.42 per cent, 2.35 per cent and 1.81 per cent, not the stored 13.45, 4.73, 3.63, 3.53 and 2.71. The largest stored row names The Vanguard Group with a verification date of 4 September 2026, five months after that filer reported nil. The largest reportable holder on the public record, BlackRock, Inc., is absent from the stored rows altogether, while one BlackRock fund, the iShares Russell 2000 ETF, appears as a holder line of its own; T. Rowe Price Investment Management and Ameriprise Financial are absent as well. Every row carries an identical share price of 8.49, and the stored total value is simply that price multiplied by the quantity, so it is a price-based estimate and not a capital figure.

Officers

Directors and officers of Methode Electronics, Inc.

Methode Electronics, Inc. is governed by a board of seven directors, all elected at the annual meeting of stockholders held on 16 September 2026 to hold office until the 2027 annual meeting. They are Mark D. Schwabero, Chairman of the Board since September 2024 and a director since 2019; Jonathan B. DeGaynor, President and Chief Executive Officer since July 2024 and a director since 2024, and the only director the board does not treat as independent; Brian J. Cadwallader, a director since 2018; David P. Blom and Bruce K. Crowther, directors since 2019; and Therese M. Bobek and Mary A. Lindsey, directors since 2020. Mary A. Lindsey chairs the Audit Committee and Bruce K. Crowther the Compensation Committee. Alongside the board the annual report for the year ended 2 May 2026 identifies five executive officers, and the proxy statement counts all current directors and executive officers together as eleven persons. Appointment information is published to the year for directors and to the month for executive officers; the company does not publish exact appointment dates and no nationality is disclosed for any of them.

Office Holder Held since (as published)
President and Chief Executive Officer Jonathan B. DeGaynor July 2024
Chief Financial Officer Laura Kowalchik October 2024
Chief Procurement and EHS Officer John T. Erwin March 2025 (Chief Procurement Officer from July 2024)
Senior Vice President, Global Automotive Business Lars Ullrich December 2024
General Counsel Kerry A. Vyverberg June 2022 (Vice President Legal Affairs from February 2021)

Recent officer changes

  • 16 September 2026: at the annual meeting David P. Blom received 7,050,790 votes for and 21,241,811 against his re-election. Under the resignation policy in the company’s Corporate Governance Guidelines he tendered a conditional resignation; the Nominating and Governance Committee recommended that it be rejected and the board rejected it, so he continues in office until the 2027 annual meeting. He took no part in either decision. Reported in a current report on Form 8-K filed 17 September 2026.
  • March 2025: John T. Erwin’s office was changed from Chief Procurement Officer, held since July 2024, to Chief Procurement and EHS Officer. Reported in the annual reports for the years ended 3 May 2025 and 2 May 2026.

Data availability

Availability is current only, and the source is the company’s own filings with the US Securities and Exchange Commission rather than a register. Delaware, the state of incorporation, publishes no free searchable list of directors or officers: its entity search at icis.corp.delaware.gov is captcha-gated, which was confirmed on 6 October 2026. Nationality is not disclosed, and neither the securities filings nor the state register publish it; residence is not disclosed either, and no residential address is published for any officer. Dates of birth are not published; the proxy statement gives ages only.

The officer rows stored against this page should not be read as a current board or management list. The stored field itself reports 20 results across 4 pages while holding only 5 rows, so 15 rows the provider counts are neither stored nor auditable. None of the seven directors appears in the stored rows at all. Of the five stored rows, only the one titled Chief Financial Officer corresponds to a person named as an executive officer in the annual report for the year ended 2 May 2026; the other four name individuals who are absent from the executive officer list in both that report and the report for the year ended 3 May 2025, and whose last appearance anywhere in the company’s own filings with the Commission is 2020 in one case and 2025 in two others, measured by full-text search of the Commission’s archive restricted to this filer. Every one of the five rows nevertheless carries a work status of ACTIVE with an empty resignation date, and every one has an empty appointment date, so nothing in the stored data distinguishes a serving officer from a former one. Name handling is also unreliable: in three of the five rows a middle name or initial has been absorbed into the surname field. One row carries a birth year together with a birth month of 1, a value that corresponds to no published source and is a known fill value; it is not reproduced here. Every row records a country of US with an empty street address and no locality, region or postal code, and that country field is neither nationality nor residence.

Group Structure

Group structure of Methode Electronics, Inc.

Methode Electronics, Inc. is the top entity in its own reporting. Its annual report consolidates the company and its subsidiaries and names no parent undertaking, and no immediate or ultimate parent is reported for it anywhere in its filings. Exhibit 21 to the annual report for the year ended 2 May 2026, filed on 24 June 2026, lists 51 subsidiaries incorporated across sixteen countries and territories: the United States, Mexico, the United Kingdom, Canada, Belgium, Germany, Italy, Switzerland, the Netherlands, Finland, Malta, Egypt, India, Singapore, Hong Kong and mainland China. The exhibit states that all of them are 100 per cent owned with one exception, Alsentis LLC, which is 11.5 per cent owned and is therefore a minority holding rather than a subsidiary in the ownership sense. The US entities on the list are incorporated in Delaware apart from two incorporated in Michigan. The exhibit gives no hierarchy: it does not say which holdings are direct and which are held through intermediate companies, so the levels of the structure cannot be verified from it, and no percentage other than the two above is published for any individual entity.

Recent structural changes

  • Fourth quarter of the year ended 2 May 2026: the dataMate business, reported within the Interface segment, was divested. This is a divestiture of a business, not of a legal entity.
  • October 2023: certain assets of the Dabir Surfaces business were sold, following a decision in the first quarter of the year ended 27 April 2024 to discontinue it. The legal entity Dabir Surfaces, Inc. nevertheless still appears as a subsidiary in the Exhibit 21 filed on 24 June 2026, which is why a discontinued business must not be read as a disposed entity.
  • Grakon Holdings, LLC, Grakon Intermediate Holdings, LLC and Grakon Parent, Inc. appear in every Exhibit 21 from the year ended 27 April 2019 to the year ended 27 April 2024 and in none of the two filed since. That is a dated presence and absence in the company’s own exhibits; no filing examined states what happened to them, and nothing here should be read as a confirmed transaction.

Data availability

Availability is partial. The subsidiary list is complete and dated because the company is a US securities registrant and files Exhibit 21 every year, but it carries no hierarchy, no registration numbers and no percentages beyond the single 11.5 per cent exception. Delaware, the state of incorporation, publishes no corporate linkage data and its entity search is captcha-gated. Exhibit 21 was audited across all thirteen annual reports available on the Commission’s archive, covering the years ended 3 May 2014 to 2 May 2026, and the exhibit is an attachment in every one of those years, typed EX-21.1 to the year ended 27 April 2019 and EX-21 from the year ended 2 May 2020; none of them incorporates the list by reference and none prints it inside the body of the annual report.

The stored group tree should not be used as a structure. It holds 51 nodes, the selected node is the company itself and its name matches this page, but the agreement with the filed list is only partial: 34 of the 50 subsidiary nodes appear in the Exhibit 21 of 24 June 2026, 16 do not, and 17 entities that the exhibit does list are absent from the tree, among them three Belgian companies, four Chinese companies and two Singapore companies. Of the 16 nodes not in the current exhibit, eleven are real former entries whose last appearance can be dated from the exhibits themselves: three were last listed for the year ended 29 April 2023, three for the year ended 27 April 2024, three for the year ended 29 April 2017, one for the year ended 30 April 2022 and one for the year ended 3 May 2025. One node duplicates another under a variant name. Three Herrmans Bike Components nodes appear in none of the thirteen filed lists at all, the third of them being a Taiwan branch of a Finnish company and so not a company, and one node names Pacific Insight Electronics ULC, a legal form that appears in no filed list, where every exhibit from the year ended 28 April 2018 onwards lists Pacific Insight Electronics Corp. instead. Identifiers are worse than the membership. Twenty-eight nodes carry an identifier beginning 99999, which is a synthetic key and not a register number. Ten nodes carry a ten-digit number prefixed with a hash symbol and no jurisdiction at all, which corresponds to no register. Eight US nodes, including the company itself at the root, carry a state label that contradicts the jurisdiction the exhibit states: the root is labelled US MI 640418 although 640418 is its Delaware file number, and Methode Development Company, Hetronic International, TouchSensor Technologies, KBA, M Aviation, Nordic Lights NA, Dabir Surfaces and Grakon are each stated to be incorporated in Delaware while the tree labels them Illinois, Oklahoma, Illinois, Illinois, Florida, Ohio, Michigan and Michigan. The Finnish numbers are stored with the check-digit hyphen stripped, so 1739093-0 appears as 17390930 and 3347535-2 as 33475352; both resolve correctly once the hyphen is restored. Alsentis LLC is shown at the same level as the wholly owned subsidiaries with no indication that it is an 11.5 per cent holding.
