VIASAT, INC. is a corporation incorporated under the laws of the State of Delaware and separately registered with the Florida Department of State under document number F02000002523. Its common stock trades on the Nasdaq Global Select Market under the symbol VSAT, and its Securities and Exchange Commission file number is 000-21767. Its principal executive offices are at 6155 El Camino Real, Carlsbad, California 92009. The company’s Annual Report on Form 10-K for the fiscal year ended 31 March 2026 states that it was incorporated in California in 1986 under the name Viasat, Inc. and subsequently reincorporated in Delaware in 1996.

The Florida registration is a foreign qualification, not an incorporation. The Florida Department of State’s corporate master file records document F02000002523 with filing type AFORP (active foreign profit corporation), a Florida file date of 17 May 2002, federal employer identification number 33-0174996 and the state of incorporation recorded as DE. That identification number matches the one printed on the Form 10-K cover page, which ties the Florida record to the Nasdaq filer. The date of 17 May 2002 shown on this page is therefore the date Viasat, Inc. became authorised to transact business in Florida; it is not an incorporation date. Florida’s record shows the registration as active, with the most recent annual report filed on 9 March 2026 and C T Corporation System, Plantation, Florida, as registered agent.

Viasat, Inc. provides satellite and wireless communications technologies and services. It operates its own satellite fleet together with ground infrastructure and user terminals, and supplies broadband, narrowband and other connectivity to aviation, maritime, enterprise, consumer, military and government users. Its government portfolio includes communications gateways, situational awareness and command-and-control products, satellite communications across several frequency bands, and cybersecurity and information assurance products. The company reports through two segments: communication services, and defense and advanced technologies. The Form 10-K states that its website address is www.viasat.com; no website is recorded in the data shown on this page.

For the fiscal year ended 31 March 2026 the company reported consolidated total revenues of US$4,640.3 million, against US$4,519.6 million for fiscal 2025 and US$4,283.8 million for fiscal 2024. Communication services contributed US$3,299.7 million and defense and advanced technologies US$1,340.6 million in fiscal 2026. The United States Government as a single customer accounted for approximately 16% of total revenues in fiscal 2026, and the five largest contracts for approximately 19%. As of 31 March 2026 the company employed approximately 7,000 individuals worldwide, 66% of them in the United States. All of these are consolidated figures reported by the registrant.

Shareholders

Shareholders of Viasat, Inc.

Viasat, Inc. is a Nasdaq-listed company with a widely held share register, so only holdings above the US reporting threshold are published. Its proxy statement filed on 27 July 2026 reports ownership as of 1 July 2026, against 137,755,490 shares of common stock then outstanding, and names three holders of more than 5% of the common stock: BlackRock, Inc. with 18,745,486 shares (13.6%), Vanguard Portfolio Management with 9,806,314 shares (7.1%) and Vanguard Capital Management with 6,894,130 shares (5.0%). Each of those figures is taken from the holder’s own Schedule 13G: BlackRock’s amendment of 17 October 2025 reports 18,745,486 shares, sole voting power over 18,456,488 shares and 14.0% of the class; Vanguard Portfolio Management’s Schedule 13G of 29 April 2026 reports 7.21%; and Vanguard Capital Management’s Schedule 13G of 30 April 2026 reports 5.07%. No other holder above 5% is disclosed.

Ultimate beneficial ownership

No ultimate beneficial owner can be identified for Viasat, Inc. No disclosed holder reaches 25% of the common stock, the largest reportable position is 13.6%, and the reportable holders are asset managers holding shares for third-party funds and accounts rather than for their own account. Beneficial-ownership information collected under the US Corporate Transparency Act was never publicly accessible, and under the final rule of 11 August 2026 US domestic companies are exempt from beneficial-ownership reporting altogether, so no such filing exists for this entity.

Data availability

Major shareholders only. The United States publishes institutional and insider holdings through filings made with the Securities and Exchange Commission by the holders themselves; there is no public register of the complete share register of a US corporation, and holdings below 5% of a class are not disclosable at all.

Three defects in the shareholder data shown elsewhere on this page should be noted, and have not been altered.

  • The largest holder is absent. BlackRock, Inc. does not appear in the stored shareholder table, although it is the largest reportable holder and the only one above 10%. Two exchange-traded funds that BlackRock sponsors appear instead as separate holder lines, one of them above 5%. BlackRock’s own Schedule 13G/A of 17 October 2025 reports a single aggregate position of 18,745,486 shares rather than fund-by-fund lines.
  • The percentages are calculated on the wrong number of shares. Every stored row divides out to the same denominator, 106,044,003 shares. Viasat, Inc. reported 137,755,810 shares of common stock outstanding as of 23 July 2026 on the cover of its Form 10-Q for the quarter ended 30 June 2026, and its proxy statement uses 137,755,490 shares as of 1 July 2026. The stored percentages are therefore overstated by a factor of approximately 1.30, and none of them should be read as a percentage of the class.
  • The Vanguard row states a position its own filer has reported as nil. The Vanguard Group, Inc. filed a Schedule 13G/A on Viasat, Inc. on 27 March 2026, accession 0000102909-26-002511, reporting 0 shares held, 0 sole voting power, 0 sole dispositive power and 0% of the class. Its previous amendment, of 31 October 2025, had reported 16,962,958 shares and 12.63%. The 2026 proxy statement does not list The Vanguard Group, Inc. among holders above 5%, listing Vanguard Portfolio Management and Vanguard Capital Management instead. The stored row for “Vanguard Group Inc”, 16,763,543 shares with a verification date of 4 September 2026, therefore records a position the filer had already reported as nil. The two successor entities’ positions total 16,700,444 shares, which is neither equal to the stored quantity nor reported on the same date, so the stored row cannot be reconciled to them.

The stored data also states that six shareholder rows exist across two pages while holding only five, so one row the source claims to have is not present and cannot be checked.

Officers

Directors and officers of Viasat, Inc.

Viasat, Inc. publishes its board and its executive officers through its filings with the US Securities and Exchange Commission; there is no public register of the directors of a Delaware corporation. Its proxy statement filed on 27 July 2026 lists a classified board of ten directors: Mark Dankberg (Chairman of the Board and Chief Executive Officer, a director since 1986), Shekar Ayyar (2026), Richard Baldridge (2016), Barbara Frenkel (2025), William LaPlante (2025), Sean Pak (2018, Lead Independent Director since February 2019), Michael Paull (2025), John Stenbit (2004), Theresa Wise (2020) and Jinhy Yoon (2026). The company’s Form 10-K for the year ended 31 March 2026 names eight executive officers, holding the offices of Chairman and Chief Executive Officer; Senior Vice President, General Counsel and Secretary; Chief Technology Officer and Senior Vice President, Engineering; Senior Vice President and Chief Financial Officer; Chief Enterprise and Strategy Officer; Chief Accounting Officer; Senior Vice President and President, Government; and President, Commercial. The proxy reconciles the two lists itself, counting “all directors and executive officers as a group (17 persons)”, Mr Dankberg appearing on both.

The Florida Department of State’s record for document F02000002523 carries six appointment lines covering four of these people, under its own four-character title codes: Robert Blair as General Counsel and as Secretary, Mark Dankberg as Director and as Chief Executive Officer, Richard Baldridge as Director, and Camellia FitzGerald as Chief Accounting Officer. That list is as filed in the company’s Florida annual report of 9 March 2026 and is not a complete board or officer list. Florida’s record gives the company’s Carlsbad office as the business address for each person; it is a service address and not a residential one. The company’s own filings spell the Chief Accounting Officer’s middle initial two ways, “Camellia E. FitzGerald” in the Form 8-K and Form 10-K and “Camellia J” in the Florida annual report; both are reproduced here and neither is preferred.

Recent officer changes

  • 6 May 2026 – the Board appointed Shekar Ayyar as an independent Class II director with an initial term expiring at the 2028 annual meeting, and Jinhy Yoon as an independent Class I director with an initial term expiring at the 2027 annual meeting. The Form 8-K states that the Board then consisted of ten members, eight of them independent.
  • Effective 2 January 2026 – Camellia E. FitzGerald, previously Vice President, Corporate Accounting and Finance, was appointed Chief Accounting Officer and principal accounting officer, by a Board approval of 5 December 2025. The same Form 8-K records that Shawn Duffy ceased to serve as Chief Accounting Officer and principal accounting officer on 31 December 2025 and, from 1 January 2026, continues to support the company in a non-executive role as Special Projects Advisor.
  • 17 November 2025 – the Board appointed Barbara Frenkel as a Class I director with an initial term expiring at the 2027 annual meeting. The Form 8-K states that the Board then consisted of eight members, six of them independent.

Data availability

Partial. Current directors and executive officers, the year each director was first elected, and dated changes of office are all available from the company’s securities filings, and Florida’s corporate record independently corroborates four named office-holders. Historical appointment and cessation dates are not held in any register and have to be assembled from individual filings. Nationality is not disclosed: neither the proxy statement, the Form 10-K nor the Florida record records the nationality or the country of residence of any director or officer, so nationality is reported here as not disclosed.

The officer data shown elsewhere on this page does not match the company’s filings, and has not been altered. The stored record states that 44 officer rows exist across nine pages but holds only five, so 39 rows the source claims to have are absent and cannot be checked. Of the five rows held, two are corporate entities rather than natural persons: an investment-management group, whose own name is misspelled in the record, carried with the job title “Alien Affiliate”, and an investment manager carried with the job title “Partner”. Neither appears as a director or officer in any Viasat, Inc. filing. The remaining three rows carry the job title “Governor”, which is not an office Viasat, Inc. has: of those three, one is a current director and Lead Independent Director; one ceased to serve as Chief Accounting Officer and principal accounting officer on 31 December 2025; and the third, Robert Johnson, did not stand for re-election at the 2024 annual meeting, held on 5 September 2024, and ceased serving as a director on that date. All five rows carry a status of active, an empty appointment date and an empty cessation date, and the record was last synchronised on 2 October 2026 – nine months after the later of those two offices ended and more than two years after the earlier one.

Group Structure

Group structure of Viasat, Inc.

Viasat, Inc. is the parent company of the group and no parent of its own is reported anywhere. It is the registrant that files the group’s consolidated accounts; the UK registers of two of its subsidiaries name Viasat, Inc. itself as the person with significant control; and the Global LEI system records a Level 2 reporting exception for both the direct and the ultimate accounting-consolidation parent, giving the reason “no known person” in each case.

Exhibit 21.1 to the Annual Report on Form 10-K for the year ended 31 March 2026 lists 172 subsidiaries across 67 jurisdictions. The largest concentrations are England and Wales (26 entities) and Delaware (20), followed by five each in Mexico, Brazil and Luxembourg and four each in Guernsey, India, Switzerland, Germany, Japan, the Netherlands and Canada. United States entities appear only under Delaware, California and Louisiana. Forty-eight of the listed names begin with or contain “Inmarsat”, following the acquisition completed on 30 May 2023.

RigNet, Inc. is a current member of the group. It appears in the subsidiary list of all six of those years, and in each of them its jurisdiction of organisation is given as Delaware.

Recent structural changes

  • 30 May 2023 – Viasat, Inc. completed the acquisition of Connect Topco Limited, a company incorporated in Guernsey, for approximately US$550.7 million in cash and 46.36 million shares of its own common stock.
  • December 2024 – the company sold its energy services system integration business. Its Form 10-K attributes part of the fall in communication services product revenues in the year ended 31 March 2026 to the absence of that business.
  • March 2026 – the company sold all of its interests in Navarino UK, which had been accounted for as an equity-method investment and treated as a related party.

Data availability

Partial. The subsidiary list was filed as a separate attachment typed EX-21.1 with each of the six annual reports from the year ended 31 March 2021 to the year ended 31 March 2026, so the series can be compared year by year without any gap, incorporation by reference or in-body substitute. It is complete as to names and jurisdictions of organisation but carries no registration numbers and no ownership percentages, and the United States does not publish corporate ownership links in any register. Percentages above are stated only where a register publishes them, and the UK register publishes a band rather than a figure. A single corporate entry on a UK register of persons with significant control identifies one entity in the chain and does not by itself establish that the holding is direct.

The corporate-linkage data shown elsewhere on this page contains the following discrepancies, which have not been altered.

  • The company’s own node states the wrong register. It is labelled with the country and state code for California against the number 2676843. That number is the Delaware file number of Viasat, Inc.: the Global LEI record for the company holds it as the registered identifier validated against registration authority RA000602, the Division of Corporations of the Delaware Department of State, with the jurisdiction given as US-DE; and the UK registers of persons with significant control for Viasat Satellite Holdings Limited and Viasat Technologies Limited both print “Place registered: Delaware” and “Registration number: 2676843” against the name Viasat, Inc.
  • Delaware-incorporated subsidiaries are labelled with other states’ numbers. Sixteen nodes carry a United States state code. For ten of them the filed subsidiary list gives Delaware as the jurisdiction of organisation while the node shows California, Texas, Virginia or the District of Columbia. Four agree with the filing, in Louisiana and in Texas, and two have no counterpart in the filed list at all.
  • Four entries are former group members, not current ones. RigNet Satcom, Inc. appears in the subsidiary lists for the years ended 31 March 2021 and 2022 only; RigNet EIS, Inc. from 2021 to 2024; Cyphre Security Solutions, LLC and Intelie Technology LLC in 2021 and 2022 only. None appears in the list for the year ended 31 March 2026.
  • Two entries are dissolved Norwegian companies. The Norwegian Central Coordinating Register for Legal Entities records RIGNET AS, organisation number 982025028, as deleted on 9 December 2014, and RIGNET EUROPE AS, organisation number 989628550, as deleted on 11 December 2014. Both are carried as current nodes.
  • Several entries are branches or establishments rather than companies. Besides the two Norwegian branch registrations in the table above, the node carrying Norwegian number 925521272 is not a legal entity at all but a registered establishment of the branch 925481297, with an address in Dublin. Two further nodes named for the company itself carry a Swedish number beginning 502 and a Finnish number of 29380609. Neither was readable in its own register beyond the Finnish check below, so neither is presented here as a subsidiary.
  • Nineteen nodes have no counterpart in any of the six filed subsidiary lists, among them the Norwegian, Swedish and Finnish registrations of the company’s own name, several entities named for MBC and V3GS, TrellisWare UK Limited, TrellisWare Netherlands B.V., Segovia Inc, Intelligent Compression Technologies, Inc., China Viasat Services Inc and VIS Communications. An absence from the subsidiary list is not proof that a relationship never existed; it means no filed support was found in those six years.
  • One Finnish identifier was checked and returns nothing. Reading 29380609 as a Finnish Business ID gives 2938060-9, and the Finnish Patent and Registration Office’s open company dataset returns no record for it. The same query returns one record, Skylogic Finland Oy, for 2372642-9, which is another node in this same tree stored in the same hyphen-stripped form (23726429) and is itself in the filed subsidiary list; and it returns nothing for the invalid identifier 0000000-0. The filter therefore discriminates in both directions and joins on the right field.
