Shareholders of Robert Bosch LLC

Robert Bosch LLC is a Delaware limited liability company. It is owned through membership interests, not shares, and Delaware does not publish the members of an LLC. The most recent public statement of its owner found is in SEC filings made jointly by Bosch entities on Nikola Corporation. The Schedule 13D filed on 15 June 2020 and the amendment filed on 2 December 2020 both state that Robert Bosch North America Corporation, a Delaware corporation, is “the sole owner of Robert Bosch LLC”. On that basis Robert Bosch LLC has a single disclosed owner, which holds 100% of it directly. The same filings describe Robert Bosch GmbH, a German company with limited liability, as the sole shareholder of Robert Bosch North America Corporation. They describe Robert Bosch Industrietreuhand KG as the holder of a 93% voting interest in Robert Bosch GmbH. That 93% is a voting figure, and the filings give no capital percentage for it.

No later filing restating this ownership was found. An EDGAR full-text search for “Robert Bosch North America Corporation” returned 18 filings from 2020 to 2022, including both Nikola schedules. The latest of them is dated 18 January 2022. Ownership is therefore stated as at 2 December 2020, and it has not been confirmed as current.

Data availability

Availability: Partial and historical. The ownership chain comes from 2020 SEC beneficial-ownership filings, not from any register, because Delaware keeps no public register of LLC members. None of the filings reviewed names a natural person as an owner of Robert Bosch LLC. That does not show there is no beneficial owner; it means none could be verified. The provider feed holds no shareholder rows for this company.

Directors and officers of Robert Bosch LLC

Robert Bosch LLC is managed by managers rather than a board of directors. Its latest North Carolina annual report, filed on 29 January 2026, lists five persons with the title Manager: Mohammed Abraham, Alissa Cleland, Mike Mansuetti, Paul Thomas and Christine Zimmerman. It also lists Jon Schaffer as Authorized Representative, and he signed the report. The same six people with the same titles appear in the reports filed on 22 February 2024 and 12 February 2025, so none of the filed appointments changed across the three years. Connecticut’s register, where the company registered on 21 March 2025, lists the same five managers as principals but gives no titles. The Texas franchise-tax public information report for 2025 lists Christine Waack as Assistant Secretary.

Other state records do not match the North Carolina list. Pennsylvania’s register lists three “governors”: Manthan Pandit, Paul Thomas and Andrea Kahl, with no appointment dates. The 2007 North Carolina application for authority named Luke Baer as the only manager, which is a historical record. SEC filings give titles the state registers do not. In June 2020 Mike Mansuetti was stated to be president of Robert Bosch LLC. In January 2022 Markus Heyn was stated to be chairman of its board of directors. Neither title has been confirmed as current.

Recent officer changes

• 1 September 2024: Paul Thomas became president of Bosch in North America, in addition to his role as president of Bosch Mobility in the Americas. This is a regional role taken from a Bosch press release issued by Robert Bosch LLC on 20 June 2024. It is not a register filing.
• 1 October 2024: Mike Mansuetti retired as president of Bosch in North America, having moved to an advisory role on 1 September 2024 (same press release). The North Carolina reports filed on 12 February 2025 and 29 January 2026 still list him as a Manager of Robert Bosch LLC. The press release and the register are therefore not in agreement, and both are reported here.

Availability: Partial. The state registers give names and, in North Carolina, titles, but no appointment or resignation dates, and the lists differ from state to state. Nationality is not recorded in any register. The only nationality found in a filing is that the June 2020 Schedule 13D states Mike Mansuetti is a citizen of the United States. For everyone else nationality is not disclosed. The provider feed holds no officer rows for this company.

Group structure of Robert Bosch LLC

Robert Bosch LLC is part of the Bosch Group. Joint SEC filings made in 2020 set out its corporate chain. Its immediate parent is Robert Bosch North America Corporation, a Delaware corporation, which the filings call its sole owner. Above that sits Robert Bosch GmbH of Gerlingen, Germany, the sole shareholder of Robert Bosch North America Corporation. Robert Bosch GmbH is registered as HRB 14000 at the Stuttgart local court and has LEI 529900F0LT5OP4SV6122. Multiplying the two stated 100% links gives a calculated effective interest of 100% for Robert Bosch GmbH. The same filings give Robert Bosch Industrietreuhand KG a 93% voting interest in Robert Bosch GmbH.

Only one subsidiary is verified, and only as at 2020. Nimbus Holdings LLC, a Delaware company, was wholly owned by Robert Bosch LLC and held its Nikola Corporation shares. Whether it still exists was not checked. No list of Robert Bosch LLC’s own subsidiaries was found. These links are all dated 2 December 2020 and have not been confirmed as current.

Recent structural changes

• 2 July 2007: Robert Bosch LLC applied for New York authority, giving the same Delaware formation date (3 January 1977) as Robert Bosch Corporation. That corporation’s New York authority had been terminated on 15 May 2007. This is consistent with a conversion of the corporation into an LLC, but the conversion certificate was not retrieved.
• 1 December 2020: Robert Bosch LLC, through Nimbus Holdings LLC, fell below 5% of Nikola Corporation’s common shares, holding 18,820,296 shares, or 4.9%.

Availability: Partial and historical. The parent chain comes from SEC beneficial-ownership filings of 2020; no register publishes the ownership of a Delaware LLC. The provider’s group tree is empty for this company. The GLEIF record for Robert Bosch LLC (LEI 9845004598EET9QED452) has lapsed; its renewal was due on 23 March 2025. That record reports no parent, giving “natural persons” as the reason. This conflicts with the SEC filings, which name corporate owners, so it is not relied on here.
