Total segment and non-segment NOI was 2,393.1 million. The company had 542 employees at 31 December 2025, none covered by a collective bargaining agreement. Operator and tenant concentration in 2025 was Ardent Health Partners, LLC at 6.4 per cent of total NOI, Brookdale Senior Living, Inc. at 6.2 per cent and Kindred Healthcare, LLC at 5.8 per cent.

Its own proxy statement of 1 April 2026 names exactly four beneficial owners of more than 5 per cent of the common stock, measured at 1 March 2026 against 475,405,492 shares then outstanding: The Vanguard Group, 63,988,891 shares or 13.5 per cent; BlackRock, Inc., 41,935,325 or 8.8 per cent; JPMorgan Chase & Co., 28,174,629 or 5.9 per cent; and State Street Corporation, 26,611,546 or 5.6 per cent. All four are investment managers or parent holding companies holding for client accounts, and all four figures are capital as well as voting figures, the common stock being a single class of 0.25 US dollar par value with no dual-voting structure. The current share count is 512,946,359 as at 28 July 2026, stated on the cover of the Form 10-Q filed on 30 July 2026. There is no known individual, family or corporate controlling holding.
Reconciliation of the provider shareholder table

The Vanguard rows and the 2026 realignment
The stored row attributing 75,948,003 shares to Vanguard Group Inc names a filer that has withdrawn its position. The Vanguard Group filed amendment 20 to its Schedule 13G on Ventas on 27 March 2026, accession 0000102909-26-002571, reporting as at 13 March 2026 sole voting power, shared voting power, sole dispositive power, shared dispositive power and aggregate beneficial ownership all of 0, with classPercent 0 and the five-per-cent-or-less box marked Y. The proxy attributes this to an internal realignment on 12 January 2026 and records that certain Vanguard subsidiaries or business divisions would report separately. Two did, both on this issuer: Vanguard Portfolio Management LLC, 41,321,002 shares or 8.69 per cent, filed 29 April 2026; and Vanguard Capital Management LLC, 35,893,818 shares or 7.55 per cent, filed 30 April 2026, both as at 31 March 2026. Their sum, 77,214,820, is close to the stored 75,948,003 but is neither equal to it nor measured on the same date, so the stored figure is not reconciled to the successors and is not presented here as the Vanguard family holding.
JPMorgan Chase & Co. has moved since the proxy: its latest amendment, filed 27 July 2026 and measured at 30 June 2026, reports 42,614,309 shares or 8.7 per cent, up from 33,872,732 or 7.1 per cent at 31 March 2026. Neither figure matches either stored JPMorgan row. BlackRock’s position is stated only as at 31 December 2023 in a Schedule 13G/A of 24 January 2024; it has filed nothing on Ventas since, so its 8.8 per cent is the latest reported figure and not a current one.
Ultimate beneficial ownership
No ultimate beneficial owner can be identified for Ventas, Inc. and none is asserted. Every holder above the reporting threshold is an institutional asset manager or a parent holding company reporting on behalf of client accounts, none holds a controlling interest, and no filing discloses a natural person or private holding company at the top of an ownership chain. - The row for Debra A. Cafaro, titled Chairman & Ceo, is correct and current. The name is split wrongly, the middle initial being stored inside the surname field as “A. Cafaro”.
- The row titled Senior Vp & Chief Information Officer is substantively right: the company’s own press release of 8 February 2019, filed as Exhibit 99.1 to a Form 8-K, names Bhavana Devulapally as “Chief Information Officer and Senior Vice President” and says the appointment was announced in January 2019. Group Structure
Group structure of Ventas, Inc.
Ventas, Inc. is the ultimate parent of its own group and has no parent company. It is listed on the New York Stock Exchange with no controlling holder, and its GLEIF record carries a Level 2 reporting exception for both the direct and the ultimate accounting consolidation parent, each with the reason NO_KNOWN_PERSON. The group is very large and overwhelmingly Delaware-organised: the Exhibit 21 filed with the Form 10-K for the year ended 31 December 2025 lists 2,808 entities, of which 2,410 are stated to be organised in Delaware. - 106 nodes are dated former entries, last appearing in the FY2024 list (9), the FY2022 list (52) or the FY2020 list (45). These are real past group members carried as current, which is a different and far less serious matter than fabrication.
- 78 nodes are token transpositions of a real filed name. This is a name-corruption defect in the feed, not an invented entity. The provider has moved a word out of position: VTR Forest Trace, LLC is stored as Forest VTR Trace LLC, VOP Acacia Springs, LLC as Acacia Vop Springs LLC, JER/NHP Senior Housing, LLC as Senior Jer/Nhp Housing LLC, and in two cases the legal-form suffix itself has moved into the middle of the name, LHPT Decatur II, LLC becoming II Decatur LLC Lhpt and Ventas LS MD, LLC becoming MD Ls LLC Ventas. Every one of the 78 resolves to an entity that does appear in a filed Exhibit 21 once the transposition is undone.
- 209 nodes have no filed support in any of the four sampled years. Because only four of twenty-nine years were sampled, this figure is an upper bound and some of these entities will appear in an unsampled year.
The most systematic defect is the jurisdiction label. Of the 518 verified nodes that carry a US state label, 480 contradict the jurisdiction the Exhibit 21 states and only 38 agree – 92.7 per cent wrong. The largest single pattern is 315 nodes labelled US KY where Exhibit 21 states Delaware, followed by 54 labelled US NY, 19 US IL and 18 US CA, all against Delaware. Only six nodes in the entire tree carry a DE label, against 2,410 Delaware entities in the filed list. The same defect reaches the root: the subject’s own node is labelled US IL 2129976, yet 2129976 is the Delaware Division of Corporations file number, confirmed by GLEIF (jurisdiction US-DE, registration authority RA000602, FULLY_CORROBORATED), by the Form 10-K cover, by the EDGAR state-of-incorporation field and by the PSC registers of two United Kingdom subsidiaries, one of which prints Governing law Delaware, Place registered Delaware Corporation, Registration number 2129976, Incorporated in Delaware.
Two further misclassifications are provable from the filings themselves. First, the eleven nodes labelled GB include four that Exhibit 21 states are organised in Jersey, not the United Kingdom – Ventas UK Holdings I Limited, Ventas of Blackpool Limited, Ventas of Farnham Limited and Ventas of Hull Limited – and their six-digit numbers are consistent with a Jersey registry rather than the eight-character Companies House format. Second, six nodes carrying AHS names – Ahs Legacy Operations LLC, Ahs New Mexico Holdings Inc., Ahs Oklahoma Inc., Ahs Leasing Company LLC, Ahs Acquisitions LLC and Ahs East Texas Health System LLC – appear in none of the four sampled Exhibit 21 lists. Ventas held approximately 6.6 per cent of Ardent at 31 December 2025, an unconsolidated minority investment, and Ardent Health Partners, LLC is separately one of its largest operators at 6.4 per cent of net operating income. An operator’s or investee’s own operating subsidiaries are not group members of Ventas, Inc. and are not presented as such here. Three AHS Oklahoma entities are genuinely in the filed list, as is VTR AMS, Inc., formerly Ardent Medical Services, Inc., so the group does hold legacy Ardent real-estate entities; the six above are not among them.
The tree also omits entities that are independently verifiable. Of the 19 entities GLEIF records as direct children of Ventas, Inc., four are absent from the tree altogether – Cogdell Health Campus MOB LP (US-PA 3664451), Brandon MOB Investors LLC (US-MS 942064), Bonney Lake MOB Investors LLC (US-WA 602 922 391) and Ventas SSL Ontario II Inc. (CA-ON 1887881) – and all four are named in the FY2025 Exhibit 21. The non-US side is understated by an order of magnitude: the tree carries 15 non-US nodes against roughly 178 in the filed list, including some 166 Canadian entities against the tree’s four.
