Xerox Corp. (H Q)
Xerox Corporation is a New York business corporation, incorporated on 18 April 1906 as The Haloid Company (New York Department of State DOS ID 27553; LEI 4KF48RN45X1OO8UBLY20). It became Haloid Xerox Inc. in April 1958 and has carried the name Xerox Corporation since June 1961. The New York register lists it as an active domestic business corporation. The record behind this card is not the incorporation: it is Xerox Corporation’s Connecticut foreign-corporation registration, account 0076695, filed on 11 April 1956, which the Connecticut Secretary of the State shows as Active, with the latest annual report filed on 5 May 2026.
What does Xerox Corporation do? It designs, makes, sells, leases, finances and services printing and document equipment, and supplies related software, managed print services and IT services. Its combined Form 10-K for 2025 describes five offering areas: Workplace Solutions (entry and mid-range office devices), Production Solutions (high-volume and commercial printing), Xerox Services, Xerox Financial Services (equipment leasing and financing) and IT Solutions. These are reported as two segments, Print and Other, and IT Solutions.
The company serves customers in North America, Europe, Latin America, Brazil, Asia Pacific, the Middle East, Africa and India. Its largest manufacturing sites are in Webster, New York, where toner and components are produced, and Juárez, Mexico, with further materials and components plants in Wilsonville (Oregon), Oklahoma City and Boulder (Colorado). The filing names Fujifilm Business Innovation Corp. as its largest strategic sourcing partner. Principal executive offices are at 401 Merritt 7, Norwalk, Connecticut, not in Stamford.
Xerox Corporation’s own common stock has not traded on an exchange since 31 July 2019, when it was withdrawn from the New York Stock Exchange. The company remains an SEC reporting registrant (Commission file 001-04471; IRS employer identification number 16-0468020) and files combined annual and quarterly reports.
Xerox Corporation revenue: its own consolidated statement of (loss) income reports total revenues of US$7,022 million for the year ended 31 December 2025 (2024: US$6,221 million) and a net loss of US$1,017 million (2024: net loss of US$1,316 million). The combined 10-K reports approximately 22,900 employees at 31 December 2025, about 9,400 of them in the United States; that headcount is given for the combined reporting group, not separately for Xerox Corporation.
On 1 July 2025 Xerox Corporation completed the purchase of Lexmark International II, LLC, a printer and imaging business, from Ninestar Group Company Limited for total consideration of US$1.5 billion including net debt and assumed liabilities. The 10-K attributes most of the 2025 rise in headcount to that acquisition.

Shareholders
Shareholders of Xerox Corporation
Xerox Corporation has a single shareholder. The combined Form 10-K for fiscal 2025, filed on 17 March 2026, states that all of Xerox Corporation’s outstanding common stock is held solely by Xerox Holdings Corporation, a New York corporation (DOS ID 5510287; LEI 5493000Y33XDVO2CXC18). The holding is therefore 100% and direct. It dates from 31 July 2019, when a holding-company reorganisation carried out by merger made Xerox Corporation a direct, wholly owned subsidiary of Xerox Holdings Corporation (Form 8-K of 31 July 2019). There is no public market in Xerox Corporation’s own shares.
Who owns Xerox Corporation beyond that level depends on the shareholders of Xerox Holdings Corporation, whose common stock trades on the Nasdaq Global Select Market as XRX and which had about 16,197 holders of record at 31 December 2025. Its 2026 proxy statement lists three holders above 5% as at 2 April 2026, measured against 130,776,253 common shares: the DD Revocable Trust (11.7% of the common stock, a figure that includes 6,741,572 shares issuable on conversion of the 180,000 Series A preferred shares it holds), BlackRock, Inc. (8.0%, per its Schedule 13G/A filed 17 October 2025) and The Goldman Sachs Group, Inc. (7.4%, per its Schedule 13G filed 12 February 2026). These are holdings in the parent, taken from the holders’ own filings, and so are indirect interests in Xerox Corporation. The proxy also records that the shares previously beneficially owned by Darwin Deason, who died on 2 December 2025, passed to the DD Revocable Trust under his will, admitted to probate on 2 February 2026.
Ultimate beneficial ownership
No natural person could be identified as an ultimate beneficial owner of Xerox Corporation. The ownership chain is complete to the listed parent (100%), but the largest reported holder of the parent is a trust whose current trustees and beneficiaries the proxy statement does not identify. The other reported holders are financial institutions.
Data availability
Major shareholders only at parent level: the sole direct shareholder is disclosed in SEC filings, while holders of the listed parent are disclosed only above the 5% SEC reporting threshold, as at the dates shown. New York and Connecticut company registers do not publish shareholder information, and the United States has no public register of beneficial owners.

Officers
Directors and officers of Xerox Corporation
The latest Connecticut annual report for Xerox Corporation, filed on 5 May 2026, lists 12 principals: nine directors and four officers, with one person, Louis J. Pastor, recorded as both officer and director. The directors are Louis J. Pastor, John Bruno, Tami Erwin, Priscilla J. Hung, Andrew Scott Letier, Nichelle J. Maynard-Elliott, Edward G. McLaughlin, John J. Roese and Amy J. Schwetz. The same nine people form the board of Xerox Holdings Corporation and were re-elected to it on 20 May 2026. The signature page of the combined 10-K (16 March 2026) identifies A. Scott Letier as Chairman of Xerox Corporation.
